PROJECT AGREEMENTa c 0 PROJECT AGREEMENT This Agreement ("Agreement") is hereby made and entered into on January ;� , 2013 between the CiTy of Clearwater, Florida, a municipal corporation of the State of Florida (the "City") and Clearwater for Youth, Inc. (the "CFY") (each party individually referred to herein as "Party" or collectively as the "Parties"). WHEREAS, CFY is a non-profit youth sports organiza.tion, which has helped our community youth reach their fullest potential through enriching and productive activities since 1966; and and WHEREAS, the City and CFY have a long-standing partnership to achieve CFY's goals; WHEREAS, the CFY received a grant from the Loca1 Initiatives Support Corporation in the amount of $100,000 for the construction of a multiple use field (the "Project", as more particularly described in Exhibit "A attached hereto and incorporated herein) at the City-owned Walter C. Campbell Sr. Park in the North Greenwood community; and WHEREAS, the grant requires $100,000 in matching funding equa.ting to a minimum project total of $200,000; and WHEREAS, City will provide the required matching funds of $100,000, will execute construction of the project, and will own, manage, operate, insure and maintain the project. NOW, T'HEREFORE, for and in consideration of the mutual promises, covenants and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged by each, the Parties agree as follows: 1. Recitals. The foregoing recitals are true and correct and are incorporated in and form a part of this Agreement. 0 2. The Project. a• The Project sha11 consist of the construction of a multipurpose field a1: Walter C. Campbell Sr. Park in accordance with E�ibit "A" including, but not limited to, excavation, sod, fill, lighting and fencing. b• The Project will be managed by the City and affected by contractors that the City selects through a competitive procurement process that complies with applicable legal requirements for the bidding and awarding of construction contracts for public works projects, including but not limited to, a11 requirements of the Florida Sta.tues and the City of Clearwater Code of Ordina,nces. c. T'he City will fund the Project up to a maximum of Two Hundred Twenty- Five Thousand Dollars �/100 ($225,000), which is the estimated total cost, said funds to be disbursed through the City's purchase order process as appropriate invoices are received by the City from the selected contractors. d. The City will be responsible for any Project cost overrun above the project's cost estimate and theretofore will have the right to make additive and subtractive change orders, for which it sha11 be responsible to the extent of any excess. e• The City will purchase, bear the risk of loss with respect to, and insure for its own benefit. f. The City will prepare and submit a11 grant required documents to CFY for CFY's submission to the Loca1 Initiative Support Corporation. The Parties sha11 cooperate to fulfill any and all Grant requirements as applicable. g. CFY will irrunediately render $100,000 to the City upon receipt of the Grant funds from the Local Initiatives Support Corporation. If, for any reason, the Grant funds are not received by CFY, the Parties sha11 be released of a111iability and responsibility under this Agreement. 2 3. Approvals. The City agrees that at the time of execution of this Agreement, there are no unfulfilled City regulatory or permitting approvals relating to the Project.
