3'//0 THIS FIRE HYDRANT ASSEMBLY AND UTILITY EASEMENT is granted on
November fL 1996, by the ELL-CAP/DIVERSIFIED 58-HILLCREST, a California
limited partnership, its successors or assigns ("ELL-CAP") in favor of the CITY OF
CLEARWATER, a municipal corporation of the State of Florida (the "City"), 100 South
Myrtle Ave., Clearwater 34616.

,. A. ELL-CAP owns certain real property located in the municipal limits of the
;iCity of Clearwater, in Pinellas County, Florida, which is developed as the Hillcrest
L:' Mobile Home Park (the "ELL-CAP Property").

B. The ELL-CAP Property is located immediately south of and adjacent to
i other certain real property located in the City owned by Lokey Oldsmobile, Inc., a
~' Delaware corporation, (the "Lokey Property").

LL! C. Lokey Oldsmobile, Inc., ("Lokey") received conditional use approval from
!~ i the City to allow outdoor retail sales, displays and storage of vehicles, i.e., automobile
,2 ,;yj dealership, on the Lokey Property.
D. The City required Lokey, in conjunction with the conditional use approval
described in the preceding recital, to install a fire hydrant assembly on the ELL-CAP
Property and to install a water main on the Lokey Property that would connect to the
fire hydrant on the ELL-CAP Property.
E. The agreed upon location for the new fire hydrant assembly on the ELL-
CAP Property is a 4' by 4' area more particularly described in Exhibit "A" attached
hereto and made a part hereof (the "Fire Hydrant Assembly Property").

F. A graphic depiction of the area described in Exhibit "A" provided in Exhibit
"B" attached hereto and made a part hereof.
G. The easement required for the water main on the Lokey Property is being
granted in a separate instrument.
H. The easement described herein shall be perpetual.
NOW, THEREFORE, in consideration of the foregoing and for other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
ELL-CAP hereby covenants and agrees as follows:

2. Grant of Fire Hydrant Assembly and Utility Easement. ELL-CAP hereby
gives, grants and conveys unto the City a nonexclusive, perpetual easement over,
across, under and through Fire Hydrant Assembly Property described in Exhibit "A" for
the purpose of installing, operating, maintaining, repairing, replacing, and inspecting
the fire hydrant.
3. General.
a. Effective Date. The easement created and imposed hereby shall
be effective upon the recording hereof.
b. Modification or Amendment. This Fire Hydrant Assembly and
Utility Easement may not be modified in any respect whatsoever, or rescinded, in whole
or in part, except with the written consent of the City in a written instrument duly
recorded in the Public Records of Pinellas County, Florida, which consent shall not be
unreasonably withheld.
c. Bindino Effect. ELL-CAP hereby represents that the Fire Hydrant
Assembly Property is free from all liens and encumbrances, and that ELL-CAP has
good right and authority to grant the easements described herein. The burdens of the
easement granted herein shall run with the Fire Hydrant Assembly Property and shall
bind the owners thereof, and their respective heirs, successors, successors in title,
legal representatives and assigns.
d. Governino Law. This Fire Hydrant Assembly and Utility Easement
shall be construed, governed, interpreted and enforced in accordance with the laws of
the State of Florida.
