municipal corporation, an easement over, under and across the following
described land, lying and being situate in the County of Pinellas, state of
Florida, to wit:
PARCEL: 002.1 - HAMPTON ROAD - CLEARWATER, FLORIDA
containing 0.15 acres, more or less, as depicted and identified in
sketch and legal description attached hereto as EXHIBIT "A".
This easement is granted for construction purposes for the use by the City of
Clearwater, Florida. This easement is temporary and expires automatically
after twenty-four (24) months from date of final acceptance hereof by the
Clearwater City commission, or upon the completion of the project, whichever
is sooner, unless extended by written agreement of the parties hereto.

PURCHASE AGREEMENT

THIS AGREEMENT is made between PARK PLACE BUILDING, LTD., a registered Florida Partnership,
and PARK PLACE BUILDING, INC" a Florida corporation, its sole General Partner, hereinafter
referred to as SELLER, ano the CITY OF CLEARWATER, FLORIDA, a Florida Municipal Corporation,
hereinafter referred to as PURCHASER,
WITNESSETH
For and in consideration of the mutual covenants and conditions herein contained, SELLER
, hereby agrees to sell and PURCHASER hereby agrees to buy the following property or interest
therein, upon the following terms and conditions:
I. DESCRIPTION
(a) Real estate or interest therein, identified as parcel 002.1 as shown on
on Right of Way Maps for Hampton Road in the NW ~ of Section 17, Township 29
South, Range 16 East,Pinellas County, Florida, incorporated herein by reference.

II.

III. CONDITIONS AND LIMITATIONS
(a) It is mutually understood that this Purchase Agreement and the Temporary
Construction Easement document is executed by Seller subject to final acceptance
by the Clearwater City Commission, to which the documents shall be presented not
later than 45 days following receipt by the City of Clearwater Engineering
Department/Administrative Division of duplicate originals of each document executed
by Seller. Final acceptance by the Clearwater city Commission shall denote final
approval of each document in its entirety, and shall constitute the effective
date of each, Non-approval by the Clearwater City Commission shall void each
document in its entirety.
(B) Purchaser agrees, and Seller authorizes, restoration to the present or equal
condition, any construction impacts whatsoever to Seller's property, including the
waters and embankments of Seller's retention pond abutting the westerly boundary
of the easement premises. Such restoration shall be accomplished at Purchaser's
expense and shall be completed by Purchaser not later than completion of the right-
of-way improvement project.
IV. EASEMENT TERM
The term of the Temporary Construction Easement herein described shall be for a period
of two (2) years from date of closing as defined in Paragraph V below, and shall
terminate thereafter, or upon completion of the right-of-way improvement project,
whichever shall occur first; whereupon all rights and interests granted therein by
Seller shall cease, and Purchaser shall have no further rights and privileges whatsoever
thereafter.

V. CLOSING DATE - POSSESSION
closing of this transaction shall occur, and possession shall pass to Purchaser,
following execution of this agreement after final acceptance by the Clearwater City
Commission, and delivery to Seller within 15 days thereafter simultaneous with a City
check in the sum of the full amount to be paid to the Seller as expressed in paragraph
II(a) above.
VI. TYPEWRITTEN OR HANDWRITTEN PROVISIONS
Typewritten or handwritten provisions inserted herein or attached hereto as Addenda,
and initialed by all parties, shall control all printed provisions in conflict
therewith. All addenda, whether typewritten or handwritten, attached hereto must be
referenced and initialed in this section. In addition, all addenda must be signed by
both the Seller and the Purchaser. There [ 1 is [Xl is not an addendum to this
