1. For and in consideration of the sum of Ten Dollars ($10.00) and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
Grantor does hereby grant and convey to the Grantee, its successors and assigns, an
exclusive and perpetual permanent Easement over, under, across, and through the lands
located in Pinellas County, Florida, which are more particularly described in Exhibit "A"
attached hereto and by this reference made a part hereof (the "Easement Area").
2. The Grantee shall have the right, privilege, and authority to plant, install,
maintain, replace, and relocate on and within the Easement Area, such sod, grass, plants,
shrubs, and other landscaping as it may desire. Grantee shall further have the right,
privilege, and authority to construct, install, maintain, repair, replace, and relocate such
signs or signage, on the Easement Area as Grantee may desire.
3. In addition to the rights, privileges and authority granted to the Grantee pursuant
to Paragraph 2 hereinabove, the Grantee shall also have such other rights, privileges, and
authority as may be necessary to fully utilize and enjoy the aforementioned rights,
privileges and benefits. Such ancillary rights, privileges and benefits shall specifically
include, without limitation:
(a) The right to run utility lines across any other lands owned by the Grantor
to provide services which may be necessary or desirable with regard to the
landscaping or signage located within the Easement Area;
(b) The right of ingress, egress, regress, and access over and across any other
lands of the Grantor in order to go to and from the Easement Area for the

purpose of constructing, installing, repairing, replacing, maintaining or relocating
the landscaping or signage located therein;
(c) The right to install such lighting as may be desired to illuminate the
landscaping and signage; and
(d) The right to install any sprinkler systems as may be desirable to maintain
the landscaping.
4. Any and all signage to be constructed or installed within the Easement Area shall
comply with the applicable requirements of the sign regulations of the City of Clearwater
(the "City"), as set forth in Chapter 44 of the Clearwater Code of Ordinances, as it may
be amended and in effect from time to time. All landscaping and utility liens shall be
installed and maintained in accordance with plans approved by the City Manager upon
the recommendation and advice of the Public Works Director of the City, which
recommendation and which approval shall neither be unreasonably delayed or denied.
5. Grantee shall promptly repair and restore to its prior condition any paving,
striping, or other improvements, existing on the other lands of Grantor outside of the
Easement Area which are disturbed by the construction, installation, repair, replacement,
or maintenance of any of Grantee's facilities located on, under, across or through the
Easement Area.

6. Title to the landscaping, signage or appurtenant facilities constructed or installed
hereunder shall remain in the name of the Grantee, and its successors and assigns.
7. This Agreement shall be binding upon the parties hereto, their successors and
assigns.
IN WITNESS WHEREOF, the said Grantor has executed this LANDSCAPING AND
SIGNAGE EASEMENT as of the day and year fIrst above written.
