MAINTENANCE EASEMENT
THIS MAINTENANCE EASEMENT is entered ~nto this :23 day of ~ ,
200^, between PINELLAS COUNTY, a political subdivi~ion of the State ofF~Real
Estate Management Division, whose address is 201 Rogers Street., Clearwater, Florida 33756,
(hereinafter referred to as ("County") and the CITY OF CLEARWATER, whose mailing address
is P.O. Box 4748, Clearwater FL 33758-4748 (hereinafter referred to as ("Grantee").
WITNESSETH:
THAT THE GRANTOR, for and in consideration of One and 00/100 Dollar ($1.00) and
other good and valuable consideration, the receipt of which is hereby acknowledged, does hereby
grant, bargain, sell and convey to Grantee, its successors and assigns, and enter into a permanent
non-exclusive Maintenance Easement Agreement over that portion of that certain property which
is owned by the County, located in Pinellas County, Florida, said property being more
particularly described in Exhibit "A", attached hereto and made a part hereof (hereinafter referred
to as ("Easement").
TO HAVE AND TO HOLD said Easement unto said Grantee forever, subject to the
following conditions:
1. Grantee shall have the right to inspect, maintain, and repair the Sand Key Fire Station,
from within the Easement.

2. The grant of this non-exclusive Easement shall in no way restrict the right and interest
of the County in the use, maintenance and quiet enjoyment of the Easement Area to the extent
that such use does not interfere with rights granted herein.
3. Except for those acts reasonably necessary to accomplish the purposes of this
Easement, Grantee also covenants not to do any acts or things which it could reasonably expect
to cause damage to County's property. With respect to any person not a party to this Easement
Agreement, this paragraph should not be construed as a waiver of any defense or limitation
available to the Grantee or County pursuant to Section 768.28, Florida Statutes, as now in effect
or as may be amended from time to time.
4. If the Grantee shall at any time abandon the Easement Premises for the purposes
contained herein, or ceases using the adjacent property for a Fire Station, this Easement shall
terminate and revert to the County.
IN WITNESS WHEREOF, the County and Grantee have hereunder set their respective
hands and seals on the dates shown.
