THIS RECIPROCAL EASEMENT AGREEMENT is made this J '5- day of

corporation ("Lotus"), CHRISTOS J. AND SOUL TANA DROSSOS (collectively,
"Drossos"), STANLEY E. ROSEWATER ("Rosewater") and LOW INVESTMENTS, a
Florida general partnership ("Low").
WITNESSETH:
A. Lotus is the owner of that certain real property described on Exhibit "A"
attached hereto and incorporated herein ("Lotus Property");
B. Drossos is the owner of that certain real property described on Exhibit "B"
attached hereto and incorporated herein ("Drossos Property");

F. The parties desire to enter into this Reciprocal Easement Agreement for
thepurpose-of effectuating the vacation of said portion of Lotus Path. .
NOW, THEREFORE, for and in consideration of the mutual covenants, promises
and conditions herein contained and other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, the parties hereto agree for
themselves, and their heirs, successors and assigns, as follows:
1. Recitals. The foregoing recitals are true and correct and are incorporated
herein by reference.
2. Grant of Reciprocal Easement. Each party hereby gives, grants,
dedicates and conveys to each and every person, firm or corporation now or hereafter
owning or leasing all or any part of the Lotus Property, Drossos Property, Rosewater

Property and/or the Low Property, their respective successors, assigns, tenants, and all
persons having business with them, a perpetual, non-exclusive easement for ingress
and egress by vehicular and pedestrian traffic over and across the Easement Area and
parking in the east twenty feet (20') of the paved portion of the Easement Area.
3. Maintenance of Easement Area. The parties hereby agree that Lotus
shall be responsible for maintenance of the Easement Area, provided that it shall be
partially reimbursed for such expenses by the other parties hereto, who shall be
responsible for the cost of such maintenance as follows: fifty percent (50%) for the
Lotus Property; twenty percent (20%) for the Drossos Property, seven and one-half
percent (7.5%) for the Rosewater Property and twenty-two and one-half percent
(22.5%) for the Low Property.
4. Barricadina of Easement. In no event shall access to the Easement Area
be blocked or barricaded. Notwithstanding the foregoing, the Easement Area may be
blocked or barricaded for the purpose of demonstrating that the Easement Area is not a
public right-of-way, which blocking or barricading shall be for a period not to exceed
seven (7) consecutive days and shall require the consent of all parties hereto, their
successors and assigns.
5. Insurance. Each party hereto shall purchase and maintain general public
liability insurance in a single limit coverage amount of not less than One Million Dollars
($1,000,000.00) insuring against bodily injury or property damage arising in conection
with the use or maintenance of the Easement Area, as to the portion of the Easement
Area owned by each respective party. Such insurance shall name all owners of the
Easement Area as additional insureds. Evidence of such insurance shall be delivered
by each party to the other simultaneously with the execution hereof.
6. Taxes. All real property ad valorem taxes, assessments and other
governmental liens on the Easement Area shall be the obligation of the respective fee
simple owner of each portion thereof.
7. Indemnification. Each party hereunder, its successors and assigns, hereby
agrees to indemnify and hold all other parties hereto, their successors and assigns,
harmless from any loss, cost, harm, damage or expense whatsoever, including claims
for loss of life, personal injury or property damage, arising, resulting or relating in any
way from the exercise of the public or any person in particular of the easements or
rights granted by the parties hereunder.
8. Bindina Effect. The easement herein granted and the terms and conditions of
this Agreement shall be easements, restrictions and covenants running with the land,
intended to bind the Lotus Property, the Drossos Property, the Rosewater Property and
the Low Property. Each person, firm or corporation accepting a conveyance of the

Lotus Property, the Drossos Property, the Rosewater Property, or the Low Property, or
any portion thereof, shall be bound by the. terms, provisions and conditions of this
Agreement, as if said person, firm or corporation were original parties hereto. In the
event any actions are brought for the recovery of monetary damages for any breach of
this Agreement, such party shall look solely to the interests of the owners of the Lotus
Property, the Drossos Property, the Rosewater Property and the Low Property.
9. Governinq Law. This Agreement shall be construed and enforced in
accordance with the laws of the State of Florida and shall be binding upon the parties
hereto and their respective heirs, successors and assigns.
10. Aiiornevs' Fees. Should any party employ an attorney or attorneys to
enforce any of the provisions hereof, or to protect its interest in any matter arising
hereunder, or to recover damages for the breach hereof, the party prevailing shall be
entitled to recover from the other parties all reasonable costs, charges and expenses,
including attorneys' fees, the value of time charged by paralegals and/or other staff
.members operating under the supervision of an attorney, and other legal costs,
expended or incurred in connection therewith, before, during and subsequent to any
litigation, including arbitration and appellate proceedings, bankruptcy or similar
debtor/creditor proceedings, and proceedings to enforce any indemnity agreement
herein contained.
11. Entire Aqreement. This Agreement constitutes the entire agreement and
understanding of the parties and supersedes all prior and contemporaneous
agreements, understandings, negotiations and purposes, whether written or not. This
Agreement may be amended or modified only by subsequent agreement in writing
signed by each of the parties hereto, their successors or assigns. This Agreement may
be terminated only by agreement in writing signed by the owners of the Lotus Property,
the Drossos Property, the Rosewater Property and the Low Property.
IN WITNESS WHEREOF, the parties hereto have stgned this Reciprocal
Easement Agreement the day and year first above stated.

CONSENT AND SUBORDINATION BY GROUND LESSEE
The undersigned ground lessee of the property described in the foregoing
Reciprocal Easement Agreement ("REA") in accordance with that certain Ground
Lease dated February 4, 1983, amended by Modification of Ground Lease dated
March 15, 1985, and Modification of Ground Lease dated July 18, 1985,
assigned in O.R. Book 8288, Page 254, and re-assigned in O.R. Book 8313,
Page 368, Public Records of Pinellas County, Florida, (the "Lease") hereby
consents to the REA and subordinates its interest in the Lease to the REA.
The undersigned further assumes all obligations of Low under the REA
during the term of the Lease and agrees that all of Low's liability under the REA

lying south of mock 34 and north of mock 39, Magnolia Park
SUbdivision, as recorded in Plat Book 3, Page 43, of the public records
of Plnellas County, Florida,
be and the slime is hereby vacated, closed and relellsed, and the City of Clp.arwater
hereby quitclaims and releases all of its right, ti Ue and interest thereto to the persons,
firms or corporations enti tled thereto by law, except that the City of Clearwater
hereby retains a drainage and utnity easement over the full width of the above-
described property,
Section 2. The City Clerk is hereby directed to reccrd this ordinance in the
Public Records of Pinellas County, Florida.
Section 3.
This ordinance shall take effect upon its recording in the public
records of Pinellas County, Florida, after adoption; provided that the adjoining
property owners shall each grant to all other adjoining property owners and their heirs,
successors and assigns Il. joint -'lnd reciprocal casement for ingress &nd egress over and
Joint mnintenan~ of the property described in Section 1, which easement shall be
recorded simultaneously with thp. recording of this ordinance.
