THIS EASEMENT is hereby granted by the Board of Trustees of the
Internal Improvement Trust Fund of the State of Florida, hereinafter referred
to as the Grantor.
WITNESSETH: That for the faithful and timely performance of and
compliance with the terms and conditions stated herein, the Grantor does
hereby grant to

hereinafter referred to as the Grantee, a nonexclusive easement on, under and
across the sovereign lands, if any, contained in the following legal

1. The above descri bed parcel of 1 and sha 11 be used solely for ~
construction and maintenance of a 48-inch effluent outfall pipe as shown and
described on Attachment A.oaqes 5 - 9 of 37 oages , and Grantee shall not
engage in any activity except as described in the Florida Department of
Environmental Regulation Permit No. 521739243 dated Aoril 23. 1990 ,
and modified June 10. 1991 attached hereto as Attachment B, and made a part
hereof.
2. The consideration for this easement shall be an amount as
determined by the rule establishing fees for utility crossings. Once the rule
is adopted, payment shall be remitted to the Grantor according to the rule.
The established fee shall be assessed retroactively from the effective date of

3. Grantor neither warrants title to the lands described herein nor
guarantees the suitability of any of the lands for any particular use.
4. The rights hereby granted shall be subject to any and all prior
rights of the United States and any and all prior grants by the Grantor in and
to the submerged lands situated within the limits of this easement.
5. Grantee shall not damage the easement lands or unduly interfere
with public or private rights therein.
6. This easement is nonexclusive, and the Grantor, or its duly
authorized agent, shall retain the right to enter the property or to engage in
management activities not inconsistent with the use herein provided for and
shall retain the right to grant compatible uses of the property to third
parties during the term of this easement.
7. Grantor, or its duly authorized agent, shall have the right at any
time to inspect the works and operations of the Grantee in any matter
pertaining to this easement.
8. The Grantee shall investigate all claims of every nature at its
expense, and shall indemnify, defend and save and hold harmless the Grantor
and the State of Florida from all claims, actions, lawsuits and demands
arising out of this easement.
9. Grantee waives venue as to any litigation arising from matters
relating to this easement and any such litigation between Grantor and Grantee
shall be initiated and maintained only in Leon County, Florida.
10. This easement shall not be assigned or otherwise transferred
without prior written consent of the Grantor or its duly authorized agent.
Any assignment or other transfer without prior written consent of the Grantor
shall be null and void and without legal effect.
11. The Grantee, by acceptance of this easement, binds itself,its
successors and assigns, to abide by the provisions and conditions herein set
forth, and said provisions and conditions shall be deemed covenants of the
Grantee, its successors and assigns. In the event the Grantee fails or
refuses to comply with the provisions and conditions herein set forth or in
the event the Grantee violates any of the provisions and conditions herein,
this easement may be terminated by the Grantor upon 30 days written notice to
Grantee. If terminated, all of the above-described parcel of land shall
revert to the Grantor. All costs, including attorneys' fees, incurred by the
Grantor to enforce the provisions of this easement shall be paid by the
Grantee. All notices required to be given to Grantee by this easement or
applicable law or administrative rules shall be sufficient if sent by U.S.
Mail to the following address:

The Grantee agrees to notify the Grantor by certified mail of any
changes to this address at least ten (10) days before the change is effective.
12. The Grantee shall assume all responsibility for liabilities that
accrue to the subject property or to the improvements thereon, including any
and all drainage or special assessments or taxes of every kind and description
which are now or may be hereafter lawfully assessed and levied against the
subject property during the effective period of this easement which result
from the grant of this easement or the activities of Grantee hereunder.

13. Renewal of this easement is at the sole option of the Grantor.
Such renewal shall be subject to the terms, conditions and provisions of
current management standards and applicable laws, rules and regulations in
effect at that time. In the event that Grantee is in full compliance with the
terms of this easement, the Grantee shall be allowed a 30-day grace period
after expiration of this easement to apply in writing for a renewal. If the
Grantee fails to apply for a renewal within the grace period, or in the event
the Grantor does not grant a renewal, the Grantee shall vacate the premises
and remove all structures and equipment occupying and erected thereon at its
expense.
14. If the Grantee does not remove said structures and equipment
occupying and erected upon the premises after expiration or cancellation of
this easement, such structures and equipment will be deemed forfeited to the
Grantor, and the Grantor may authorize removal and may sell such forfeited
structures and equipment after ten (10) days written notice by certified mail
addressed to the Grantee at the address specified in Item 11 or at such
address on record as provided to the Grantor by the Grantee. However, such
remedy shall be in addition to all other remedies available to Grantor under
applicable laws, rules and regulations including the right to compel removal
of all structures and the right to impose administrative fines.
15. No failure, or successive failures, on the part of the Grantor to
enforce any provision, nor any waiver or successive waivers on its part of any
provision herein, shall operate as a discharge thereof or render the same
inoperative or impair the right of the Grantor to enforce the same upon any
renewal thereof or in the event of subsequent breach or breaches.
16. The Grantee, at its own expense, shall record this easement and any
subsequent approved renewal and/or modified easements in the official records
of the county within which the easement site is located within ten (10) days
after receipt of a fully executed copy of this easement, and shall provide the
Grantor with a copy of the recorded easement indicating the book and page at
which the easement is recorded.
17. This easement is the entire and only agreement between the parties.
Its provisions are not severable. Any amendment or modification to this
easement must be in writing and must be accepted, acknowledged and executed by
the Grantee and Grantor.
18. SPECIAL EASEMENT CONDITIONS
a. Grantee shall comply with the standard construction conditions
recommended by the Division of Marine Resources for the protection of the
endangered manatee.
b. Turbidity screen shall be utilized, secured, and properly
maintained during construction and shall remain in place until any generated
turbidity subsides, submerged lands of the state adjacent to and downstream of
the project site and after construction by means of the best available
technology for erosion control. Erosion control measures may include but are
not limited to the use of staked hay bales, filter cloth, staged construction
and turbidity screens. Erosion control devices shall be inspected daily
during construction and remain until the site has stabilized. Double
turbidity screens, staked hay bales, staged construction and other additional
measures shall be used as necessary to insure compliance with water quality
standards in chapter 17-3, F.A.C.
c. Fourteen days prior to construction of work authorized by this
easement, the Grantee shall provide written notification of the date of
commencement of construction to the Planning Manger of the Division of State
lands West Central Florida District Office, 8402 laurel Fair Circle, Suite
212, Tampa, Florida 33612. All correspondence should include the Grantee's
name and file number.

along the North boundary of said SW 1/4, a distance of 1767.94 feet;

upland line of Old Tampa Bay, said point also being the point of beginning;

1. The permittee is hereby advised that Florida law states: "No
person shall commence any excavation. construction. or other
activity involving the use of sovereign or other lands of the
state. title to which is vested in the Board of Trustees of the
Internal Improvement Trust Fund or the Department of Natural
Resources under Chapter 253. until such person has received from
the Board of Trustees of the Internal Improvement Trust Fund the
required lease. license. easement. or other form of consent
authorizing the proposed use.1I Pursuant to Florida Administrative
Code Rule l6Q-14. if such work is done without consent. or if a
person otherwise damages state land or products of state land. the
Board of Trustees may levy administrative fines of up to $10.000
per offense.
2. IIIf historical or archaeolcigical artifacts. such as Indian
canoes. are discovered at any time within the project site the
permittee shall immediately notify the district office and the
Bureau of Historic Preservation. Division of Archives. History and
Records Management. R.A. Gray Building. Tallahassee. Florida

3. During construction. all areas of exposed soils shall be
effectively isolated.from waters of the state to prevent erosion
or deposition. All exposed soils shall be stabilized with an
appropriate ground cover within 72 hours of attaining final grade.
4. Fourteen (14) days prior to construction of work authorized by
this permit. the permittee shall provide written notification of.
4 the date of commencement of construction to the Wetland Resource
Management Environmental Manager at the Southwest District Office
.of the Department of Environmental Regulation. 4520 Oak Fair
Boulevard. Tampa. FL 33610. All correspondence should' include
the' permittee name and permit number.
5. The permittee shall submit IIrecordll drawings certifications to
the Southwest District. Dredge and Fill office within 45 days of
completion of work authorized by this permit but no later than 60
days prior to expiration date. Submittals shall include the
invert elevations of all culverts and controlling elevations of
all permitted ~tructures. including final elevations as shown in
permit drawings listed below:

SPECIFIC CONDITIONS:
6. A double staked siltation barrier shall delineate the working
area in the shallow areas to lessen impacts to seagrasses and live
bottom: communities outside of this area. This working space, as
approximately delineated on Sheet 2 of 9 of permit submittals,
shall have the following dimensions:
1500' long by 751 wide - New outfall construction
800' long by 751 wide - Removal of existing outfall
Materials excavated from the pipeline trench will be placed
adjacent to the pipeline trench (within the working space) and
then be replaced after the installation of the pipe, as stated on
Page 5, Item #10.
7. An additional floating siltation barrier will be utilized
outside of the staked barrier in the event the staked ones should
fail.
8. Should violations of water quality standards occur pursuant to
Chapter 17-3, F.A.C., 'construction shall be halted and practices
amended to alleviate the problem, as stated on Page 2 of January
24, 1990 permit submit~als.
9. All seagrasses within.the .working area shall be transplanted
to a suitable (DER approved) adjacent location prior to trench
excavation.
The City of Clearwater or its agents must submit the following
information to the Department for approval:
a. A map delineating the transplantation site. .
b. Methodology of transplantation including the centers of
each sprig to be planted and the number of sprigs per meter
squared.
c. An outline of a two-year monitoring plan in which
transplantation mitigation shall be considered successful if 50\
survival of individual sprigs/meter squared or 50\ cover meter
squared is achieved. .
10. The City of Clearwater or its agents must also submit the
fOllowing information to the Department for approval for the
removal of the existing outfall and placement of the new outfall:
a~ The type of maChinery to be used for dredging including
the nature of the digging device (open or closed clam shell,
dragline, etc.) and the size and draft of any barges assisting. in
this operation (if applicable).

b. A turbidity monitoriAg plan which shall specify where and
how often water samples will be taken. Samples must be taken at
the surface; mid-depth. and bottom of each location. and at least
four times per day. Water samples shall be labeled as begin
up-current. down-current or slack-current of the project location
as dictated by daily tidal cycles. Monitoring reports shall be
submitted to the Department on a daily basis during construction'
via facsimile transmittal to be followed up by a hard copy.
11. Upon receipt of the information required in Specific Condition
*10 the Department will grant the City of Clearwater a mixing zone
for the dredging authorized by this permit.
12. All correspondence from the City of Clearwater (including its
agents) to the Department which address Specific Conditions 4. 18.
19 & 20 must be sent by Certified Mail with a Return Receipt.
13. No construction.authorized .by this permit may commence until
Specific Conditions #9. 10. 11. & 12 (regarding 9. 10 & 11) have
been satisfied and approved in writing by the Department.
14. If any of the drawings approved in this permit are in conflict
with the Specific Condition. the specific conditions shall
overrule. '.
15. Should the City of Clearwater or its agents choose to hire a
biological consultant for the purpose of mitigation and or
monitoring. the City shall inform the Department in writing who
that biological consultant will be.
16. Should the City of Clearwater choose to release its agent and
or biological consultant. the City and former agents shall inform
the Department in writing.
17. Ifseagrass trarisplantation program extends beyond the permit
expiration date. the City of Clearwater shall execute a written
agreement with the Department acknowledging a continuing
obligation beyond the permit expiration date to maintain the
success criteria and to complete the monitoring reports as
specified. At the time. a single additional fee of $500.00 will
be required if the mitigation monitoring and evaluation needed to
determine success extends beyond five (5) years.
18. The expiration date of this permit may not be modified or
extended unless the requirements of Specific Conditions #9, 10 &
11 have been submitted to the Department.
.19. The permittee agrees that the ingress and egress routes for
construction of the open water sections of the outfall and any

pipeline staging operations within the waters of Old Tampa Bay
shall be limited to areas of non-vegetated sandy bottom whenever
possible. The permittee shall be responsible for clearly marking
any areas of seagrasses with buoys and any impacts within the
areas shall be solely limited to the placement of the pipeline on
the bottom of the Bay.
20. The permittee 'shall be aware of and operate under the attached
"General Permit Conditions #1 thru #15". General Permit
Conditions are binding upon the permittee and enforceable pursuant
to Chapter 403 of the Florida Statutes.

1. The terms.l cond i tions. requirements. 1. i~i ~~-~i~-;;~- and
restrictions set forth herein are "Permit Conditions" and are
binding and enforceable pursuant to the authority of Section
403.141, 403.727, or 403.859 through 403.861, Florida Statutes.
The permittee is placed on notice that the Depa~tment will review
this permit periodically and may initiate enforcement action for
any violation of these conditions.
2. This per~it is valid only for the specific processes and
operations applied for and indicated in the approved drawings or
exhibits. Any unauthorized deviation from the approved drawings,
exhibits, specifications. or conditions of this permit may
constitute grounds for revocation and enforcement action by the
department.
3. As provided in Subsections 403.087(6) and 403.712(5), Florida
Statutes, the issuance of this permit does not convey any vested
rights or any exclusive privileges. Neither does it authorize any
injury to public or private property or any invasion of personal
rights, nor infringement of federal, state or local laws or
regulations. This permit is not a waiver of or approval of any
other Department permit that may be required for other aspects of
the total project which are not addressed in the permit.
4. This permit conveys no title to land or water, does not
constitute State recognition or acknowledgement of title, and does
not constitute authority for the use of submerged lands unless
herein provided and the necessary title or leasehold interests
have been obtained from the State. Only the Trustees of the
Internal Improvement Trust Fund may express State opinion as to
title.
5'. This permit does not relieve the permittee from liability for
harm or injury to human health or welfare, animal or plant life or
property caused by the construction or operation of this permitted
. source or from penalties therefore. nor does it allow the
permittee to cause pollution in contravention of Florida Statutes
and Department rules. unless specifically authorized by any order
from the Department.
6. The permittee shall properly operate and maintain the facility
and systems of treatment and control (and related appurtenances)
that are installed or used by the permittee to achieve compliance
with the conditions of this permit, as required by Department
rules. This provision includes the operation of backup or
auxiliary facilities or similar systems when necessary to achieve
compliance with the conditions of the permit and when required by
Department rules.
7. The permittee, by accepting this permit, specifically agrees
to allow authorized Department personnel. upon presentation of
credential or other documents as maybe required by law and at
reasonable times, access to the premises, where the permitted
activity is located or conducted:

Reasonable time may depend on the nature of the concern being
investigated.
8. If, for any reason, the permittee does not comply with or will
be unable to comply with any condition or limitation specified in
this permit, the permittee shall immediately provide the
Department (17-6.130) with the following information:
(a) a description of and cause of noncompliance; and
(b) the period of noncompliance, including exact dates and times;
or, if not corrected, the anticipated time the noncompliance is
expected to continue, and steps being taken to reduce. eliminate,
and prevent recurrence of the noncompliance.
The permittee shall be responsible for any and all damages which
may result and may be subject to enforcement action by the
Department for penalties or revocation of this permit.
9. In accepting this permit, the permittee understands and agrees
. that all records, notes, monitoring data and other information
relating to the construction or operation of this permitted
source, which are submitted to the Department. may be used by the
Department as evidence in any enforcement case involving the
4 permitted source arising under the Florida Statutes or Department
~ules, except where such use is prescribed by Section 403.73 and
403.111. Florida Statutes. Such evidence shall only be used to
the extent it is consistent with the Florida Rules of Civil
Procedures and appropriate evidentiary rules.
10. The permittee agrees to comply with changes in department
rules and Florida Statutes after a reasonable time for compliance,
provided. however, the permittee does not waive any other rights
granted by Florida Statutes or Department rUles.
11. This permit is transferable only upon Department approval in
accordance with Florida Administrative Code RUles 17-4.120 and
17-30.300, as applicable. The permittee shall be liable for any
non-compliance of the permitted activity until the transfer is
approved by the department.

from the date of the sample, measurement, rep~rt or application
unles~ otherwise specified by Department rule.
c. Records of monitoring information shall include:
-the date, exact place, and time of sampling or measurement;
-the pe~son responsible for performing the sampling or measure-
ments;
-the date(s) analyses were performed;
-the person responsible for performing the analyses;
-the analytical techniques or methods used; and
-the results of such analyses.
15. When requested by the department, the permittee shall within
a reasonable time furnish any information required by law which is
. needed to determine compliance with the permit. If the permittee
becomes aware that relevant facts were not submitted or were
incorrect in the permit application or in any report to the
department. such facts or information shall be submitted or
corrected promptly.

Puroose of the Proiect
The existing East Plant outfall line is a 36-inch line that extends approximately 700-feet from the Old
Tampa Bay shore. The discharge elevation of the outfall line is at approximately -2.5-fee1. During low tide
the existing outfall line and headwall are visible.
It is proposed to install a new 48-inch outfall line that extends 1400-feet from the Old Tampa Bay
shoreline. It is anticipated that this extended outfall line will provide additional dilution to minimize effects
of the freshwater discharge on vegetation along the shore. The pipe will be installed with 2-feet of cover.
At the end of the pipe a 450 bend will raise the discharge elevation to 8.0-feet below mean sea level.

For your information, a copy of the Joint Stipulation for Settlement of Administrative Proceeding,
Case No. 88-5776 between Booker Creek Preservation, Inc. and the City and the State of Florida is
enclosed. This agreement arose as settlement to con~erns raised in the permitting for the operation
of the upgrade of the East P.ollution Control Facility to Advanced Wastewater Treatment.
Stipulation 1. (B) of this agreement, requires that the City expend up to $75,000 toward the
identification of sites where sea grasses may be successfully planted. It is the City's intention to
proceed with a two phase project in which the first phase would identify sites and the second phase
would accomplish test plantings.
It is not the desire of the City to have this agreement become part of this dredge and fill permit
issuance.

6. The existing outfall pipe is a 36-inch concrete pipe that extends approximately 700-feet from the
shore and rests on the bay bottom. During low tide periods. this pipe is visible. It is proposed to
replace the existing 36-inch concrete pipe with a buried 48-inch pipe that extends approximately
1400-feet from the'shore. The 48-inch pipe will terminate at a point where the bay depth is 8-feet.
We believe that the installation of the buried 48-inch will improve the current condition and function
of Tampa Bay at the point of discharge for the following reasons:
1. The outfall line will be installed below the bay bottom and will not be visible or affect boating
or other uses of the bay.
2. Plant effluent will be discharged approximately 700-feet further in the bay than it is presently
being discharged.
3. Plant effluent will be discharged at a much deeper depth and will be better distributed in the
bay.

The majority of the proposed route is composed of a fine grain
sand sediment with scattered drift and attached macroalgae of
the species Ulva lactuca (green algae) and Gracilaria spp.
(red ~lgae).~idence of benthic organisms included tubes of
the polychaete ~orm Diopatra cuprea and numerous small amphipods '
in the algal clumps. Small patches of mixed seagrass of the
species Halodule ~rightii (shoa~ grass) and RUDPia maritima
~idgeon grass) were located between stations at 126 feet ~nd
250 feet from the beginning of the alignm~nt. Approximately
57 square feet of seagrass is located within 10 feet of the center
of the alignment, with one small (4 square it) patch in the center
of the alignment.
Th~ presence of. the seagrasses is an encouraging sign of recovery
from historical conditions; and additional patches ~ere observed
in the vicinity, making it impossible to completely avoid thern
~ith a different alignment. I would recommend that the zone or
potential excavation be staked on both sid'es or the alignment
and the seagrasses in that zone be moved as sods into areas out
of the impac~ zone. If this work is done immediately, there is
some chance of success. Any delay beyond July 1 will reduce the
chances substantially. In any case I ~ould not 'recommend that any
permitting agency require any "percent survival" criteria but
look upon the benefits of the outfall and its improved effluent
quality as benefit enough, and treat the transplanting as only
an expe~imental requirement.

I do not see any benefit to seeking an alternative route for the
outfall and most of the impacts should prove only temporary in

2. Identification of sites within Old Tampa Bay where sea grasses can be planted, and
implementation of a capital improvement project with an expenditure not to exceed $75,000.00
for planting of sea grasses at the identified sites.
3. Continuation of the Cities spray irrigation efforts.
4. Incorporate of a water qualiJy protection and enhancement criteria in all City Stormwater
Drainage Plans.
Mitigation Items Nos. 2 through 4 8;re being accomplished, The design of Mitigation Item No.1 has been
completed and a dredge and fill permit application is attached for the proposed outfall line. The following
listed items are submitted as a joint application for the Dredge and Fill Permit to DER, Florida Department
of Natural Resources and the U.S. Army Corps of Engineers:

Pursuant to our conversation on October 29, 1991, please find enclosed a fully
executed easement for your client's records. After much discussion, our Deputy
General Counsel, Eugene McClellan, Jr. accepted the revised signature page, Page
4 of 37 Pages, of the easement instruments. However, in the future, since these
type easements authorize activities over state-owned sovereign submerged lands
and are being issued by the land owner, the Board of Trustees, not the Grantee,
we must insist that the City of Clearwater not alter the legal documents. We
have been advised by our legal counsel that in the future we will not accept
altered signature pages for our instruments.
Further, if the City of Clearwater's legal counsel questions this position, we
request that he contact Mr. Eugene McClellan, Jr. at the letterhead address
(Directed to Mail Station 35) or at 904/488-9314.
Also, I would like to bring to the Grantee's attention Special Easement Condition
Paragraph No. 18c, requiring the Grantee to provide written notification of the
date of commencement of construction to the Planning Manager of the Division of
State Lands West Central Florida District Office, 8402 Laurel Fair Circle, Suite
212, Tampa, Florida 33612.
Please note that a requirement of the easement is that the Grantee have the fully
executed easement (all pages) recorded in the official records of Pinellas County
within ten days after receipt of this letter. Please send a copy of the recorded
easement indicating the book and pages at which the easement is recorded to Mrs.
