EASEMENT
KNOW ALL MEN BY THESE PRESENTS, that the undersigned,
CITY OF CLEARWATER, FLORIDA, a municipal corporation, its successors
and as signs (GRANTOR herein), in consideration of the sum of $1.00 and
other valuable considerations, the receipt of which is hereby acknowledged,
grants and conveys to FLORIDA POWER CORPORA TION, its successors,
lessees and assigns (GRANTEE herein), the right, privilege and easement
to construct, reconstruct, operate and maintain in perpetuity a single
supporting structure within a six (6) foot by seven (7) foot area, together
with attachments and accessories in connection therewith, over, upon and
across the following-described lands in Pinellas County, Florida, and,
referred to hereinafter as the "Easement Area" to wit:
North 6 feet of the East 7 feet of Pine Crest Subdivision,
Lot 1, Block 1, P. B. 1, Pg. 66, Section 10, Township
29 South, Range 15 East, Pinellas County, Florida,
with the right to inspect, alter, improve, repair and rebuild the facilities
within said Easement Area, including the right to increase or decrease the
number and type of wires and voltage.
GRANTEE shall have all other rights and privileges reasonably
necessary or convenient for the safe and efficient operation and maintenance
of said electric transmission and distribution lines and related facilities,
including the right to trim, cut and keep clear limbs and undergrowth along
said lines, and further including the reasonably right to enter upon the ad-
joining lands of the GRANTOR for the purpose of exercising the rights her ein
granted.
GRANTOR shall not utilize the Easement Area in which the facilities
are located in any way or manner which would create a dangerous condition
with respect to said facilities or create any interference with the construction,
reconstruction, removal, repair or safe operation and safe maintenance of
said facilities. Request for any utilization of said Easement Area will be
submitted in writing to GRANTEE and GRANTOR agrees to reimburse GRANTEE
for any relocation of the facilities necessitated by GRANTOR'S planned
utilization of said Easement Area, and GRANTOR covenants to indemnify
and hold GRANTEE harmless from any and all damages and injuries, whether
to persons or property, resulting from interference with the facilities by
GRANTOR, its agents or employees.

GRANTOR warrants and covenants that it has the right to convey to
GRANTEE this Easement.
Any existing City of Clearwater facilities located in the area which
is the subject matter of this grant of easement which must be removed or
rtplaced shall be removed or replaced by Florida Power Corporation at its
expense.
All covenants, terms, prOVISIons and conditions herein contained shall
inure and extend to and be obligatory upon the successors, lessees and assigns
of the respective parties hereto.
