EASEMENT

FOR AND IN CONSIDERA TION of the sum of One Dollar ($1.00) cash in
hand paid to it, the receipt and sufficiency of which are here by acknowledged,
and the benefits to be derived therefrom, the CITY OF CLEARWATER, FLORID.
a municipal corporation, does hereby grant and convey to PACT, INC., a
FlOrida non-profit corporation, its successors, assigns, invitees, and guests,
an easement for public parking purposes only over and across the real property
described on Exhibit "A", attached hereto, which real property is lying and
situate in Pinellas County, Florida.
PACT, INC., its successors and assigns, shall have the right to enter
upon the subject real. property and grade, level, fill, drain, pave, build,
maintain, and repair a public parking lot. PACT, INC., its successors and
assigs, shall have the further right to construct upon such easement property
such improvements as are commonly associated with a public parking iot, such
as, but not limited to, lighting installations and signs.
This grant of easement shall continue as long as PACT, INC., or its
successors and assigns, continues to operate the performing arts center or
until ~,uch time as the obligations outstanding with respect to the performing
arts center have been satisfied, whichever event occurs first; provided
that said grant of easement shall become. and remain absolute in the event
title to the dominant tenement shall be acquired by the first mortgagee or
by a purchaser in a foreclosure or judicial sale.
IN WITNESS WHEREOF, the CITY OF CLEARWATER, FLORIDA,
has caused these presents to be executed in its name by its City Manager,
