does hereby grant and convey to the CITY OF CLEARWATER, FLORIDA, an easement
over, under and across the following described land, lying and being situate
in the County of Pinellas, State of Florida, to-wit:
That portion of Lots 19 and 20 G. L. Bidwell's Oakwood Addition to
Clearwater, Florida, as recorded in Plat Book 1, Page 46, of the Public
Records of Pinellas County, Florida. and Lot 1, Nicholson and Sloan's
Subdivision, as recorded in Plat Book 1, Page 38, of the Public Records of
Pinellas County, Florida, described as follows:
Begin at the Southwest corner of Lot 19 of said G.L. Bidwell's Oakwood
Addition to Clearwater, Florida and run Easterly along the Southerly line of
said Lot 19, 8.00 feet to a point hereby designated for reference as Point
"A"; beginning again at the point-of-beginning, run Northeasterly along the
Westerly lines of Lots 19 and 20, 83.55 feet; thence run Southwesterly to
previously designated Point "A".
AND
Begin at the Northwest corner of Lot 1 of said Nicholson and Sloan's
Subdivision and run Easterly along the Northerly line of said Lot 1, 8.00
feet to a point hereby designated for reference as Point "B"; beginning again
at the point-of- beginning, run Southerly along the Westerly line of said Lot
1 to the Southwest corner of said Lot 1; thence run Easterly along the
Southerly line of said Lot 1, 2.00 feet; thence run Northeasterly to
previously designated Point "B".
Together with a temporary construction easement lying two feet (2') East of
and adjacent to the above described easement. This temporary easement will
expire at completion of the construction.
This easement being for sidewalk purposes.
The CITY OF CLEARWATER, FLORIDA, shall have the right to enter the above
described premises and inspect the placement and dimensions of said sidewalks
to insure conformance with City specifications and thereafter maintain same
from time to time; and that,
The GENERAL PUBLIC shall have full and free use of said sidewalk at any
time and all times for traveling purposes.

THIS SUBORDINATION TO EASEMENT AGREEMENT (the "Agreement") is
entered into this 17th day of January ,1991 ,by
C & S NATIONAL BANK , (the "Lender"), in favor of the CITY OF
CLEARWATER, FLORIDA, (the "Grantee"), and is made in reference to
the following facts:
(A) SKS #5, INC., A FLORIDA CORPORATION, (the "Fee Owners")
are the owners in fee simple title of that certain real property
situate, lying and being in Pinellas County, Florida, and being more
particularly described as Lots 19 and 20, G.L. Bidwell's Oakwood
Addition and Lot 1, Nicholson and Sloan's Subdivision, (the
" Property" ) .
(B) The lender, C & S NATIONAL BANK, has made a first mortgage
loan to Fee Owners in the original principal amount of THREE HUNDRED
AND FORTY THOUSAND DOLLARS ($340,000.00) (the "Loan") which is
secured, among other things, by a note, mortgage and certain other
instruments of security executed by Fee Owners in favor of Lender
(collectively the "Instruments of Security"). Certain of such
Instruments of Security, and specifically the mortgage, encumber the
fee simple title of Fee Owners in the Property, said mortgage being
recorded in Official Records Book 6807, Page 2122, of the Public
Records of Pinellas County, Florida.
(C) The Fee Owners have granted to Grantee an easement,
described in Exhibit "A" and "B" to construct, install and maintain
a sidewalk upon the Property by virtue of that certain Easement
between Grantee and Fee Owners, to be recorded with but prior to
this document in the Public Records of Pinellas County, Florida,
(the "Easement").
NOW THEREFORE, for and in consideration of the premises, and
for other good and valuable consideration in hand paid to the
Lender, receipt of which is hereby acknowledged, the Lender does
hereby covenant and agree as follows:
1. Subordination. The Lender does hereby agree that its
first mortgage lien and all other right, title and interest in the
Property which is encumbered by Lender's Instruments of Security, is
hereby made subject, subordinate and inferior to the Easement in
favor of Grantee.
2. Defaul t. The Lender hereby warrants and represents to
Grantee that it is the current owner of the Lender's interest in the
Instruments of Security and that no defaults presently exist
thereunder.
