Dear a,
Please be advised that in accordance with Article V, Termination, paragraph (1), this letter shall
serve as notice of termination, for cause, of the above referenced Agreement, FLA has
materially breached the Agreement as follows:
1, As the exclusive operator contracted to conduct softball camps, lessons, training,
recreational and motivational programs at the Eddie C, Moore 8 & g Complex, FL hhas
failed to conduct such programming as described in Article II, responsibilities of the
Agency, 1(a) Programs;
FLA has failed to provide the required percentage of gross revenue payments as
described in ,Article II, l espons bil[ties of,Agency, paragraph 4, Payment of Fees and
Taxes
3. FLT; has failed to provide audited annual reports of activities as described irr Article fl,
Responsibilities of Agency, paragraph d(a), Scheduled report of Agency Activities as
required within sixty ( 0� days of the end of each of F, "s fiscal years; and
FHA has failed to provide required insurance as described in Article IE, Responsibilities
of Agency paragraphs 1 ( ) t err ugh 10(9) In su rance.
Therefore, in accordance with the Termination provision, this Agreement shall terminate thirty
X30) days from the date of your actual receipt of this letter, or in any event, thirty (30) days
following the fifth (5'1"") business day after which this letter was mailed, We trust YOU Will
cooperate by vacating the subject premises within that tirnefrarne,
