1961, between CITY OF CLEARWATER, a municipal cor
the laws of the State of Florida, as Owner, and SHELL OIL COMPANY, a corpo-
ration organized and existing under the laws of the State of Delaware,
Parties of the First Part, herein called GRANTORS, and FLORIDA POWER CORPO-
RATION, a corporation organized and existing under the laws of the State of
Florida, with its principal place of business at 101 Fifth Street South, in
the City of St. Petersburg, County of Pinellas and State of Florida, Party
of the Second Part, herein called GRANTEE.
WITNESSETH
A. WEEREAS, GRANTOR, CITY OF CLEARWATER, is the OWNER in Fee
Simple, and GRANTOR, SHELL OIL COMPANY, is the LESSEE, of a tract of land
in the City of Clearwater, County of Pinellas and State of Florida, described
as fOllows,to wit:
The North 60 feet of the West 95 feet of
Lot 10, City Park Subdivision according
to plat thereof recorded in Plat Book 23,
Page 37, Public Records of Pinellas County,
Florida.
B. WEmREAS, GRANTEE is engaged in the business of manufacturing,
transmitting and distributing electric energy to the public; and
C. WHEREAS, GRANTORS have constructed upon a portion of the above-
described property a service station. In connection therewith, GRANTEE has
been requested by GRANTORS to extend underground electric service to said
service station and premises and to the public; and
D. WHEREAS, GRANTEE is desirous of constructing and installing
(1) a concrete foundation pad (outdoor type), upon which will be located a
metal enclosed transformer, and (2) underground conduits, all being necessary
to provide electric service to said service station and premises and to the

public. GRANTEE'S concrete foundation pad and underground conduits are to
be constructed and installed at the locations shown on Drawing No. M-153-S,
dated May 11, 1961, attached hereto, incorporated herein and by this refer-
ence made a part hereof; and
E. WHEREAS, GRANTEE is desirous of obtaining an easement to
(1) locate, construct, utilize and maintain said concrete foundation pad,
(2) install, operate and maintain said metal enclosed transformer with
related accessories, (3) locate, construct and maintain said underground
conduits, (4) locate, operate and maintain in said conduits, primary and
secondary cables, (5) install, construct, operate and maintain fixtures,
equipment and accessories necessary and desirable in connection with
Items (1), (2), (3) and (4) above, said Items (1), (2), (3), (4) and (5)
hereinafter called "facilities".
NOW, THEREFORE, for and in consideration of the mutual benefits
hereunder and of the mutual covenants and conditions contained herein
GRANTORS do hereby grant and convey to GRANTEE the right, privilege,
right-of-way and easement described and shown on said Drawing No. M-153-S
(herein referred to as the "easement area") on, over, across, through and
under the lands described in Paragraph A above and the right (1) to con-
struct, operate, maintain, repair and remove said facilities, (2) of ingress
and egress to and upon the first above-described land for the purpose of
exercising the rights and privileges herein granted for such period of time
as it may use the same or until the use thereof is abandoned by GRANTEE.
The parties hereto agree as follows:
1. GRANTEE shall have the right to inspect, alter, improve,
repair, remove and rebuild sa.id f'acilities together with the rights and
privileges necessary and convenient for the full use and enjoyment thereof.

5. GRANTORS covenant that they have the right to convey this
easement and that GRANTEE shall have quiet and peaceful possession, use
and enjoyment of said easement.
All covenants, terms, provisions and conditions hereof shall
inure to the benefit of and be binding upon the parties hereto and their
respective successors and assigns.
IN WITNESS WHEREOF, the CITY OF CLEARWATER has caused its
name to be hereunto subscribed by the City Manager of said City, con-
firmed by the Mayor of said City and attested by the City Clerk, and
SHELL OIL COMPANY has caused these presents to be signed in its name
