LJ October ,1987 between CLEARWATER COLLECTION AS_SOCIATES,... LTD., a Florida limited partnership ("Sembler"), the CITY. OF CLEARWATER, a municipality located in the state of Florida ( "City") ; LECHMERE, INC. , a Massachusetts corporation ("Lechmere"); and MAURICE A. ROTHMAN ("Rothman"); WIT N E SSE T H: WHEREAS, Rothman is the owner in fee simple of that certain parcel of real property situate in the County of Pinellas, State of Florida, more particularly described on Exhibit "A" attached hereto and incorporated herein by reference ("Rothman Property") ; and WHEREAS, City is the owner in fee simple; of that certain parcel of real property situate in the County of Pinellas, State of Florida, more fully described on Exhibit liB" attached hereto and incorporated herein by reference ("Easement Property");' WHEREAS, Rothman has leased and granted an option to purchase to Sembler that portion of the Rothman Property which is more fully described on Exhibit "C" ("Sembler Property") and evidenced in part by the Memorandum of Ground Lease and Real Estate Option dated February 27, 1987, and recorded in O.R. Book 6440, Page 1998 of the Public Records of Pinellas County, Florida, on March 5, 1987; WHEREAS, Rothman has leased and granted an option to purchase to Lechmere that remaining portion of the Rothman Property which is more fully described on Exhibit "0" ("Lechmere Property") and evidenced in part by the Memorandum of Ground Lease and Real Estate Option dated February 11, 1987, and recorded in O.R. Book 6440, Page 1994 of the Public Records of Pinellas County, Florida, on March 5, 1987; and WHEREAS, Rothman, Lechmere, and Sembler desire to obtain and City is willing to grant an easement over, across, under, through and onto a portion of the Easement Property, under the terms and conditions and for the purposes set forth hereinbelow; NOW, THEREFORE, for Ten Dollars ($10.00) and other good and valuable consideration, the adequacy and receipt of which is hereby acknowledged, the parties hereto agree for themselves, and their heirs, successors and assigns, as follows: 1. Recitals. The foregoing recitals are true and correct and are hereby incorporated by reference. 2. Easement Grant. City hereby grants to Rothman, Lechmere, and Sembler a perpetual non-exclusive easement for the purposes of (i) drainage and discharge of stormwater runoff from the Rothman Property, Lechmere Property, and Sembler Property and the Easement Property and (ii) mitigation of all wetlands requirements for the Rothman Property, Lechmere Property, and Sembler Property over, across, under, through and onto that portion of the Easement Property designated as areas 2 and 3 on the aerial map and sketches attached hereto collectively as Exhibit "E" and incorporated herein. 1~j 1593!O7 oj. +0 to L. tON087 ~~5. -:SO ;)" 5'5 ,";6.05 CHfI. +1 ; JTi~L JJI()tf5-Q/~ 7 I & ~.R. 8 618p!G~ ~1 91 . ; . . located as specified as area I on Exhibit "E" ("Retention Pond"), (ii) stormwater drainage pipes, which pipes shall drain all stormwater drainage from the Rothman Property, Lechmere Property, and Sembler Property into the Retention Pond, (iii) an additional retention area having the approximate dimensions and 19cated as specified as area 2 on Exhibit "E" ("Additional Retention Area"), and (iv) all wetland mitigation areas required by any governmental authority having jurisdiction over the Rothman Property, Lechmere Property, and Sembler Property or Easement Property ("Wetlands"). City hereby agrees to cooperate with Sembler in obtaining the necessary pernd ts and authorizations from all governmental authorities having jurisdiction over the Rothman Property, Lechmere Property, and Sembler Property for construction of the Retention Pond, pipes, Additional Retention Area and Wetlands. Sembler, at its sole cost and expense, shall remove all fill produced as a result of the excavation and construction of the Retention Pond and Additional Retention Area. 4. Right of Ingress and Egress. Sembler, Rothman and Lechmere shall have the full right of ingress and egress over, across, under, through and onto the Easement Property to construct, install, repair, maintain and replace any drainage or stormwater facilities located thereon and to inspect and alter such facilities from time to time. 5. Sembler shall, at its sole cost and expense, construct and install the following improvements on the Easement Property: (a) all drainage pipes necessary to connect the existing underdrain system on the Easement Property, specified as area 3 on Exhibit "E," to the Retention Pond; (b) Approximately twenty-five (25) paved parking spaces on the Easement Property, said parking spaces as shown as area 4 on Exhibit "E" and the attached sketch; (c) Approximately forty-two (42) additional paved parking spaces on the Easement Property, said parking spaces as shown as area 5 on Exhibit "E" and the attached sketch; (d) Approximately three (3) additional parking spaces on the Easement Property, said parking spaces as shown as area 7 on Exhibit liE;" and (e) Approximately 1,000 lineal feet of access road on the Easement Property to be resurfaced/overlayed as shown as area 6 on Exhibit "E.II In 'addition Sembler shall clean and reshape the drainage ditch on the Easement Property as shown as area 8 on Exhibit IIC." 6. Notwithstanding any other provision of this Agreement to the contrary, (i) Rothman, Lechmere, and Sembler shall have no duty or obligation to maintain any of the improvements specified in paragraph 5 above, and (ii) nothing contained herein shall grant Rothman, Lechmere, or Sembler or the users of the Rothman Property, Lechmere Property, or Sembler Property any right or privilege to use or enjoy the improvements on the Easement Property specified in paragraph 5 above. 7. Binding Effects. The obligations set forth in this Agreement are declared to run with the land and are intended to bind the Easement Property and to benefit the Rothman Property, Lechmere Property, and Sembler Property. Each person, firm or corporation accepting a conveyance of the Easement Property and/or the Rothman Property, Lechmere Property, or Sembler Property, or any portion thereof, shall be bound by the terms, provi~ions and conditions of this Agreement as if said person, firm or corporation were original parties hereto. -2- I I 4.~. This Agreement shall be construed and enforced in accordance with the laws of the state of Florida and shall be binding on the parties hereto and their respective heirs, successors and assigns.
