struing or enforcing this Easement Agreement shall be borne by the GRANTEES.

roadway and conductors. Ground elevation must not be increased more than two
feet (21).

GRANTOR'S right-of-way strip, for patrol, maintenance and emergency repair of
its electric lines and facilities.
12. That GRANTEES shall not operate a dragline wi thin the r ight-of-
way strip.
13. GRANTEES are hereby notified ilnd agree to so notify ilny repre-
sentatives or persons utilizing said areas with GRAHTEES' knm-Jledge or under <<
GIV\NTEES' control, that extreme caution .is necessary ilround all <Juying or rela-
ted facilities, and in.the event of any damages or injuries, GRANTEES agree to
notity GRANTOR immediately.
14. That any other utili tics such as street lights, overhead or
underground utilities proposed for inclusion in the road right-of-way, must be
submitted to GRANTOR for prior approval.
15. That parking be prohibited in the right-of-way strip and posted
accordingly.
16. That GRANTEES shall not install cathodic protective devices with-
out first notifying GRANTOR'S Corrosion and Grounding Engineer, Edward R. Beeman,
telephone (813) 866-5727, st. Petersburg.
17. That GRANTEES maintain twelve inches (12") of clearance between
the oil pipeline and other pipes being buried and cro.ssing the line.
18. That minimum soil cover requirement of 48" as referenced from
top of pipe to road bed, be maintained by GRANTEES.
19. That GJ~NTOR shall not be liable (or damilge to GR^NTECS' improve~
ments howsoever resulting from the use or 'OCCUP;ll1cy of the premises by GRJ\N'l'OR.
GRANTOR, however, shall not willfully cause undue damage tG silid improvements.
20. That GRl\NTEES, their successors, lessees and a:;si'Jns, shall not
build, construct, or creale any buildin<)s or structures other thLln the suid 11:1-
provements within the said Easement Area.
"21. That GRl\NTEES' operations, ilctivities and cquipn.ent used within
the Easement J\rea beneath or in proximity to any of GIU\NTOr.'S electric facilitics

National Electrical Safety Code (NE..SC) and the OCCLJpationill Safety and Health l\ct

cy of GIV\NTOR'S prcfilises by GRIIl\TEES, their employees, ilqents, contractors or ny
represef1.tati ve, and (e) that GRJ\NTEES covenant not to inLer f('re wi th GRANTOR' S
facilities in any manner .....hatsocver and sh.:1l1 fully indemnify GRldJTOR flom any
and all losses as in Section "(d)" above resulting from such interference.

25.. Th'at upon GRl,NTEES' breach of ilny condi t ion contained here'in,
this easement after written notification by GRANTOR to GRf\NTEES of such breach,
and upon failure of GRANTEES to remedy or remove such brcilch wi thin a per j od of
sixty C6U) d~vs after receipt of such written notification, shall becnmn Ilull
and void and all grants and rights contained herein shall thereupon imJnC'diilteJy
terminate and revert to the GRANTOR in absolute, it being expressly understood and
agreed that the GMNTEES shall, be liable for any and all losses as mentioned in
Paragraph 24 above occurring up to the effective date of such termination.
GRANTEES further covenant to reimburse GRN--lTOR for any monie,s expended before or
after termination by GRANTOR to return the Easement Area to its original con?ition.
26. That this Agreement shall inure to the benefit of and be bin~Il(.l
upon the Parties hereto and their respective successors, lessees and assigns.
27. That the validity of this Agreement is contingent upon GRJ\NTEES
first obtaining proper zoning, authority, approval and/or permit from the appro-
priate governmental body or public agcncy having jurisdiction over such utiliza-
tion'at this location. If such zoning, authority, approval, and/or permit is
not secured, this Agreement will be considered null and void.
28. That upon completion of operations, GRANTEES shall notify
GRANTOR'S Superintendent of Transmission Rights-of-Hay heretofore mentioned 1n
above paragraph I for inspection of the Easement Area.
29. That GRANTEES furnish GRANTOR with a set of as-built drawings
within thirty days of final construction.
The GRANTOR covenants that it has the righ~ to convey this Easement
Agreement and that th~ GRANTEES, their successors, lessees and ilssigns, shall
have quiet and peac~ful possession, use and enjoyment thereof subject to the above
terms and conditions.
IN WITNESS ~IEREOF, the aforesilid Parties have caused these presents
to ge signed in their respective' names by their proper officers thereunto duly
authorized and their respective corporate ,seals to be hereunto affixed and attested,
