SECTION I
Introduction
This request for proposal is being issued to qualified bidders (company, firm, partnership,
individual), for repairs or replacement of City-owned concrete seawalls at multiple locations
throughout the City. This contact is performance based and can be renewed for a second and
third year at the discretion of the City. Three seawalls all located on the land side of Clearwater
Harbor at the Seminole Street Boat Ramp, the west end of Turner Street and the west end of
Roger's Street are the first to be addressed under this contract. The contract will be to furnish all
materials and labor to repair seawalls in accordance with Reuben Clarson Consulting Designs
and Specifications. Unit pricing for these first three sites will be basis for future repairs to
follow.

2.0 Contractor Qualifications
Each contractor must demonstrate that they have the necessary facilities, equipment,
ability, financial resources and experience to perform the work in a satisfactory manner.
Each firm proposing on this contract shall provide the following information:
(a) Brief background about the Company, including length of time in business
(b) Previous relevant experience including job values
(c) Personal qualifications
(d) Proof of profession licenses
(e) Company owned equipment list
3.0 Information to be Submitted
The Contractor shall submit a cost proposal shall be provided in the format shown on the
Bid Schedule form. The proposal/bid for this contract should be a total work cost,
material, labor, and other associated costs, with a 10% contingency; no open contract,
and/or hourly wages will be accepted, but can be included for reference. Travel costs are
to be included in the cost; no additional reimbursement for mileage will be considered.
Submittal of a 10% performance bond is required at the time of written
agreemendcontract.

4.0 Delivery Requirement/Number of Copies Required
The delivery submissions to the City of Clearwater Purchasing Offlce prior to the
specified date and time is solely and strictly the responsibility of the vendor. Proposals
received after the below stated date will not be considered. Six (6) hardcopies and one
electronic copy of submissions of all the information requested in this Request for
Proposal and Quotes shall be submitted, clearly marked on the outside RFP# 30-12 to the
attention of the City's Purchasing Manager, Mike Murray, City of Clearwater, P.O. Box
4748, Clearwater, FL 33758-4748 or delivered to 100 S. Myrtle Avenue, Clearwater, FL
33756-5520 prior to 4:00 p.m. on June 29, 2012.
5.0 Inquiries and Addenda
Each respondent shall examine all RFP documents and shall judge all matters relating to
the adequacy and accuracy of such documents. Any inquiries, suggestions, or requests
concerning interpretation, clarification, or additional information pertaining to the RFP
shall be made through the City of Clearwater's Purchasing Manager, Mike Murray, at
P.O. Box 4748, Clearwater, FL 33758-4748; or 100 S. Myrtle Avenue, Clearwater, FL
33756-5520; or FAX (727) 562-4635 or Michael.Murray@myclearwater.com. The City
shall not be responsible for oral interpretation given by any city employee, representative,
or others. The issuance of a written addendum is the only offcial method whereby
interpretation, clarification, or additional information can be given. If any addenda are
issued to this RFP, the City will attempt to notify all prospective vendors who have
secured same. However, it shall be the responsibility of each vendor, prior to submitting
the qualifcation package, to contact the City of Clearwater's Purchasing Manager at
(727) 562-4630 to determine if addenda were issued and to make such addenda a part of
RFP.
6.0 Examination of Documents and Sites
It is the responsibility of each responder to examine the contract documents thoroughly,
visit the site to become familiar with local conditions that may in any manner affect cost,
progress, performance or furnishing of the work; consider and abide by all applicable
Federal, State, and local laws, ordinances, rules and regulations. Each responder
preparing the proposal in response to this request shall bear all expenses associated with
the preparation. Responders shall prepare a response with the understanding that no
claims for reimbursement shall be submitted to the City for the expense or preparation.
7.0 Proposal and Bid Evaluation Criteria
Selection shall be based on the following considerations with each item weighted
according to the percentage number:
(a) Technical — Proposed approach, understanding of the scope of work,
management and maintenance practices__________________________________________________25%

A committee composed of representatives from Engineering will review submittals,
conduct interviews (if necessary), rate each proposal, and make final selection.
8.0 Standard Condition for "Request for Proposal"
8.1 Right to Protest — Any actual or prospective bidder who is aggrieved in
connection with the solicitation or award of this contract may seek resolution of
his/her complaints by contacting the Purchasing Manager.
8.2 No correction — Once a competitive proposal is submitted, the City shall not
accept any request by a responder to correct errors or omissions in any
calculations or competitive price submitted.
83 Openness of Procurement Process — Written competitive proposals, other
submissions, correspondence, and all records made thereof, as well as
negotiations conducted pursuant to this RFP, shall be handled in compliance with
Chapters 119 and 286 Florida Statutes. The city gives no assurance as to the
confidentiality of any portion of any proposal once submitted.
8.4 No Collusion — By offering a submission to the RFP, the responder certifes the
responder has not divulged to, discussed or compared his/her competitive
proposal with other responder and has not colluded with any other responder or
parties to his competitive proposal whatsoever.
8.5 Informality Waiver/Rejection of Bids — The City reserves the right to reject any or
all responses and to waive any irregularity, variance or informality whether
technical or substantial in nature, in keeping with the best interests of the City.
8.6 Appropriations Clause — The City, as an entity of government, is subject to the
appropriation of funds by its performance in accordance with the terms and
conditions of this remain in effect. Upon notice the sufficient funds are not
available in the subsequent fiscal years; the City shall thereafter be released of all
terms and other conditions.
9.0 Written Agreement/Contract
Any party providing services or products to the City will be expect to enter into written
agreement or contract with the City that incorporates all of the pertinent provisions of this
RFP and insurance and insurance requirements contained herein. A failure to do so may,
at the sole option of the City, disqualify any bidder or responder or services and/or
products. Submittal of a 10% performance bond is required at the time of written
agreement/contract.

10.0 Insurance Requirements for Agreement
101 Statement of Purpose — The City of Clearwater enters into agreements and
contracts for services and/or products with other parties.
Agreements and contracts shall contain Risk Management/Insurance terms to
protect the City's interest and to minimize its potential liabilities. Whenever
applicable, the following terms shall be included in agreements and contracts.
10.2 City Defined — The term "City" (whenever it may appear in this E�chibit) is
defined to mean the City of Clearwater itself, its Council, the Community
Redevelopment Agency of the City of Clearwater, a Florida governmental agency
created pursuant to Part III, Chapter 163, Florida Statute, its duly appointed
offcers, or other public bodies, officers, employees, volunteers, representatives
and agents.
10.3 Other Party Defined — The term "Other Party" (whenever it may appear in this
Exhibit) is defned to mean the other person or entity which is a party to an
agreement or contract with the City, any subsidiaries or affiliates, officers,
employees, volunteers, representatives, agents, contractors, and subcontractors.
10.4 Hold Harmless Defined — The term "Hold Harmless" (whenever it may appear in
this E�ibit) is defined to mean the City shall be held harmless against all claims
for bodily injury, personal injury, sickness, disease, death or damage to property
or loss of use resulting there from, or arising out of, the agreement or contract
unless such claims are a result of the City's sole negligence.
10.5 Payment on Behalf of City Defined — T'he term "Payment on Behalf of City"
(whenever it may appear in this E�chibit) is defined to mean the Other Party agrees
to pay on behalf of the City, and to pay the cost of the City's legal defense, as
may be selected by the City, for claims or suits arising from the fault of the Other
Party or other persons employed or utilized by the Other Party in performance of
the contract. Such payment on behalf of the City shall be in addition to any and
all other legal remedies available to the City and shall not be considered to be the
City's exclusive remedy.
10.6 Insurance — The Other Party shall, at its own cost and expense, acquire and
maintain (and cause contractors and subcontractors, if utilized, to acquire and
maintain) during the term with the City, suffcient insurance to adequately protect
the respective interest of the parties. Specifically the Other Party must carry the
following minimum types and amounts of insurance on an occurrence basis or in
the case of coverage that cannot be obtained on an occurrence basis, then
coverage can be obtained on a claims-made basis with a minimum three (3) year
tail following the termination or expiration of the Agreement. These insurance
requirements shall not limit the liability of the Other Party. The City does not
represent that these types or amounts of insurance to be sufficient or adequate to
protect the Other Party's interests or liabilities, but are merely minimums:

10.6.1 Commercial General Liability -$1,000,000 per occurrence, including but
not limited to, bodily injury, personal injury, property damage, premises-
operations, products/completed operations, contractual liability,
independent contractors, and liability assumed under an insured contract.
If Commercial General Liability Insurance or other form with a general
aggregate limit is used, either the general aggregate limit shall apply
separately to this projecdlocation or the general aggregate limit shall be
twice the required occurrence limit.
10.6.2 Automobile Liability -$1,000,000 per accident combined single limit, for
bodily injury and property damage for any owned, non-owned, hired, or
borrowed automobile.
10.6.3 Worker's Compensation — Other Party will obtain and maintain during the
life of this contract, Workers' Compensation insurance in accordance with
the laws of the State of Florida, for all of Other Party's employees
employed at the site of the project. Coverage should include Voluntary
Compensation and U.S. Longshoremen's and Harbor Worker's Act
coverage where applicable.
10.6.4 Employer's Liability -$1,000,000 each employee, each accident, and
$100,000 each employee/$500,000 policy limit for disease, and which
meets all state and federal laws. Coverage must be applicable to
employees, contractors, and subcontractors, if any.
10.6.5 WatercraftlAircraft Liability — If the Other Party's provision of services
involves utilization of watercraft or aircraft, watercraft and/or aircraft
liability coverage must be provided to include bodily injury and property
damage arising out of ownership, maintenance or use of any watercraft or
aircraft, including owned, non-owned and hired.
10.6.6 Products/Completed Operations Coverage — The Other Party is required to
continue to purchase products contract or agreement, for minimum of
three (3) years beyond the City's acceptance of renovation or construction
projects.
10.7 Acceptability of Insurers - Insurance must be placed with insurers with a current
A.M. Best's rating of no less than A-VII.
10.8 Deductibles and Self-Insured Retentions — Any deductibles or self-insured
retentions must be declared to and approved by the City. The City may require
the Other Party to provide proof of ability to pay losses and related investigations,
claim administration, and defense expenses within the retention.
10.9 Additional Insured — The City is to be specifcally included as an additional
insured on all liability coverage described above except for the Workers'
Compensation and Professional Liability coverage's.

10.10 Other Insurance Provisions — The General Liability and Automobile Liability
policies are to contain, or be endorsed to contain, the following provisions:
10.10.1Primary Insurance Coverage — For any claims related to this Agreement,
the Other Party's insurance coverage shall be primary insurance as
respects the City, its officers, officials, employees, and volunteers. Any
insurance or self-insurance maintained by the City, its officers, officials,
employees, or volunteers shall be excess of the Other Party's insurance
and shall not contribute to it.
10.10.2Right of Recovery — Except for Workers' Compensation, the Other Party
waives its right of recovery against the City, to the extent permitted by its
insurance policies.
10.10.3Severability of Interest/Cross Liability Provision — The Other Party shall
request that its insurers' policies include or be endorsed to include a
Severability of Interest/Cross Liability provision so the City will be treated
as if a separate policy were in existence without increasing the policy
limits.
10.10.4Hold Harmless/Indemnification — The Other Party shall defend,
indemnify, save and hold the City harmless from any and all claims, suits,
judgments and liability for death, personal injury, bodily injury, or
property damage arising directly or indirectly from any performance under
the Agreement, or a subsequent purchase order or contract entered into by
City and Other Party, its employees, subcontractors, or assigns, including
legal fees, court costs, or other legal expenses. Other Party acknowledges
that it is solely responsible for complying with the terms of the Agreement
or a purchase order or contract arising out of the Agreement.
10.10.5Notice of Cancellation or Restriction — Each insurance policy required by
this clause shall be endorsed to state that coverage shall not be canceled by
either party, except after thirty (30) days prior written notice sent via
certified mail, return receipt requested, has been given to the City. It is the
Other Party's responsibility to ensure the notice requirement is met.
10.11 Certificate of Insurance/Certified Copies of Policies — The Other Party, if
selected, will provide the City with a Certificate or Certificates of Insurance
showing the existence of coverage as required by the Agreement. In addition, the
Other Party will provide to the City, if asked in writing, certified copies of all
policies of insurance. The Other Party will maintain the required coverage with a
cunent Certificate or Certifcates of Insurance throughout the term of the
Agreement with the City. New certificates and new certified copies of policies
shall be provided to the City whenever any policy is renewed, revised, or obtained
from other insurers. The address where such certificates and certified policies

10.12 Consideration for Hold Harmless/Payment and Behalf — The Other Party agrees to
accept, and acknowledges as an adequate amount of remuneration, the
consideration of $100.00 for agreeing to the Hold Harmless, Payment on Behalf
of the City, Insurance and Certificates of Insurance provisions in the Agreement.
10.13 Subcontractors — Other Party shall require and verify all subcontractors, if used,
maintain insurance, including Workers' Compensation insurance, subject to all of
the reyuirements stated herein prior to beginning work.
10.14 Loss ControUSafety — Precaution shall be exercised at all times by the Other Party
for the protection of all persons, including employees, and property. The Other
Party shall be expected to comply with all applicable laws, regulations, or
ordinances related to safety and health, and shall make special efforts where
appropriate to detect hazardous conditions, and shall take prompt action where
loss control/safety measures should reasonably be expected.
The City may order work to be stopped if conditions exist that present immediate
danger to persons or property. The Other Party acknowledges that such stoppage
will not shift responsibility for any damages from the Other Party to the City.
10.15 Additional Insurance for Repair or Service or Other Contracts — If checked below,
the City requires the following additional provisions or types of insurance for
repair or service or other contracts to afford added protection against loss which
could affect the work being performed:
Installation Floater Insurance — Installation Floater insurance is to be
provided to cover damage or destruction to equipment being installed or
otherwise being handled or stored by the Other Party. The amount of coverage
should be adequate to provide full replacement value of the equipment being
installed, otherwise being handled or stored on or off premises. All risks
coverage is preferred.
Motor Truck Cargo Insurance — If the Installation Floater insurance does
not provide transportation coverage, separate Motor Truck Cargo or
Transportation insurance is to be provided for materials or equipment transported
in the Other Party's vehicles from place of receipt to building sites or other
storage sites. All risks covered are preferred.
Contractor's Equipment Insurance — Contractor's Equipment insurance is to
be purchased to cover loss of equipment and machinery utilized in the
performance of work by the Other Party. All risks coverage is preferred.
Fidelity/Dishonesty Insurance-Coverage for Employer — Fidelity/dishonesty
insurance is to be purchased to cover dishonest acts of the Other Party's

employees, including but not limited to theft of vehicles, materials, supplies,
equipment, tools, etc.; especially property necessary to work performed.
Fidelity/Dishonesty Insurance-Coverage for City —
Fidelity/Dishonesty/Liability insurance is to be purchased or extended to cover
dishonest acts of the Other Party's employees resulting in loss to the City.
10.16 Additional Insurance for Renovation or Construction Contracts — If checked
below, the City requires the following types of insurance for renovation or
construction contracts. This is in addition to the required coverage's previously
cited and the Additional Insurance for Repair or Service or Other Contracts.
Commercial General Liability Project Aggregate — Because the
Commercial General Liability form of coverage includes an annual aggregate
limitation on the amount of insurance provided, a separate project aggregate limit
is required by the City for this contract or agreement.
Owners Protective Liability — For renovation or construction contracts the
Other Party shall provide for the City an Owners Protective Liability insurance
policy (preferably through the Other Party's insurer) in the name of the CiTy.
X Builder's Risk — Builder's Risk Insurance is to be purchased to cover all
risks of loss in the complete and full value of the project with no coinsurance
penalty provisions. This insurance shall insure the interests of the City, the Other
Party, and all subcontractors in the work and shall insure against special form
causes of loss (all risk perils), including collapse during construction, for
replacement cost (including fees and charges of engineers, architects, attorneys
and other professionals). The Other Party shall obtain and maintain similar
property insurance on equipment, materials, supplies and other property and
portions of the work stored on or off site or in transit. Builder's Risk Insurance
shall be endorsed to permit occupancy until such time as the facilities are
completed and accepted by the City and written notice of the fact has been issued
by the City.
10.17 Professional Liability, Malpractice and/or Errors or Omissions — If checked below
the City requires the following terms and types of insurance for professional,
malpractice, and errors or omissions liability.
X_Hold Harmless — The following replaces the previous Hold Harmless
wording:
The City shall be held harmless against all claims for bodily injury, sickness,
disease, death or personal injury or damage to property or loss of use resulting
there from arising out of performance of the agreement or contract, unless such
claims are a result of the City's own negligence.
The City shall also be held harmless against all claims for financial loss with
respect to the provision of or failure to provide professional or other services
resulting in professional, malpractice, or errors or omissions liability arising out

of performance of the agreement or contract, unless such claims are a result of the
City's own negligence.
X Professional Liability/Malpractice/Errors or Omissions Insurance — The
Other Party shall purchase and maintain professional liability or malpractice or
errors or omissions insurance appropriate for the type of business engaged in by
the Other Party with minimum limits of $1,000,000 per occurrence.
If a claims made form of coverage is provided, the retroactive date of coverage
shall be no later than the inception date of claims made coverage, unless prior
policy was extended indefinitely to cover prior acts.
Coverage shall be extended beyond the policy year either by a supplemental
extended reporting period (ERP) of as great a duration as available, and with no
less coverage and with reinstated aggregate limits, or by requiring that nay new
policy provide a retroactive date no later than the inception date of claims made
coverage.
10.18 Written Agreement Contract — Any party providing services or products to the
City will be expected to enter into a written agreement, contract or purchase order
with the City that incorporates, either in writing or by reference, all of the
pertinent provisions relating to insurance and insurance requirements as contained
herein. A failure to do so may, at the sole discretion of the City, disqualify any
Party from performing services or selling products to the City provided, however,
the City reserves the right to waive any such requirements.

one-yeaz guarantee of material and labor, and his obligations thereunder, including the cantract
documents (which include the Advertisement for Bids, Form of Proposal, Form of Contract, Form of
Surety Bond, Instruetions to Bidders, General Conditions and Technical Specifications) and the
Plans and Specifications therein referred to and made a part thereof, and such alterations as may be
macte in said Plans and Specifications as therein provided for, and shall indemnify and save harmless
the said Owner against and from all costs, expenses, damages, injury or conduct, want of care or
skill, ne�li�ence or default, including patent infringements on the part of the said Contractor agents
or employees, in the execution or performance of said contract, including ermrs in the plans
fiunished by the Gontractor, and further, if such "Contractor" or "Contractors" shall promptly make
payrnents to ail persons supplying him, them ar it, labor, material, and supplies use� directly or
indirectly by said Contractor, Contractors. Sub-Contractor, or Sub-Contractors, in the prosecution of
the work provided for in said Contract, this obligation shall be void, otherwise, the Contractor and
Surety jointly and severaily agree to pay to the Owner any difference between the sum to which the
said Contractor would be entitled on the completion of the Contract, and that which the Owner may
be obliged to pay for the completion of said work by contract or otherwise, & any damages, direct or
indirect, or consequenNal, which said Owner may sustain on aeeount of such work, or on �count of

administrators, and assigns, jointly and severally, that they will amply and fully protect the said
Owner against, and will pay any and all amounts, damages, costs and judgments �vhich may be
recovered against or which the Ow�ner may be called upon to pay to any person or corporation by
te�son of any damages arising fr�m the performance of said work, or of the repair or maintenance
thereof, or the rnanner of doing the same or the negtect of the said Contractor or his agents or
servants or the improper perfortnance of the said work by the Contractor or his agents or servants, or
the infringements of any patent rights by reason of the use of any materia! furnished or work done; as
aforesaid, or othervvise.
And the said Contractor and Surety hereby further bind themselves, their successors, heirs,
exeeutors, administrators, and assigns, jointly and severally, to repay the owner any sum which the
Owner may be compelled to pay because of any lien for labor material furnished for the work,
embraced by said Contract.
And the said Surety, for the value received, hereby stipulates and agrees that no change, extensian of
time, alteration or addition to the terms of the contract or to the work to be performed thereunder or
the specifications accompanying the same shall in any way affect its obligations on this bond, and it

In addi6on to the foregoing provisions, the Contractor agrces to conform to the following requirements:
In connection with the performance of work under this contract, the Contractar agrees not to
discriminaxe against any emptoyee or applicant for employment because of race, sex, religion, color, or
national origin. The aforesaid provision shall include, but not be limited to, the following:
employment, upgrading, demotion, or iransfer; recnutment or recnutrnent advertising; lay-off or
termination; rates of pay or other forms of compensation; and selection for training, including
apprenriceship. The Contrac;tor agrees to post hereafter in conspicuous places, available for employees
or applicants for empbyment, notices to be �ovided by the contracting officer setting forth the
pmvisions of the non-di�cr�iminatian clause.
The Contractor futttier agc�es to insert the fomegoing provisions in all contc�cts hereunder, including
contracts or agreements with labor wuons and/or worker's representatives, excegt sub-oontractors for
standard commercial supplies or raw materials.
It is mutually agrced betvveen the parties hereto that time is of the esser�ce of this contract, and in the
event that the work to be perfo� by the Contrac;tor is not completed within the time stipulated
herein, it is then further agneed that the City may deduct from such suais or oompensation as may t�e
due to the Contractor the sum of SI.t160.00 ner dAV for each day that the work to be performed by the
Contractor remains incomplete be,�+ond the tiuie limit specified hentin, which sum of $1.000.00 n�r
� shall only aad solely represem damages which the City has sustained by reason of the failure of
the Con�ctor to complete the wark within the time stipulated, it being further agreed that this sum is
not to be construed as a pe�alty but is oaly to be construed as liquidated damages for failure of the
Contractor to complete and perform all wak within the rime period as specified in this contract,
It is further muhially agrec;d between the City and the Contractor that if, any time afier the execution of
this contraet and the surety bond which is atta�hed hereto for the faithful performance of the terms and
conditions as contained herein by the Contr�ctor, that the City shall at any time deem the surety or
stu+eties upon such performance bond to be un�isfactory or i� for any rea.son, the said bond ceases to
be adequate in amount to cover the performance of the work the Contrsctor shall, at his or its own
expense, within ten (ip) daj►s after n�eipt of written notice from the City to do so, furnish an additional
band nr bonds in such term and amounts and with such surety or sureties as shatl be satisf�ctory to the
City. If swch an event occurs, no further paymeni shall b� made to the Contractor under the ternYS and
provisions of this contr�ct until such new or additional security bond guaranteeing the faithftil
performanoe of the work ur�der tt�e terms hereof shall be completed and fumished to the Ciry in a form
satisfactory to it.
