AGREEMENT TERMINATION CERTIFICATE (IME - SITE II PROJECT) " KEN BURKE, CLERK OF COURT PINELLAS COUNTY FLORIDA INST# 2005490657 12/09/2005 at 02:13 PM OFF REC BK: 14794 PG: 1751-1754 DocType:AGM RECORDING: $35.50 AGREEMENT TERMINATION CERTIFICATE r---- (IME - SITE II PROJECT) Exhibit F This Agreement Termination Certificate ("Certificate") is made this \ 6 i--k day of November, 2005, by and between the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF CLEARWATER, FLORIDA, a public body corporate and politie of the Stat of Florida (the "Agency"), whose address is 112 South Osceola Avenue, Clearwater, Florida and S&P PROPERTIES, LC., whose address is 2808 Manatee Avenue West, Bradenton, FL 34205, as successor in interest to INFORMATION MANAGEMENT RESOURCES, INC., a Florida Corporation (the "Developer") whose address is 26750 U.S. Highway 19 North, Clearwater, FL 34621. This Certificate pertains to an Agreement for Development and Disposition of Property (IMR-Site II Project), by and between the Agency and the Developer, dated as of October 27. _ 1998 (The Development Agreement") which provided, among other things, for the sale of property within a project site as described in Exhibit "A" attached hereto and made a party hereof for the development and construction of the IMR-Site II Project, as same is defined in the Development Agreement. The Development Agreement has terminated in accordance with its own terms as proved in Section 11.05 thereof as of November 15, 2005, as is no long of any force or effect except for those provisions which expressly survive termination. This Certificate has been executed by the parties to the Development Agreement as provided in Section 11.06 thereof and constitutes a conclusive determination that the Development Agreement has been terminated, the rights, duties and obligations of the parties hereto have been terminated and released (subject to those surviving provisions) and the IMR-Site II is no longer subject to any restrictions, limitations or encumbrances imposed by the Development Agreement. A copy of the fully-executed Development Agreement is on file with the City Clerk, City of Clearwater, Florida, located at City Hall, 112 South Osceola Avenue, Clearwater, Florida, which is available for review and copying by the public.
