PERS�N RESP�NS�BLE FOR BROVVNFIELD SITE REHABILiTAT��N The Community Reclevelopme�t Agency of the City of Cfearwater, �loricla Es the !'RF'BSR as defined in §376.79(13), F.S., for �he real property�described in tF�e map and legai description in Attachment A(the "Brownfield 5ite"), incorparated herein, that has been designa#ed by the City of Cfearwater in Resolufion Number 97-57 on October 16, 1997 as a brawnfield area as defined in §376.79(4), �.S.. The designated Brov�nfield area was am�ndad by Gity of Clearwater Resolution Number 02�75 on March 7, 2002,, Attachment A is a camposite exhibit that includes: {a} the legal �escripfion and map ot the Brawnfie�d Site; and (b) the City's r�so[utions wifh afl atiachmenis including the rrtap of the d�sigrtated brownfield ar�a. The brawnfield site consists of 0.28 acres. 3. CERTIFICATION The PRFBSR i� the �acal go�ernment with jurisdiction over the real proper�y described in Atfachmenf A. Therefore, the PRFBSR certifies tha� the proposed rede��lopment cornplies with applicab�e laws ar�d requirem��#s for such redevelopmenfi. Dacumentation provided that describes the proposed redevelopm�nf is provided as Attachment D. 5. SITE CONTRACTOR TF�e PRFBSR must ensure that the contracfor who is performing the majority af fhe site rehabilitation program tasks �ursuant ta this BSRA or supervising the perFormance of such tasks by licensed subcantractors in accordance with the provisions of §�489.� 13(9), F.S., has provided cer�ificatian to the Depar�ment that t�e contractor meets the requir�ments listed below. CONTINUDUS COMPLIANCE During the entire site reha�ilitatian process, the PRFBSR agrees to ensure t�at the contracfor continues to comply with the requirements of Paragraph 5 of thES BSRA pursuant ta the requirements o�f �376.8�(6), F.S. 7. VOLUNTARY CLEANUP TAX CREDIT PROGRAM Not all activities that are appro�ec� or p�rFormed in associatian with a BSRA are eG�ible far tFte sfate's Volun#ary Cleanup Tax Credit {VCTC). In accordance with Chapter 62-788, F.A.C., only casts incurred and �aid t�at are either integral, necessary and required for site reha6ilita#ion or for salid waste removal, are eligii�le � for t�e VCTC. "Site rehabilitatior�° means the assessment of site contamination and the remediation ac#ivities fhat reduce the levefs of cantamirtanfs at a site through accepted treatment methocis to meet the c�eanup target ievels estabfished #ar that site. For purposes of sites subjeet to the Resaurce Conservation and Recovery Act, as amended, the term includes remo�al, d�confamination, and corrective action a� re�eases of hazardous substances. ADVISORY COMMITTEE The PRFBSR shall establish an advisary cammittee pursuant to the requirements of §376.80(4}, F.S., for the purpose of impro�ing public participation and receiving pUblic commenis on rehabilEtation and redeveiopmeni of the brownfjeld area, futur� land use, �aca[ emp�oymenfi appartunities, community safety, and environmental justice. The acivisory committee should include residents within ar adjacent io the brawn#ield area, b�sinesses operating within the brownfield area, and aihers deemed appropriate. Howe�er, if an appro�riate local advisory committee already exists, thFS cammif�ee may be used �or requesting public participafion and for the purposes of complyfng with �his paragraph. The PR�BSR shall provide fhe advisory committee a copy of the final propased draft BSRA and a copy of the executed BSRA. When the PRFBSR submits a site assessmenf report or tF�e technical document containing the proposed co�rse of aciian following site assessment to the Department or the local pallution contro! program fo� review, the PRFBSR shall hold a meeting or aft�nd a regulariy sche�uled meeting to mform th� ac�visory committee of the findings and recommendatians in ihe site assessment repart or the technical document cor�#aining fhe pro�osed course of action following site assessment. The names, addresses, and contact num�ers for all advisory commiftee mernbers are incfuded as Attachmen# G. 9. IND�MNfF1CATION The PRFBSR si�all save and hold harmfess and indemnify the Department against any and all liability, claims, judgments or costs of whatsoever Ecind and nature for injury fo, ar death of any person or persons and for the lass o� damage to any properiy resulting fram fhe use, serrrice, operation or perfarmance of wark under tf�e ierms of this BSRA and from t�e n�gligent acts or omissions of the PRFBSR or its employees, ag�nts, con�ractors, subcontractars, or other representatives, to the extent the PRFBSR's sov�reign imrnunity has been waived pursuant to §i68.28, �.S. LlABILITY PROTECTEON The iiability protection provided unc�er §376.$2, F.S., shall become efFective upon execution of this BSRA and shall remain effecti�e, provided the PRFBSR campli�s wi#h the terms of this BSRA. 11. TERMINATION ff the PRFBSR fiaifs fio comply wi�h this BSRA, the Department shall notify the PRFBSR and allow 90 days #or the PRFBSR ta return to campliance with t�e pro�ESion at iss�e or to negotiate a modificatian to the BSRA with the ❑epartment far good cause showr�. If an imminent hazard exists t�e 90-day grace period sha(I no� apply. If the project is not returned to complEance with this BSRA and a modificatian cannot be negotiated, the Department shall ferminate this BSRA. The PR�BSR may terminate this BSRA at any fime upan wriiten notice to the Department. Terrnination of this BSRA by either party will reva[ce t�e immurtifiy pravision af �376.82, F.S. 92, 1MMINENT HAZ4RD Nothing herein shall be construed to limit the authority of the Deparfinenf #o und�rtaK� any action in response to, or fo reco�er the costs of respor�ding fo, conditions a� or from the rea� property described in Attachmer�f A that require the Depar�ment to fake action to a�Oafe an imminenf hazard to the public �ealth, we[fare or t�e en�ironment. 13. REL�ASE OF LIABILITY Upon successful campletion of thES BSRA as �videnced �y the iss�ance ofi a Site Rehabilitafion Campletion Order (SRCO) for each contaminafed site origina#ing from the real property described in Attachmen� A, the PRFBSR and his or her successors and assigns, shall be relieved frorn furthar liability far site rehaf�ilitation as clescribed in paragraph 3.a. of this BSRA to the Dspartment and third parties and o�F fiabiliiy in contri�ution io any o�her party who has or rrtay ineur cleanup fiahility for the contaminated site{s). This rel�ase of liabili#y is subject to t�e reaper�er provisions of §376.82(3), �.S. 19�. GOV�RN[NG LAW This BSRA has t�een clel�v�red in the State of Florida and s�all be consfrued in accordance with the laws of Florida and any applicab�e lacal regulations. D�CUMENT REVIEW During fhe site rehabilitat9on process, if the �epartment fai[s to compfete the revi�w o� a iect�nical document within the time frame specifi�d in this BSRA, with the exceptions of "no furth�r action praposafs," "moniforing only praposals," and f�asibility sf�dies, which must be appro�ed prior fo impfem�ntation, fhe PRFBSR may proceed fo th� r�ext site rehabifitatiort task. However, the PRFBSR does so at its own risk and rrtay he required by the Depariment to com�I�te additional work on a �revious tasK. ASS�GNMENT The PRFBSR shaEl not assign ar�y rights or responsibilities under this BSRA to any other party without the written consent of the �epartm�nt and the locaf governm�nt with jurisdiction over the real praperty described in Afiachment A. However, the Oepartment shall not wtthhold its consenf to such an assignmenf if: {a) the praposed assignee meets all of the �ligibility criteria under §376.82, F.S.; (b) the praposed assignee has agreed, in writing, to assume afl abligaiions oF ihe PRFBSR und�r the terms of fih�s Agreement; and (c) the assignme�t of PRFBSR ob�igations under any agreement with the bcal ga�ernmeni with jurisdiction o�er the real praperty has been approved, in writing, by the local governm�nt. . 18. WAIVER By entering Ento thES BSRA, the PRFBSR waives its right ta ci�allange the contents of this BSRA in an administra#ive hear�r�g afforded by §120.569 and §120.57, �.S., or a� app�al affarded by the terms of §120.68, �.S. This BSRA does nat dany the PRFBSR a right ta chaElenge the Department's actions taken pursuant fo thEs BSRA. No delay or failure ta exercise any right, power or remedy accruing fo either par�y upon breach or default by either party under this BSRA, shall impair any such right, power or remedy of either parfy; nor shall such deEay or failure be consfrued as a waiver of any such br�ach or defaulfi, or any similar breach ar default thereafter. 19. EFFECTIV� DATE AND ADMINISTRATIVE HEARING This BSRA (Order) is final and effecti�e on th� date of execution �n�ess a timely pe#ition for an administrative hearing is filed under §§120.569 and 120,57, F.S., within 21 days af#er the date of receipt of notice o� agency action. Upon fh� timely filing of such pefition, this BSRA will not b� effective until fur�her order of fhe Departmen�.
