c� T�is Preliminary �ngineering Agreernent (this "Agreemeut") is made as ai
/�aer"�j(� ,� , 20f�, by and betw�en CSX TR.ANSP4RTATION, 1NC., a Virginia
coarporation with its pzincipal place nf business in Jackson�ille, Fiorida ("CSXT"), and City af
Ctearwat�r, Parks & Recreatron Depai�trtient, a body corpoxate and pv�itical subdivisipn of the Stat� of
Florida {"Agency"}.
EXPLI�.NATORY STA��M�NT
A�ency wishes to faczlztate the development of ihe proposed Multi-use t��a.il along t�e souti� side
of �akevievcr Road and crossing over the CSX'Fzack at Milepost AR�-882.fi8, DOT 626647T (the
"Project").
Agency has requested that CSXT �raceed v�ri3h cer�ain necessary engineering and/or desi�n
services for the Project ta facilitate the parties' co�sidezation of ti�e Project.
Subject ta the approval af CSX'i", which approval rr�a� be wit�eld �ar any reason directly or
indirectly related to safety or CSXT operatioz�s, pzaperry, or faeilities, the Project is to he
constructed, if at a�l, at na cast to GSXT, under a separaie eonstructzon ag�-eerr�ent ta be execufed
by the parties at a fufure date.
NOW, 'I'H�R�FOR�, far az�d in consideration of the fore�oing Explanatnry Statement and other
�ood and valuable ca�sideratipn, the receipt and suf£'icienay vf which are acknowledged by t�e parties,
the parties agree as foliows:
l. Scot�� o_f__Work
1.1. Generallv. '�"he wark ta be done by CSXT under this tlgreernen� s�afl coilsist of: (i) the
preparation or review and appro�al of prelizr�inary and final engineering and design plans,
specifications, drawings, agreements and other docuxnents pertaznzng tp the Project, (ii) the
pxeparation of cQSt estirnates for CSXT's wox�C in cpnnection with the Projeci, and {zzi) the
review of consiruction cost estiznates, sile surveys, assessrnents, studies, agreernents and related
constr�ction documez�ts sub�ni�ed to C�XT by Agency iar the T'roject (colIectively, tlae
"Er�gineering 'V4'ork"}. Engineering Wozk may also include of£'�ce revi�ws, fzeld reviews,
attenciing hea�zngs and meetings, and prepaxing cozresppndence, reports, and other
documentation in conneeiion with the �'roject. Nnthing contained in this Agreeznent s�all
oblige CSXT to pez-£orzn wor� wY�ich, in CSXT's opinion, is not relevan# to CSXT's
pa�icipation in the Prnject.
I.2. �ffeet af CSX�' A xov�� nr Pre aration of Docuzxaents. By its review, approval or preparation
of plar�s, speci�eations, ci�•awings or ather dncurr�ents purs�ant to ihis Agreerraent (collectiveiy,
t�e "Plaus"}, CSXT signi�es only tY�at the Plans and the �'roject proppsed tq be constructec� �n
accordance witl� t��e Plans satisfy CSX'F's requiz�ezr�ents. CSXT expressly disclaims all other
zepresentations ar€d warranties in con�ection with the Plans, ineludin�, but not lizni�ed to, the
integrity, suitability or �'itness �ar the purposes of Agency or any other persons af sueh Plans or
the Praject cons�vcted in accordance wi�� th� Plans.

2. Pro'ect Consi�ruetian. Nofhing contained in this A�reeznent sha�l be deemed ta constitute CSXT's
approvaI of or consen� to the cozzstz��ctican of tt�e Praject, which approval or consent rnay be with�eld
fpr any reason directIy or indirectIy reIated to safety or CSXT operatiozas, property, oz iacilities. The
Project if constructed is to be constructec�, if at all, under a separat� construction agreement to be
executed by the partzes at a�'uture date.
3. iteirnbursemen� of CS�T �x�enses.
3.1. Reizz�buzsable �x enses. Ager�cy shall reimburse CSXT for all costs anci expenses incurred by
CSXT in connection witk� the En�ineering Work, including, vvithout li�nrtation: (a) aIl out of
packet expenses, {ri) travel and (odging expenses, (izi} telephpne, facsiznile, anc� rnai�ing
expenses, (iv) costs for equipznent, tools, materiats a�id suppties, (v) su�ns paid to cansultan�s
and subcont�actors, and (vi) labor, together with labor overhead percentages established by
CSXT pursuant to app�icable law {cal3ecti�vely, the "Reimbursable Expenses").
3.2. �stirnaie. CSXT has esti�ated t�e �otat Reimbursab�e �xpenses for the Froject to be
appxoximalely �6,SOQ (the "Esti�nate" as amended or re�ised). Ir� the event CSXT anticipates
thaE actuai Reimbursable Expenses rraay e�ceed suc� �stiznate, it shall provide Agency with the
revised �stimate of total Reirz�bursala�e Expenses fpr Agency's ap�roval and con��ation that
su��cient funds hav� been appropriated to cover the total Rei�buzsable �xpenses as refiected
in the revised Estimate. CSXT �ay elect, by delivery nf notice to Age�zcy, to iznmediately
cease all further Engineering Work, unIess and until Agency provades such appravat and
can�rsnation.
3.3. Payrnent Tez�zns,
3.3,1. Advance Payrnent an �ull. Upon exeeution and delivery of tk�zs Agreement by
A�eracy, A�;ency wil€ cTepos€i rr,�iih CSX i a surx� eqaaI io it�e Rein�b�rsa�l�; �����ses,
as s�town by the Estirr►ate. A�e�zcy sl7ali pay CSXT for Reimbursable Expenses zn
the anaount set fart1� in CSXT Schedu�e I'rr� attached hereto, a copy pf ^which shall
accompany the advance payxraent. If GSXT antieipates that ii rzaay �nauz
Reimbursable �xper€ses in excess af the deposited amount, CSX'� wiil request an
additionat deposit equal to the then areznainin� Rearnbursable �xpenses which CSXT
estimates that it will incur. CSXT shall request such additianal depasit by delivery of
invoices tv Agency, Agency s�Zall zna�Ce sueh additional deposit within thirty (30)
days foliowing delivery nf such invoice ta Agency.
3.3.2. �'ollowing completion af all Engineering �ork, CSXT shall recoz�czle the totai
Reirnbttrsabie �xpenses incurred by CSXT against the tatal payme�lts received from
Agez�cy and shall subrrzit to Ageney a�nal znvoic� if required. flgency shall �ay to
CSXT i�e amount hy w%icla actuat Reimbursable Expenses exceed total payments, as
shown by the finai invoice, within thariy (3D} days fnllowing delivery to Agency o�
Ehe final invoice. CSXT will pzovid� a refund of any unused de�osits zf tl�e deposit
exceeds the incurred Reimbursab�e Expei�ses for th.e Projeci.
3.3,3. I�1 tl�e event that Age�ey fails to pay CSXT any sums due CSXT under this
Agreera�ent: (i) Agency s1�all pay CSXT interest at the l�sser of ].4% per month or

until paid in full; and (ii) CSXT may elect, by delivery of notice to Agency: (A) �o
irnmediately cease al� fu�t�Zex work an the Pxaject, unless az�d until Agency pays the
enti�e delinquent sum, toget�er �rith acer�zed interest; andlor {B) to tercninate this
Agreement.
3,4. �ffect of 'I"erminafion. Agency's obiagaiion to pay CSXT Reirrzbursable �xpenses az�
accordance wit� this Section shait survive terzninatian of this Agr�ern�nt for any reason.
4. A za ziatiar�s. Agency r�presents ta CSXT that: (r} Agency has obtained appxopriations suf�azeni
to reirnburse CSXT for the Reimbursable Ex�enses erzcozrzpassed by the initia� Estimate; (ii) Agency
shail use i�s best effoz�s to ob�ain appropriations necessary �o caver Reimbursable Expenses
encornpassed by subsequent Estirnates approved by Ageracy; and (iii} Agency si�ali prorr�ptly notify
CSXT in the event ihat Agency is unable to obtain such additional appropr'rations.
5. Terminatian.
5.1. Bv A�ency. Agency z�ay tez�inate this Agreement, for any reasoi�, by delive�y of notice to
CSXT. Such termination shall beeo€ne effec�ive upon the expiration of ��teen {15) calendar
days follawing delivexy of notice io CSXT or such later da�e designated by the notice.
5.2. B�CSXT. CSXi' may tenninate th"rs Agreem�nt (z} as provided pursuant �o Section 3.3.3., or
{ii) upon Agency's breach of any of th� ternas of, or its abligations under, this Agreement and
such breac� contin�es without cure �or a period of ninety (9�j days after written noti�catian
fro�n CSXT ta Agency of sueh breach.
5,3. Consequences of Tersz�inatian. If �e Agreement is ter�ninated by eilher pariy pursuaz�t to tk�is
Section pr any other provision of this Agreement, the parties understand that it may be
i�n�ractical ta ir�,-nediateiy sto� the �nginecring Work. Accordirgly, bath parties agr�e t�xat,
in sueh instance a pariy may cnntin�e to perform Engineering Work until it has reached a
point �here it may reasonahly aa�d/or safely suspend t�e �.ngineeri�7g Work. Agency shall
reiznburse CSXT purs�zant ta this Agreement for the Engineexing Work pexfarrs�ed, plus a11
costs reasnnably incurred by CSXT to discontinue the �r�gineering Work and aIl other costs
of CSXT incurred as a result o� the i'roject up to the time of fuil suspensian of the
Engineering Wo�k. �'ermination of this Agreemez�t or Ezzgineering Work on the �'rojeet, far
any reason, shall not ciiminish or xeduce �gency's obligation to pay CSXT for Reiar�zbursab3e
Bxpenses incurred izz accordance with this Agreement. In the event a£ t�e tez�rr�ir�atian of this
Agre�ment or the Eng'rneering Work £or any reason, CSXi"s on�y remaining oblagation to
Agezzcy s�all be to refund to Agency payments rri.ade to C�XT in excess of Reirr�bursable
Expenses in accnrdance with Section 2.
6. �ubcozztzacts. CSXT shall be permitted to engage outside consul�ants, cnunsel and subcontractors to
per%rm atl or any portion of the Engineering Wnrk.
7. Noiices. AII natices, consents and approvals xequizec� pr p�rmifted by this Agreement sha11 be zra
writi��g and shal] be deemed delivered (i) on the exparatian oithree (3} days fallawi�ig rrzaitan�'by �'irs�

ca��ier, or (iii) on the date of transmission, as evidenced by writ�en confirrr€ation of successful

Entire Agreement. This Agreement embadies the entire understanding o£ the parties, �ay not be wai�ed
oz znadi�'iect except in a wz�iting si�ned by aut�orized representatives of both parties, and s�rpersedes all
prior or conte�nporaneous written ar araI understandings, agreeynents or negotiations regarding its subject
maiter. In the event of any rnconsisie�zcy between tk�is Agreement aa�d the Exhibits, the nr€ore speci�c
ter�ns of the Exhibits s�aIl be deemed co:l�ralling.
8. Waivez. Zf eithez party fails to enforce its respective rights under ihis Agreernent, or fails to insist
upon the perforrnance of #he oiher parry's obligations hereunder, such failure shall not be construed as
a permanent waiver of any rights or obligations ir� this Agreernent.
9. Assi ng �nenf. CSXT rnay assign this tigreernent and all ri�hts and oblz�aiions k�erein ko a successai in
interest, parent company, af�iliate, or fi.►tuz-e a�fz�iate. Up4n assignment of this Agreemen# b� CSXT
and fhe assumptio� by CSXT's assignee of CSXT's obtigations under this Agreerzaent, CSXT shall
have no ftiriher obligations under thzs Agre�aa�ent. Agency shall not assign its rights nr obiigations
undez this Agreement witl�put CSXT's prior r�vritten consent, v�ri�ich consent may be wit�held foz- any
reason.
10. A licable Law. This Agreement shall be governed by ihe laws of t�e State af �Iarida, excl�sive o�'
its choice of law rules. The parties further a�;ree that tlae venue oi ail legal and equitable proceedings
reiated to disputes t�nder fhis Agreement shall be situated in Duval County, �'lorida, and the parties
