DEVELOPMENT AGREEMENT
THIS FIRST AMENDMENT TO DEVELOPMENT AGREEMENT ("Agreement") is
datec�j(� 2011, and entered inta among NICKEL PLATE PROPERTIES, INC., a
Florida corporatian, and LAKESIDE ENTERPRISES, L.L.C., a Florida limited liability
company, their successors and assigns (collectively, "Developer"), and the CITY Ok'
CLEARWATER, FLORIDA, a political subdivision of the State of Florida acting through its
City Council, the governing body ther�of ("City").
RECITALS:
WHEREAS, Sections 163.3220 - 163.3243, Florida Statutes, which set forth the Florida
Local Government Development Agreement Act ("Act"), autharize the City to enter into binding
development agreernents with persons having a legal or equitable interest in real praperty located
within the corp�rate limits of the City; and
WHEREAS, under Section 163.3223 of the Act, the City has adopted Section �-606 of
the City af Clearwater Cammunity Development Code ("Code"), establishing procedures and
requirements to consider and enter into develapment agreements; and
WHEREAS, the Developer owns approximately 30.07 acres of real property located at
2165 Gulf-to-Bay Boulevard ("Property") in the corporate limits of the City, which is comprised
of two parcels hereinafter referred to as "Pazcel 1" and "Pazce12" as mare particularly described
on Exhibit "A" attached hereto and incorporated herein; and
WHEREAS, an Mazch 25, 2010, the Developer and the City entered into that certain
Development Agreement recorded in Official Record Boak 16874, Page 2344, in the Public
Records of Pinellas County, Florida, which Development Agreement is hereby incorporated by
reference ("Development Agreement"); and
WHEREAS, the City previous granted a rezoning of the Paxcel 1 property to Commercial
("C"} and a land use plan amendment to R�sidential Office Retai.l ("ROR"); and
WHEREAS, the Community Development Board ("CDB") approved the Parcel 1 Plan as
FLD2009-120�6 an February 1G, 2010, bath conditioned upon the approval and execution of the
Development Agreement; and
WHEREAS, Developer desires to amend the Parcel 1 Plan, as more specifically set forth
herein; and
WHEREAS, the CDB approved the Amended Parcel 1 Plan (Case Na FLD2011-04�18)
on July 19, 2011 (the "Amended Pazcel 1 Plan"), conditioned upon the approval and execution of
the Development Agreement by the City Council; and

WHEREAS, at a duly called and advertised r�ieeting on Avq�sf fg , 2011, the
City Council approved this Agreement and autharized and directed its execution by the
appropriate officials of the City; and
WHEREAS, Developer has approved this Agreement and has authorized certain
individuals to execute this Agreement on Developer's behalf:
STATEMENT OF AGREEMENT
In consideration of and in reliance upon the premises, the mutual covenants contained
herein, and ather good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parties hereto intending to be legally bound and in accordance with
the Act, agree as follows:
SECTION 1. Recitals. The above recitals are true and correct and are a part of this
Agreement.
SECTION 2. Incorporation of the Act. This Agreement is entered into in compliance with
and under the authority of the Code and the Act, the terms of which as of the date of this
�greement are incorporated herein by this reference and made a part of this Agreement. Words
used in this Agreement without definition that are defined in the Act or the Development
Agreement shall have the same meaning in this Agreement as in the Act or Development
Agreement.
SECTION 3. Amendment of Parcel 1 Plan. 'The City Council hereby approves the
amendment of the Parcel 1 Plan to reflect the Amended Parcel 1 Plan attached hereto as Exhibit
"B" and incorporated herein by reference. All references in the Development Agreement to the
Parcel 1 Plan shall be amended to refer to the Amended Parcel 1 Plan.
SECTION 4. Parking. Section 4.2 of the Development Agreement is hereby amended to
change ihe number of parking spaces included on Parcel 1 to 5 parking spaces per 1,000 square
feet fur retail development (5/1,0U0), 4 parking spaces per 1,000 square feet for office
c�evelopment (4/1,000), 5 parking spaces per 1;000 square feet for automobile service station
development (5/1,000) and 15 parking spaces per 1,000 square feet for restaurant development
(1 �/ l,000). Nothing in this Agreement shall prevent the parties from agreeing to "cross-parking"
among the outparcels.
SECTION 5. 'I'ransportation Obli�ations. Section 6.1.3.3 of the Development Agreement is
hereby amended to provide that the Transporration Obligations (as defined in the Development
Agreement) related to Parcel 1[� 6.1.3.3 (i-viii)] shall be completed prior to the issuance of a
certificate of occupancy for Parcel 1 and the Transportation Obligations related to Parcel 2[§
6.1.3.3 (ix j] shall be completed prior to the issuance c�f a certificate of occupancy for Parcel 2.

SEGTION 6. Ratification. Except as specificalXy modifiied herein, a11 terms, conditians and
obligations cantained in the Development Agr�ement shall remain in full �orce and effect and are
reaffirmed by the parties hereto.
