This sets forth our agreement for your license of a suite at the new Phillies/Clearwater
Community Sports Complex under construction on Coachman Road above Drew Street, in
Clearwater, Florida (the "Ballpark"), which has these specific elements and is amplified in the
attached Terms and Conditions, which are incorporated by reference:
1. You have licensed suite number 210 (the "Suite"), which will have 12 fixed and 4
moveable seats for viewing events and a total capacity of 20 persons (the
"Capacity"). That license also includes 20 tickets (the "Included Tickets") for all
Phillies spring training home games, for all of its Class "A" Florida State League
affiliate's home games and for all other events which are open to the public at the
Ballpark (collectively, the "Covered Events") and the right to park during Covered
Events in 3 preferred parking spaces (the "Included Parking").
2. Your license will run for one (1) License Year with the Licensee retaining the option
to renew under the terms and conditions attached hereto for two (2) consecutive one
(1) year periods (for a total of three years).
3. The Annual License Fee will be $25,000. The first installment of $5,000 is due on
the later of November 1,2003 or within 30 days from the date above and the balance
is payable $10,000 on January 1, 2004 and $10,000 on March 1, 2004. For any
renewals of the license, the Annual License Fee is payable in equal installments on
January 1 and March 1 of the renewal year.
This Agreement will become legally binding upon our receipt from you of a duly executed
copy of this agreement and payment of the $5,000 initial Annual License Fee payment. If
that has not happened by the later of November 1, 2003 or within 30 days from the date
above, this Agreement will at Licensor's option be null and void, in which event we will be
free to license the Suite to others.
