THIS AGREEMENT, made and entered into this ..,-
day of
JUNE
, A.D. 1982, by and between the CITY OF CLEARWATER, FLORIDA,
a municipal corporation, hereinafter referred to as "City", and PACT, INC.,
a Florida not for profit corporation, with offices at 402 Pierce Boulevard,
Clearwater, Florida 33516, hereinafter referred to as "PACT";
WITNESSETH:
WHEREAS, the City supports PACT in its endeavor to develop a
Performing Arts Center in Clearwater; and
WHEREAS, the City desires to develop and operate a 900 car
public parking facility on property which it owns adjacent to the site of the
Performing Arts Center; and
WHEREAS, PACT desires to design and have constructed a parking
facility for the City in conjunction with the Performing Arts Center to
'maximize design compatability and to minimize construction scheduling
problems;
NOW, THEREFORE, for and in consideration of the mutual covenants
and agreements hereinafter set forth, the parties hereto covenant and agree
as follows:
1. PACT will retain Talliesin Associates Architects in collaboration
with Carter Evans & Associates, Engineer, or other competent architectural
and engineering firms reasonably acceptable to the City, to design the parking
and site development improvements in accordance with the schematic plan
attached hereto as Exhibit A, and in accordance with commibnents made by
PACT to property owners attached hereto as Exhibit B.
2. The design for these improvements will be presented to the City
in a form prescribed by the City Engineer that will be acceptable for con-
struction bid solicitation by the City Engineer in accordance with normal
City bidding procedure.
3. The construction contract for the parking and site improvements
will be competitively bid by the City Engineer, and will be awarded by the
Clearwater City Commission in accordance with the City's purchasing

4. The City will reimburse PACT at the time set out below in
Paragraph Five (5) for professional design fees of six (6).per cent of the
parking and site development costs, after approval of the design work by the
City Engineer, and after PACT has submitted either proof of payment for said
fees or invoices approved.for payment by PACT.
5. No payment under this agreement shall be due PACT until the
City has successfully validated a parking revenue bond issue in Circuit Court.
6. The City shall not be obligated under this agreement for payment
of costs in excess of $1, 000, 000.
7. The Contractor shall.not as sign any interest in this agreement,
and shall not transfer any interest in the same (whether by assignment or
novation), without the prior written consent of the City thereto.
IN WITNESS WHEREOF, the City and PACT have executed this
agreement as of the date first above written.
