NATURAL GAS SERVICE AGREEMENT

This Agreement is made and entered into by and between PEOPLES GAS
SYSTEM, INC., (herein, "Peoples") and the CITY OF CLEARWATER, a Florida
municipality (herein, "the City").
Whereas, the City desires to sell natural gas to Peoples, and Peoples
desires to purchase natural gas fran the City, in order to supply the Largo
Collection located at the intersection of Ulrnerton Road and Seminole Boulevard
Largo, Florida, upon the tenus and conditions set forth herein; now there-
fore
In consideration of the TIUltual premises and benefits set forth herein,
the parties agree as follows:
1. Peoples agrees to purchase and the City agrees to supply Peoples
natural gas service on a Wholesale Rate of $0.08146 per them above
the City's weighted cost of gas. '!he City agrees to deliver such gas
at a delivery point at or near the intersection of Ulmerton Road and
Seminole Boulevard in Largo, Florida. Said service is to connect to a
Peoples main at the point of delivery, and said main is to supply
the developnent knCMIl as the Largo Collection. The City further
agrees to supply gas at a pressure not to exceed 60 PSIG.
2. Peoples agrees to CCIIpl y with all applicable Federal, State and local
laws, regulations and ordinances with respect to its gas main, from
the delivery point at the point of connection with the City's meter
to the custaner' s appliances. The City shall have the right to in-
spect the gas facilities downstream fran the point of connection with
the City's meter. In the event that an inspection by the City dis-
closes evidence of any defect or non-canpliance with any applicable
Federal, State or local laws, regulations or ordinances with regard
to the gas facilities at or dCMIlstream fran the point of connection
with the City's meter, then the City shall have the right to tennin-
ate service to Peoples rmtil such defect or non-compliance is cor-
rected.
3. Peoples further agrees to indemnify and hold harmless the City fran
any and all personal injury and property damage claims arising
directly or indirectly rmder this AgreEment and resulting solely
from the negligence of Peoples or its officers and employees.
4. The tenu of the Agreement shall ccmnence on the date upon which this
Agreement has been executed by both parties, and shall continue on a
year-to-year basis thereafter. This Agreement is terminable at will
by either party, provided that the party terminating the Agreement
gives written notice to the other party not less than one hrmdred
twenty (120) days prior to the date of tennination.
