FIRST AMENDMENT TO
LEGISLATIVE CONSULTANT SERVICES AGREEMENT

This First Amendment is made this / IP . day of ~~:;'b..- ,1998,
by and between the CITY OF CLEARWATER, FL IDA ("City") and
PENNINGTON, MOORE, WILKINSON, BELL & DUNBAR, P.A., ("Consultant").
WHEREAS, City and Consultant entered into a Legislative Consultant
Services Agreement on October 1, 1996; and
WHEREAS, City and Consultant agree to amend that Agreement under
the terms and conditions stated herein;
NOW, THEREFORE, for the mutual promises contained herein, the
parties agree as follows:
1. The name of the Consultant is amended to read:
PENNINGTON, MOORE, WILKINSON, BELL & DUNBAR, P.A.
2. Section 2B, Scope of Services, is amended as follows:
SECTION 2. SCOPE OF SERVICES.
B. Pursue and acauire state dollars for improvements in the City of
Clearwater and other proiects as reauested by the City. /\oti'loly cook etato and

with tho Florida Dopartment of Traneportation to allow tho City to pay for tho ooet

3. Section 3, Lobbying Team, is amended as follows:
SECTION 3. LOBBYING TEAM. It is understood and agreed between the
City and Consultant that the lobbvina team shall consist of three members and that
the responsibility for organization and leadership of the lobbying team will fall upon
Peter M. Dunbar and Martha Edenfield, but the consultant team will include all of
the resources of the Consultant's individual lobbyists. The City reserves the right
in its absolute discretion to cancel this Agreement if either Peter M. Dunbar or
Martha Edenfield are not responsible for the organization and leadership of the
lobbying team.

4. Section 5, Professional Fees for Services, is amended as follows:
SECTION 5. PROFESSIONAL FEES FOR SERVICES. The City and
Consultant agree to an annual flat fee for legislative consulting services of Forty-
eight Thousand Dollars ($48.000) T'.veAty Six Thol:Jeand Dollaro ($26,000).
Consultant shall bill City Four Thousand Dollars ($4.000) Thrao Thoueand Dollarc
($3,000) per month for tho logiclativo and campaign monthc of Ootobor through
April, and One Thoucand DolIOFc ($1,000) for tho FI1onth6 of May through

force and effect.
