I, KENNETH R. McCULLOUGH, do hereby certify that I am
the duly elected and qualified Assistant Secretary of METRO
DEVELOPMENT CORPORATION, and that the following is a true and
correct copy of resolutions duly adopted by the Board of
Directors of said corporation by action ta~n by consent
pursuant to O.C.G.A. S 14-2-149, on the ~ day of March,
1985; and that such resolutions are in full force and effect
and have not since been amended or revoked:
WHEREAS, MDC Associates aI-A, Ltd., a Georgia limited
partnership, has agreed to grant to the CITY OF
CLEARWATER, FLORIDA, easements over, under and across
the following described lands, lying and being situate
in the County of Pinellas, State of Florida, to Mit:
See legal descriptions attached hereto as Exhibit
"A" and hereby made a part hereof.
NOW, THEREFORE, be it resolved, that the Senior Vice
President of METRO DEVELOPMENT CORPORATION, which is
the general partner of MDC Associates aI-A, Ltd., is
hereby authorized, empowered and directed to execute
all papers necessary to accomplish the granting of
said easements.
I further certify:
1. That this corporation is in good standing
with all license, income and franchise taxes paid;
2. That no proceeding for the dissolution or
liquidation of this corporation is in effect; and
3. That the names, offices and signatures
appearing below are the correct signatures and
offices of the officers of this corporation
