Paradigm Communications
Standard Agreement
This letter sets forth the terms and conditions of an agreement providing that Paradigm
Communications Inc. ("Paradigm") will act as the agency of record for client.
I. SCOPE OF WORK
Paradigm agrees to perform any and all marketing communications functions
requested by client.
A. In concert with client personnel, Paradigm will assist in preparing
advertising and marketing communications plans to support client's
marketing and business objectives. Related plans will identify all projects,
timelines and associated costs.
B. Paradigm will work jointly with client personnel to execute the Plan(s) and
will create and produce advertising, collateral and promotional materials
indicated in the Plan(s).
C. Paradigm will prepare and execute media plans in support of client's
marketing and advertising initiatives.
D. All work performed by Paradigm will be provided in a quality, professional
manner and promptly in accordance with any schedule or timetable
reasonably establi~hed by client after consultation with Paradigm.
E. Paradigm will seek out and negotiate aggressively to secure available
discounts, and or lowest possible prices associated with any and all media
and vendor products purchases on behalf of client.
F. At the client's request, Paradigm will perform functions and provide
services in connection with new product and service introductions, market
research or any other communication-related activities.
Upon signed approval of estimates, Paradigm will commence work.

II. AGENCY COMPENSATION
To provide such services outlined in Section I, Paradigm agrees to staff and
manage the client's account with sufficient creative, media, production, traffic,
administrative and account service personnel necessary to fulfill all required
commitments and marketing initiatives.
A. Account Service/Marketing: Project Based @ $95 Hour.
The proposed monthly fee is based on our assessment of the time
necessary to provide day-to-day account management of all related
advertising and marketing activities that includes, but is not limited to:
Marketing Plan development and implementation
Project initiation, estimating, management
Day to day client communication and correspondence
Preparation of creative and marketing briefs
Project progress reporting
Budget, billing and financial management
Strategic brand management
Coordination of integrated marketing resources and activities (fax,
data, fulfillment, etc.)
Project trafficking
In addition, the monthly fee will cover general administrative,
management, office assistance, including:
Word processing, document and report preparation
Administrative accounting
Long distance phone, fax, postage, local travel, BIW photocopies,
supplies, etc.
B. Media Services: 15% Commission
Media placement fee to cover departmental staff time for planning,
buying, negotiating, research, pre/post buy analysis, invoice payment,
auditing and reconciliation, account administration and all other print
media support services.

C. Creative and Production Services: Project Based Hourly Billing
Our intention is to provide client with estimates of all creative work to be
performed. Hourly rates vary according to services rendered. Range:
$95 to $150 per hour. Services include:
Creative Direction: $150
Art Direction, Layout/Design, Copywriting, Copyproofing, Photo
Direction, Print/Broadcast Production Supervision, Scanning and
Composition: $95
Computer Graphics, Mechanical Production, Photo Retouching,
Illustration, Image: $125
E. Outside Vendor Services: 17.65% of Gross
Printing, Photography, Film Separations, Typography, etc.
As standard practice, agency secures three (3) competitive bids on vendor
services for all print production assignments so as to minimize production
expenditures and ensure delivery of a quality product.
F. Travel/Miscellaneous Expenses: Billed at Net
Overnight shipping, Local Courier Deliveries and Direct Mail Postage will
be billed at net.
G. Changes in Work
Client reserves the right to modify, reject, cancel or stop any project or
media schedule at any time provided will reimburse Paradigm for all
expenses incurred by Paradigm as a result of such action by client.
Paradigm will provide reasonable documentation to substantiate such
expenses.
H. Ownership of Materials
All plans, preliminary outlines, sketches, copy, video or written materials of
any form produced by Paradigm for client and paid in full by client under
this agreement shall be the exclusive property of client.

I. Releases
It shall be Paradigm's responsibility to make certain that any necessary
contracts or releases be obtained with or from those whose names,
likenesses, testimonials, scripts, musical compositions, or similar
materials or rights are used in any material prepared under this
agreement.
J. Scope of Agency Authority
Paradigm shall have no right to enter into any arrangement of any
kind with any third party on client's behalf nor to obligate client to
make any payment of any kind, without client's express prior
approval.
K. Confidentiality
Paradigm shall not, without the consent of client, reveal or otherwise
make available to any person or entity, any confidential information or
trade secrets regarding client's business. Paradigm may reveal such
information to its employees who must be informed in order to perform
their duties in connection with client's business.
L. Terms of Payment
1 % - 10; Net 30 days. Bills paid within 10 days of invoice will receive a
discount of one percent (1 %). Bills are due within 30 days of invoice.
M. Term
This agreement shall become effective May 7, 1999 and shall continue
through May 6, 2002 unless earlier terminated. Either party may terminate
this agreement by giving the other party sixty (60) days written notice.
N. 90 Day Review Clause
Both parties agree to review this agreement at 90-day intervals.
