AGREEMENT
THIS AGREEMENT made and entered into this ~ r day of

a muni ipal corporation, hereinafter referred to as "City", and PINELLAS
COUNTY, a political subdivision of the State of Florida, hereinafter referred
to as "County";
WITNESSETH :
That in consideration of the mutual premises and covenants herein
contained, the parties hereby agree as follows:
1. The City of Clearwater, through its Water Pollution Control
Department, agrees to provide sludge disposal assistance to the County for
sludge generated by the County's sewer system.
2. That the sltrlge disposal assistance described herein will be made
available for no more than a nine (9) rronth period fran the execution of this
agreerrent.
3. The County agrees to remit to the City a charge of Four Dollars
($4.00) for each one thousand (1,000) gallons of sludge received fran the County
and spread. The charge set out herein will cover the cost of making this
service available. The City reserves the right to adjust this charge during
the tenn of this agreement should a review of the service establish that
costs involved exceed the charge ilrposed; provided, however, that no adjustment
in charge shall take place until notice is mailed or hand-delivered to the office
of the Pinellas County Sewer System.
4. The County further understands and agrees that such sludge disposal
service will be made available subject to the following conditions. First,
the City reserves full control over all such sludge spreading accomplished by
it and the service to be made available to the County shall be after the City's
similar needs have been fully met. Second, the sludge submitted by the County
must be in a condi lion which is acceptable to the City for spreading. The
City reserves the right to refuse to accept or spread sludge it finds unacceptable.
Third, sludge spread for the County pursuant to this agreement shall be accomplished
at such time or tines such as will avoid the use of City errployees for overtime
pericx1s. Fourth, at no tine shall the City be obligated to accept more than
thirty-six thousand (36,000) gallons per day of sludge.

5. The City, through its Water Pollution Control Department,
shall maintain records of all loads received and spread for the County.
6. The City and County reserve the right to terminate the
service being provided at any tine.
