receipt of an invoice for the actual traffic signal installation.

PARTICIPATION AGREEMENT BETWEEN PINELLAS COUNTY AND THE CITY
OF CLEARWATER FOR INSTALLATION AND MAINTENANCE OF A
TRAFFIC CONTROL SIGNAL AT THE INTERSECTION OF
BELLEAIR ROAD (CR 464) AND GREENWOOD AVENUE
THIS AGREEMENT, entered into on the /3thday of (
1986, between PINELLAS COUNTY, a political subdivision .of
of
Florida, hereinafter referred to as the COUNTY. and the CITY OF CLEARWATER, a
municipal corporation of the State of Florida, hereinafter referred to as the
CITY.
WITNESSETH:
WHEREAS, the CITY is improving. by installation and maintenance of a
traffic control signal, the intersection of Be11eair Road (CR 464) and
Greenwood Avenue; and
WHEREAS, the installation and maintenance of a traffic control signal
is necessary for safe and efficient highway transportation at the subject
intersection; and
WHEREAS, the subject intersection is on the County Maintained Road
System; and
WHEREAS, the subject intersection lies equally in the COUNTY and the
CITY; and
WHEREAS, the COUNTY desires to participate with the CITY in funding
said signal installation; and
WHEREAS, the COUNTY deems it to be in the public interest to
participate wi th the CITY in funding said installation project by providing
one-half the necessary construction/installation cost to the CITY; and
It is understood and agreed that the COUNTY shall pay to the CITY the
amount of Six Thousand Six Hundred Thirty-One Dollars and Fifty Cents
($6,631. SO) in consideration of COUNTY'S parti cipation- in-full in said
project; and
It is understood and agreed that the CITY assumes sole ownership and
responsibility for the maintenance and continuous operation of said signal
installation;
The CITY hereby agrees to indemnify and hold harmless the COUNTY from
and against all loss, costs, and expenses, including attorneys' fees, claims,
sui ts, demands, liabilities, and judgments of any nature whatsoever arising
out of, because of, resulting from, or due to but not limited to, any failure
in operation or malfunction of the signal installation covered by this
Agreement.

It is further agreed that the CIn shall promptly notify the COUNTY
of any claims or pending claims of which the CITY has notice.
No right of action shall accrue on this contract to or for the use of
any person except the municipal corporation named herein.
IN WITNESS WHEREOF, the undersigned have hereto affixed their hands
and seals the day and year first above written.
