THIS SUPPLEMENTAL AGREEMENT is issued as of this 11 day of January, 2011,
by and between THE CITY OF CLEARWATER, d/b/a CLEARWATER GAS SYSTEM
("City") and ARCADIS U.S., INC. ("Consultant"). City and Consultant agree upon the
following terms and conditions, which shall be incorporated into the Master Agreement as
supplemental provisions.
1. DESCRIPTION OF WORK:
Consultant shall perform the environmental consulting, reporting and oversight services
detailed in Consultant's proposal, dated December 23, 2010 ("Proposal"), which is
attached hereto as Exhibit "A" ("Work").
2. FEES AND COSTS:
The fees and costs for the Work shall be billed on a time and materials basis and shall not
exceed a total authorized cost of Fifty-Three Thousand Three Hundred and Ninety and
• 00/100 Dollars. ($53,390.00); provided, however, that this Supplemental Agreement shall
not authorize the expenditure of more than Thirty-Two Thousand One Hundred and
Sixty-Seven and 53/100 Dollars ($32,167.53), the remaining Twenty-One Thousand Two
Hundred Twenty-Two and 47/100 Dollars ($21,222.47) for the completion of Work
contemplated by this Supplemental Agreement having been previously authorized by
City and existing as part of the remaining project budget that was approved in connection
with Supplemental Agreement No. 4.
3. TIME FOR COMPLETION:
a) The Work shall be completed in accordance with the schedule set forth in the
attached Exhibit "A."
b) All reports, work plans or other written product contemplated by Consultant's
Proposal and required to be submitted to the Florida Department of
Environmental Protection ("FDEP") pursuant to this Supplemental Agreement
shall be submitted in draft form to City and City's counsel no less than ten (10)
working days prior to the date on which each respective report must be submitted
to FDEP. Two (2) signed and sealed originals of each final report shall be
• submitted to City and two (2) signed and sealed originals of each final report shall

be submitted to FDEP within three (3) working days of Consultant's receipt of
City's comments to the draft report.
4. TERMS AND CONDITIONS:
Except as noted herein, this Supplemental Agreement is subject to the terms and
conditions of the Master Agreement, all of which shall remain in full force and effect.

As you are aware, the University of Waterloo (UW), located in Waterloo, Ontario,
Canada, has proposed to provide research services to the City by way of ARCADIS
U.S,, Inc. (ARCADIS) and its subsidiary Arcadia Canada, Inc. (AIC). As such, W
and Dr. Neil R. Thomson have provided a proposal dated October 25, 2010 that
outlines the specific work that they will be undertaking. The UW proposal is entitled
Treatment of Former Manufactured Gas Plant Residuals Using in Situ Chemical
Oxidation: Clearwater Florida (UW Proposal), and provides the basis for the scope of
work and costing proposed herein. The costs and scope of work are intended to
facilitate and assist UW in the proposed research being conducted for Clearwater
Gas System (CGS).
The objective of the research is to demonstrate the efficiency and effecOvenes5 of in
situ chemical oxidation using persulfate to treat MGf residuals within the surfiicial
aquifer at the site, in order to mitigate and abate the off-site groundwater plume- The
UW proposal has been submitted to CGS and the Florida Department of
Environmental Protection (FDEP) for review. Per letter dated December 2, 2010,
FDEP conditionally approved proceeding with Tasks 1 and 2. of the 7 tasks outlined
in the UW Proposal. This ARCADIS cost proposal and scope of work provides an
estimate for field support services to be provided by ARCADIS in connection with
UW's performance of Tasks 1 and 2 of the UW Proposal,
Work to be performed by ARCADIS, which is described in greater detail below,
includes providing Geoprobe drilling services during the additional site
characterization, oversight and performancelsubcontracting for specific field tasks,
oversight and assistance of UW field work, preparation of necessary quarterly and
final reports to FDEP describing the results of the additional site characterization field

work, access, project management and contract administration with respect to the
specific agreements between CGS, ARCADIS, UW and AIC.
Scope of Work - Task 1 (Source Area Characterization and Establishment of
Baseline Conditions)
Assumptions:
10 days of drilling work, to be concurrently overseen and directed by UW and
ARCADIS, ARCADIS will contract directly with Preferred Drilling Solutions Inc.
(Largo, Florida) for the work. ARCADIS has selected Preferred Drilling Solutions for
performance of the drilling activities due to their close proximity to the site and their
capability to use Geoprobe"',' drilling equipment for the sampling work. Preferred
Drilling Solutions is a water well contractor licensed by the State of Florida;
ARCADIS will coordinate with the contractor and the City of Clearwater for obtaining
the required well permits for the project (written property owner permission is
required for obtaining water well permits). ARCADIS assumes that all laboratory
analytical work will be performed by UW personnel-
ARCADIS has included costs for installation of additional monitoring well clusters, to
further evaluate the extent of dissolved groundwater impacts identified in recent
sampling conducted during 2010. The nature of this scope is further elaborated upon
in the UW proposal:
To establish baseline conditions additional monitoring instrumentation will
need to be installed. The amount and location depends on the findings and
instruments installed as part of the source characterization effort. We
envision that, at a minimum, a number of peripheral and interior multilevel
wells wilt need to be established. In addition, a monitoring transact that
spans the width of the dissolved phase plume will be installed perpendicular
to tyre groundwater flow direction- The transact multilevel monitoring wells
will be spaced on the order of 5 feet, and each well will have at least 7-10
monitoring points. The transact and suite of monitoring welts will be sampled
at least 4 times over a 12 month period to establish baseline conditions.
Groundwater samples will be analysed for geochemical parameters (pH, DO,
major ions, etc)., and COCs (VOCs and PAHs). Piezometric data will also be
collected concurrently. These data will be used as a baseline to measure
treatment performance.
The potential locations will be discussed and determined based on scoping calls with
UW and CGS. The multilevel monitoring wells and additional borings for source area.

characterization will be in installed via conventional hollow stem auger techniques
and direct-push (GeoProbeTm) methods. Final depths of monitoring wells will be
determined based on conditions encountered in the field during bore-hole
advancement. Following well installation, the wells will be developed via techniques
suitable for multi-level wellslpiezometers. Groundwater produced during well
development will be containerized in drums or holding tank to be located on-site and
staged for proper disposal.
Well construction logs will be developed following installation of borings and
multilevel wells- Following site work, the locations of the new monitoring wells and
borings will be tied into the existing site datum by an ARCADIS surveying crew
(licensed Florida land surveyor),
Scope of Work - Task 2 (Bench-State Experiments)
Task 2 is predominantly scoped as work to be performed by UW in the laboratory.
However, samples of non-impacted and impacted site media are required for the
bench-scale testing. This proposal contemplates that ARCADIS will be asked to
rethave select samples of site media for shipment to UW for necessary laboratory
bench-scale testing.
Schedule
Once the supplemental contracting is in place, ARCADIS will coordinate with UW
personnel to begin mobilization and preparation for conducting the scopes of work
anticipated In Task 1 and Task 2. It is anticipated that Task 1 will be conducted
during February 2011. Subsequent groundwater sampling tasks will be conducted
by UW personnel in following quarterly events, as determined by UW_ The bench-
scale treatab'ility, study work will be conducted based on the schedule set forth by UW
in the UW Proposal. The monitoring wells installed in connection with Task 1 will be
sampled by UW at least one (1) time each quarter during the twelve (12) month
period immediately following the installation of the same. A report detailing the
results generated by UW for each such sampling event will be prepared by ARCADIS
for submittal to FDEP within sixty (60) days of each such sampling event. A final
report evaluating the results of Task 1 and Task 2 will be prepared in coordination
with UW and submitted to FDEP within sixty (60) days of the last such sampling
event, per tirneframes stipulated in FDEP's conditional approval letter (referenced
above).

Estimated Costs
.ARCADIS estimates that the work descnbed above can be completed for
approximately "3,390. Table 1 (attached.) presents the estimated costs for the work
described herein and the bring rates to be used on the project for specific ARCADIS
personnel. The tasks will be billed on time and materials basis according to the rates
indicated on Table 1. This estimated cost does not. include the performance of any
additional work that may be required fokowinrg the review of the final report
evaluating the results of Task 1 and Task 2 by FD P. All work proposed herein will
be performed under the terms and conditions of the current City of Clearwater d1wa
Clearwater Gas System master agreement with ARCACIS, per supplemental
agreement.
