BUSINESS ASSISTANCE PROGRAM AGREEMENT
THIS BUSINESS ASSISTANCE PROGRAM AGREEMENT is made and entered into by and
between the CLEARWATER CHAMBER OF COMMERCE, INC. (herein, the "Chamber"), CITY
OF CLEARWATER, a Florida municipality (herein, the "City"), and the BOARD OF COUNTY
COMMISSIONERS OF PINELLAS COUNTY, FLORIDA (here, the "County").
In consideration of the mutual promises and benefits promised by each party to the other parties to
this agreement, the sufficiency of which is acknowledged, the parties hereto agree as follows:
1. Effective Date - Term. This Agreement shall take effect when executed by all of the parties
hereto. The term ofthis agreement shall end on September 30, 1999, and may be extended
by mutual agreement of all of the parties,
2. Purpose, The purpose of this Agreement is to accomplish the Strategic Goals of a Business
Assistance Program in and for the City of CLEARWATER. The goals of the Business
Assistance Program are: (a) to identifY businesses "at risk" due to threatened failure or
relocation out of the City of CLEARWATER, and to identify growth-postured businesses
within the City of CLEARWATER (b) to isolate the needs of such businesses and assist in
their efforts to prosper and grow, and (c) to identifY problems common to the business
community as a whole and lead to efforts to solve them.
3. Ohligations ofthe Cham her. In order to accomplish the Strategic Goals, the Chamber agrees
that it shall, in coordination with the City and the Economic Development Department ofthe
County:
(a) Implement each of the components of the Business Assistance Program which include:
i) the Business Assistance Monitoring Survey; ii) Leadership Initiative Visits; iii) Pro-
Active Nurturing; iv) Creation of an Early Warning System; and v) the development of
a Business Resource Center.
(b) Provide to the City and to the County a detailed report identifYing the businesses which
have been identified as part of the program; and a summary and brief analysis of the
responses to the business monitoring interview/survey questionnaire, and any
interview/in-field visits to businesses in connection therewith. The report shall be
provided not less often than monthly to the City Manager of the City and to the Business

Assistance Manager of the County, or to such other officer or employee as the City or
County may direct. Additionally, a more detailed report will be required every six
months.
c. Provide to the City and to the County a year-end report on the Business Assistance
Program describing all efforts relating to business assistance issues, and including a
complete history of assistance to businesses under the Program. The report shall be due
not later than September 1,1999, and shall be provided to the City Manager of the City
and to the Business Assistance Manager of the County, or to such other officer or
employee as the City or County may direct.
d. Implement the programs as defined by the Business Assistant Specialist Job Description,
attached here to as Attachment "A".
4. Compensation. The obligation to fund this program is a legislative function. The County's
and the City's obligations for funding are dependent upon funds being approved in their
respective budgets for this purpose. During the twelve months following the initiation of
this agreement, the City and the County shall each pay to the Chamber the total sum of
$20,000 in equal quarterly payments as their one-third share of the estimated cost of the
program.
5. Audit. The Chamber shall retain all financial records relating to this contract for a period
of at least three (3) years after final payment is made. All records pertaining to this contract
shall be kept in such a way as will permit their inspection pursuant to Chapter 1 19, Florida
Statutes. In addition, the County and City reserve the right to audit such records. It is
understood and agreed that such records shall be directly relating to the Business Assistance
Corporation. The Chamber shall keep all funds in a separate bank account and shall account
for finances with separate statements. In no event shall the Greater Clearwater Chamber of
Commerce be required to make available umelated books and records pursuant to this
section.
6. Indemnification. The Chamber shall indemnify, pay the cost of defense, including
attorneys' fees, and hold harmless the County and the City from all suits, actions or claims
of any character brought on account of any injuries or damages received or sustained by any
person, persons or property by or from the said Chamber; or on account of, any act or
omission, neg]ect or misconduct of the said Chamber; or by, or on account of, any claim or
amounts recovered under the "Workers Compensation Law" or of any other laws, by-laws,
ordinance, order or decree, except only such injury or damage as shall have been occasioned
by the sole negligence of the County.
7. Relationship. The Chamber is an independent contractor performing a service for the County
and the City; the Chamber is not an agent of the County or the City; and this Agreement does
not constitute a joint venture between the parties.

It is further understood that the individual hired to conduct the program will devote 100% of his or
her work day to this program as defined in item 3 above. No other city or chamber assignments are
to be permitted.

ATTACHMENT "A" TO BUSINESS ASSISTANCE PROGRAM AGREEMENT
Job Description
Responsibilities
1. Deve]op, conduct and manage the Chamber's Business Assistance program, which is, to
identify "at risk" and growth postured City of Clearwater businesses within the city limits of
Clearwater, to communicate with such businesses, isolate their needs, and assist in their
efforts to prosper and grow,
2. Implement the aforementioned program in conjunction with the City of Clearwater and the
Pinellas County Department of Economic Development, consistent with the terms and
conditions ofthe contract between and chamber, city and county. Develop and conduct a
responsive reporting and working relationship with the city and county.
3. Conduct a minimum of forty completed personal and telephone surveys of businesses per
month, identifying areas of growth or areas with specific issues, problems, or needs such as
U.S. 19 and Drew Street.
4. Establish necessary contacts with city departments in order to assist businesses with growth
opportunities or areas of need or concern. Respond to business needs by providing
information, establishing personal visits and by creating teams for action-oriented results.
5. Accurately track results and report to the city, county, and chamber on a monthly basis with
results, including number of businesses contacted, information received, follow up action
taken, and end result.
6. Respond to business relocation inquiries and proactively identify business recruitment
opportunities in the City of Clearwater.
7. Develop programs and initiatives and assume staffing responsibility for the Small Business
committee (i.e. Small Business Resource Center).
8. Establish a technology task force in order to asses the needs of this industry and provide
growth opportunities through interaction. Businesses in the technology industry and higher
education field, regardless of membership affiliation with the chamber, will be asked to
participate in this issues-driven group. The group will be fully coordinated by the chamber
with guidelines established by the city. The schedule of sessions will be at the will of the
participants
