INTERLOCAL AGREEMENT/EMS TRANSPORT SERVICES , I , INTER LOCAL AGREEMENT (Revised) THIS INTERLOCAL AGREEMENT, made pursuant to section 163,01, Fla, Stal. and entered Into as of the 1st day of AUQust , 1998 by and among the CITY OF LARGO, FLORIDA, a municipal corporation, 'Largo,' the CITY OF CLEARWATER, FLORIDA, a municipal corporation, 'Clearwater,' the CITY OF ST, PETERSBURG, FLORIDA, a municipal corporation, 'SI. Petersburg,' the BOARD OF COUNTY COMMISSIONERS OF PINELLAS COUNTY, FLORIDA, a political subdivision of the State of Florida, 'the County,' and, collectively, Largo, Clearwater. SI. Petersburg and the County, constitute the "Parties;- WITNESSETH: WHEREAS, the provision of transportation services of all emergency and non-emergency medical needs serves a significant public service to the citizens of the County; and WHEREAS, the Parties have recOgnized this need and seek to meet it in the most beneficial manner for the citizens of the County; and WHEREAS, the Parties recognize that the contract to provide such transportation services expires in approximately eighteen (18) months and thaI time is of the essence; and WHEREAS, the Parties have agreed to conduct a study determining the feasibility of Fire Rescue Departments in the County providing a single response EMS system with all ALS transport services, 'single response system,' that is as effective and competitive as the current dual response EMS system with all ALS transport services; and WHEREAS, Largo, Clearwater, and SI. Petersburg have agreed to develop an implementation plan to transition from the current dual response system to a single response system, it the study determines a single response system is feasible; and WHEREAS, Largo, Clearwater, and SI. Petersburg have agreed to prepare a response for the Fire Rescue Departments in the County to submit to the County for EMS transport services; and WHEREAS, the Parties have prepared a request for proposal, City of Largo Proposal 1t98-P-551 , to solicit offers for a study to determine the feasibility of such single response system; and WHEREAS, the Parties recognize that the designation of one of the Parties as the lead agency for management of consultant services in the interest of all parties is the most efficient manner in which to proceed. NOW, THEREFORE, and in consideration of the mutual covenant. terms, and conditions herein set forth to be kept and perlormed by the Parties hereto, it is agreed as follows: 1, The Parties agree to pay timety twenty-five percent (25%) each of all the fees, cost, and expenses of the preparation, selection, and award of said request for proposal, and to, likewise, pay all fees, costs, and expenses for the completion of the said feasibility study. The cities of Largo, Clearwater, and St Petersburg agree to pay timely thirty-three percent (33%) each of all the fees, cost. and expenses for the completion of the Implementation plan and response to the County's bid for a single response system. Such fees, costs, and expenses for each of these cnies shall not be less than $23,000 or greater than $56,000, 3, All Parties have the option to wnhdraw from this agreement at the conclusion of the feasibility study for any reason after the payment of fees, costs, and expenses according to Paragraph 1 hereof. If one Party so withdraws, this Interlocal Agreement shall expire. 4, The scope of services to be provided to the parties for the funds to be paid under Paragraphs 1 and 2 shall be as delineated in Largo's Request For Proposal #98.P.551. 5. The Parties agree that after the Parties have reviewed and participated in the selection process for the best contractor. Largo shall manage the contract In so doing, the Parties agree that Largo shall undertake the following responsibilities recognizing that time is of the essence: a, Award the contract to the best responder which timely responds to the request for proposal and meets the requirements of the proposal; b, Notify the parties of the award of contract; c.
