I I AGREEMENT FOR PARKING METERS of AGREEMENT, made , 19)~ by and and entered into this ,-1. ~ day between the PINELLAS COUNTY BOARD OF COMMISSIONERS, a political subdivision of the State of Florida, hereinafter referred to as the "County", and the CITY OF CLEARWATER, Florida, a municipal corporation, hereinafter referred to as the "City". WITNESSETH: WHEREAS, the County is desirous of having the City install parking meters in the parking lots of Sand Key Park for ;~ use by the public; and WHEREAS, it is the considered opinion of both the County and the City that such installations will be of mutual advantage; NOW, THEREFORE, in consideration of the foregoing and other good and valuable considerations, receipt of which is hereby acknowledged, and the covenants to be performed by the parties pursuant to this Agreement, it is hereby agreed between the parties hereto as follows: 1. The City agrees to install and maintain at its ex- pense a number of parking meters equal to the number of paved parking spaces provided by the County in the parking areas constructed by the County in Sand Key Park. 2. The County agrees to maintain at its expense at all times during the continuance of this Agreement, the surfaces and curbings on and around the said parking areas on its property at Sand Key Park and shall be responsible to anyone claiming damages against the City or the County as a result of the County's negligence in maintaining said premises in a safe condition to the extent permitted by law; and the City agrees to be responsible for claims of anyone resulting from its negligence in maintaining the parking meters, parking meter standards and'aJ?purtenances on said property to the extent .-.: ,-;/ permitted by l.aw: Page I I AGREEMENT FOR PARKING METERS , Page 2 3. The City agrees to install and at all times during the continuance of this Agreement to maintain at its expense the herein specified parking meters installed in the parking areas constructed by the County in Sand Key Park, and the City further agrees to make all collections from the parking meters and to divide the proceeds of the parking meter collections so made in the following manner: (a) The City shall retain all proceeds from the park- ing meters until the cost of the parking meters and the cost of their installation have been fully recovered. The City shall submit to the County an annual financial report showing the status of such costs and revenues received. (b) After these costs have been recovered by the City, then the gross receipts from said parking meters shall be shared by the City and the County on a 60-40 basis. 4. The City agrees to remit to the County its share of said gross receipts at reasonable intervals, but not less fre- quently than once every three (3) calendar months, during the term of this Agreement. 5. The parties hereto mutually agree that the areas devoted to parking in Sand Key Park may be increased in number by the County from time to time as the needs of the public demand, and the County may request additional parking meters to be installed by the City and the City Manager is empowered to install such additional meters under the same terms and condi- tions as described above in Paragraph 3(a) and 3(b) and Para- graph 4. 6. The County covenants and agrees that the City shall, during the continuance of this Agreement, have the exclusive right and authority to enforce all rules, rates and regulations as mutually agreed upon by the City and the County in connection with the operation of said parking meters. 7. It is further mutually agreed between the parties - I I AGREEMENT FOR PARKING METERS Page 3 hereto that this Agreement shall commence upon the the full signing of same by the parties hereto, and shall remain in full force and effect until cancelled by either party giving written notice to the other party of such cancellation at least ninety (90) days in advance thereof, whereupon this Agreement shall stand cancelled and terminated and each party hereto shall be freed and discharged from further liability and responsibility hereunder from and after such cancellation date. If said Agree- ment is cancelled by the County before the City has recovered the full and complete cost of the parking meters as hereinabove set out, then the County shall reimburse the City for the bal- ance due and owing thereon. 8. Upon any cancellation the City shall within thirty (30) days of the effective date thereof render to the County a final accounting and payment of any funds due to the County. It is further mutually agreed, however, that all parking meters, parking meter standards and appurtenances thereto installed by the City in Sand Key Park after the signing of this Agreement shall remain the property of the City and the same shall be removed at no cost to the County. Such removal shall take place no later than thirty (30) days after the date of cancellation of this Agreement. In the removal thereof, the City shall exercise reasonable care so as not to unnecessarily damage County property. 9. The terms and provisions of this Agreement shall be binding upon the parties hereto, their successors and assigns.
