,WITNESSETH:
WHEREAS~ the County claims that the City is indebted
, to the County in the sum ot $287~610.32 fot' met~f service
. ,
charges, penalties and wa.ter heretofore sold by \he County to
the, City through March 31, 1966; and \
,
WHEREAS~ the City controverts this claim; and '-....,.
WHEREAS, the County and the City recognize that there is
a genuine legal controversy and that it is in the interest of
both parties to arrive at an amicable settlement in order to
avoid litigation;
NOW, THEREFORE, for and in consideration of the mutual
,promis~s and agreements herein contained, and for the purpose of I !
settling and compromising the disputed claim on a basis which is

fair and equitable,. the County and the City, agree, without any
admission by either party of the corre'ctness of the legal position
of the other, as follows:
1. The City agrees to pay to the County for all water fur- ,
nished by the County from January 1, 1965, thru March 31, 1966 at
the rates established by the 'County and in effect from time to
time during that period, less amounts heretofore paid, said sum
payable being $162,034.73 and to be paid by a cash payment of
$80,000.00 upon approval, of this Agreement and a monthly payment
, of $5,000.00 per month until paid .in full, the first monthly in-

stallment to be due a!}dpayable on the.l!!J:. day of May ,1966;

2. The City agrees that it will pay the County for water
purchased from April 1,1966 at the municipal rate and charges.
from time to time established for the City by the County, not
waiving, however, any legal rights the City may have to be heard
on the reasonableness or legality. of any change in the rate -Jr
formula. . The City further agrees that it will abide by the exist-
. ing water contract between the City and the County with respect
to the minimum number of gallons to be paid for, whether or not

. actually received, to wit.: 4,000,000 gallons per day average
annually;
3. The County agreea that it will continue to furnish
water to the City according to the terms of the existing water
contract betw.een the County and the City, but will charge the
City at the municipal rate and charges from time to time estab-
lished by the County for the City. The County agrees further to
charge no penalties for unpaid charges prior. to March 31, 1966 and I .
will waive any claims' for meter service charges prior to Mar.ch 31,
. 1966.
