ESTABLISH AND PARTICIPATE IN A COOPERATIVE LIBRARY SERVICE , ) I 1 LffiRARY INTERLOCAL AGREEMENT 2 INTERLOCAL AGREEMENT, originally made and entered into on the 10th day of January, 3 L989 and subsequently amended this 19th day of September 1995 all between PINELLAS 4=,OUNTY, FLORIDA, through its Board of County Commissioners ("BCC"), and the undersigned 5 governmental units, for the establishment of and participation in a cooperative library service for 6 Pinellas County (the "Cooperative"). 7 WHEREAS, the Parties to this Agreement support the State Aid to Libraries Program goals 8 of providing equal access to free, coordinated public library service, and of operating, maintaining, 9 and developing library service consistently throughout the service area; and 10 WHEREAS, it is in the public interest to provide a free public library service for the use of 11 the permanent residents of Pinellas County, (" County"); and 12 WHEREAS, this Agreement is authorized by Section 163,01 of the Florida lnterlocal 1..:. Cooperation Act of 1969, which was promulgated to permit local governmental units to make the 14 most effective use of their powers by enabling them to cooperate with other governmental units 11:: thereby providing services and facilittcs ill a manner and pursuant to forms of governmental 16 organization that \vill include geograDhic, economic, population, and other factors intluencing the 17 needs and development of Local communities; and 18 WHEREAS, any public agency of this state may exercise jointly with any other public agency 19 of this state any power, privilege, or authority which such agencies share in common and which each 2 0 might exercise separately; and 1 /'/1_ /'/ ',"':'- /),/"; l./ c- C / l' L.-o~. ~/ ) I 2 0 WHEREAS, the parties to this Agreement have determined that in order to most effectively 21 utilize their separate powers, a cooperative effort in the form of an Interlocal Agreement is needed; 2 2 and 23 WHEREAS, Sections 257,12 through 257.25, Florida Statutes (1987), provide state funds 2 4 to assist in the furnishing of library services. 25 NOW, THEREFORE. in consideration of the mutual benefits and in consideration of the 2 6 covenants and agreements set forth herein, the parties hereto agree as follows: 27 I. EFFECTIVE DATE; PURPOSE: 28 A Effective Date: 2 9 This Agreement shall become effective on the date ("Effective Date") on which the BCC is 30 authorized by a referendum election to levy up to one-half (0.5) mill ad valorem taxes annually 31 pursuant to Pinellas County Ordinance No 89-5~. for the purpose of (i) extending library services 32 to the citizens residing in Ce!1?;I' dec;ignated areas in the unincorporated area of Pine lias County, and 33 (ii) participating in the Cooperative which will administer the funds generated by said taxes. If the 34 referendum fails so to authorize the BCe, or is not held by March 31, 1989, then upon the first of 35 such to occur, this Agreemt':': )\,1:1 't:ll1linate ab initiQ 36 13 Purpose, 37 The purpose and intent of this Agreement is to establish and operate the cooperative to extend 3 8 library seIV1ces to the unincorporated areas of the County and of municipalities that do not have such 3 9 services as of the effective date of this Agreement, and to improve library services to residents of 40 municipalities and library tax districts that have library services as of the date of this Agreement. ~ , . , . I I 41 II. DEFINITIONS: 42 A. Library: 43 "Library" as used in this Agreement refers to the public library systems operated by member 44 governmental units. 45 B. Governmental Unit: 46 "Governmental Units" within the County as used in this Agreement refer to municipalities with 47 libraries, library tax districts with libraries, a municipal consortium offering library services, 48 municipalities without public libraries, and the County representing the unincorporated area without 49 public libraries. 50 c. "Year" as used in this Agreement, unless otherwise indicated, means the fiscal year 51 from October 1 to September 30. The fiscal year of the Cooperative shall run from October 1 to 52 September 30, except that the first fiscal year of the Cooperative shall run from the date of commencement of the Cooperative's corporate existence pursuant to Section 617.014, Florida S4 Statutes (1987) to the next succeeding September 30. C::C:: J _~ III GOVERNING STRUCTURE OF THE COOPERATIVE: ~:; b A C...QIRorate Structure ::; ') The Cooperative shall be a private non-profit organization incorporated under the Florida s ~~ Not-For-Profit Corporation Act, Chapter 617, Florida Statutes (1987). Promptly after execution of 59 this Agreement, three (3) incorporators designated by the BCC from a list of nominees submitted by 60 participating governmental units, shall draft Articles of Incorporation and By-Laws for the 61 Cooperative and, after written approval thereofby the undersigned governmental units, shall execute 62 the AI1icles of Incorporation and cause the Articles of Incc)Jporation to be filed with the Secretary 3 , ,'OJ I I 63 of State pursuant to Chapter 617, Florida Statutes (1987). The undersigned governmental units will 64 be designated ill ih, Articles oflncorporation as the initial members of the Cooperative. Additional 65 members may be ajrnitted in the manner specified in the Articles of Incorporation or the By-Laws. 66 B. Board of Directors: 67 1. Membership. The Board of Directors shall consist of nine (9) members who 68 shall be chosen in accordance with the provisions of the Articles oflncorporation or the By-Laws, 69 The initial Board of Directors shall be designated in the Articles of Incorporation. The initial Board 7 0 of Directors shall be appointed by the incorporators referred to in Section III A, from a list of 71 nominees submjtted by the participating governmental units. Successors to the initial Board of 72 Directors shall be elected and vacancies on the Board shall be filled in the manner specified in the 73 Articles of Incorporation or the By-Laws. It is intended that the Board of Directors' membership will 74 fairly represent the geographic areas to be serviced by the Cooperative. '7C::: , ...J 2 Jerms The AI1icles of Incorporation will specify the term C'! office for 76 Directors as three (3) years and provide that the terms shall be staggered 77 .., , Officers, The Officers of the Cooperative shall be: Chairman of the Board of 78 Directors, Vice-C hairman of the Board of Directors, Secretary and Treasurer The terms of office, 79 election and duties of Officers shall be as specified in the By-Lc1\-vs. 4 I I 80 4. Compensation. Directors and Officers shall not be paid a salary or wages, 81 but may be reimbursed for travel and per diem expenses in accordance with Section 112.061, Florida 82 Statutes (1987). 83 5. Meetings. The Board of Directors shall meet monthly. Emergency meetings 84 may be called by the Chairman or three (3) members of the Board. Such meetings shall require 24- 85 hours' notice. 86 6. Duties. The duties of the Board of Directors shall include, but not be 87 limited to: 88 a. Managing the affairs of the Cooperative: 89 b. Adopting the By-Laws: 90 c. Establishing administrative policy for operation of the Cooperative: 91 d Receiving and disbursing grant funds from state and federal sources J 2 and entering into arrangemcn~s as appropi'iatc ;I~ connection therewith, and receiving and disbursing 93 funds from governmental units \\ithout libraries participating in the Cooperative; 94 e [nvesting the Cooperative nmds; 95 f E!11l'loving and directlng an administrator; b (Y cY Cunducting open and public monthly meetings, the time and place 97 to be decided by the Board of Directors; 98 h, Establishing the operating budget which is subject to the approval 99 of the Board of County Commissioners for the Cooperative and overseeing its execution, including 100 approving expenditures for administration; 5 I . I 101 L Reviewing and approving applications for capital funds for expansion 102 or construction of additional library facilities; 103 J. Advising the BCC and participating governmental entities with respect 1 0 4 to the budget, disbursements, extension and expansion of library services and other affairs of the 1 0 5 Cooperative; 106 k. Establishing an interlibrary loan program and its policies and 107 procedures. 108 109 of Section V. 1. Submission of funding requirements in accordance with the provisions 110 111 c. Administrator: A professional administrator shall be employed by the governing Board 112 1 Duties, The duties of the administrator shall include, but not be limited to: a. Maintaining infom1ation for and submitting applications on behalf of the 114 Cooperative for available local, State and Federal library funds with Board approval, filing reports ~ with the Division of Library and Information Services pursuant to Section 257.16, Florida .~ 1. 0 Statutes (] 987), 7 b Recommending and developing, with Board approval, cooperative ~ 18 projects as a method of cost reduction and improved efficiency: 119 c. Planning for and developing centralized coordination, planning, and 12 0 technical services working with local libraries: 121 d, Preparing and presenting the annual operating and capital budgets and ~ 22 Annual Plan of SerVice of the Cooperative to the Board. 6 I I 123 2. Qualifications. The administrator must have an American Library 124 Association accredited lie~ree in library science, and a minimum of five (5) years library 125 administration experience, with experience in library cooperative administration preferred. 126 D. Advisory CQuncil: 12 7 A Librarians' Advisory Council made up of all library directors of governmental units in the 12 8 county participating in the Cooperative, will assist the Administrator in developing centralized 129 coordination, planning and other matters as appropriate. A chairman will be elected by the Advisory 13 0 Council. The office of Chairman will be rotated yearly among the members of the Advisory Council. 131 E. Long-Range and Annual Plans of Service: 132 The program of cooperative library services for the next three to five years will be described 133 in a long-range plan of goals, objectives, and activities for the cooperating member libraries and the 134 coordinating unit These plans are the basis for library service provision. Each year an Annual Plan ~ c:; of Service and Budget is developed containing goals, objectives, and activities and the budget that 136 will support library services for the year. These plans must clearly demonstrate that resources will 137 be allocated in a way that serves the goal of equal access to library services and consistency 138 throughout the service area The initial long-range plan must be updated every three to five years 139 The plan will be coordinated with individual cooperating library long-range plans (where they exist) 140 and will meet the requirements for participation in the State Aid to Libraries Program. The 141 Cooperative Board will adopt the plans and disseminate them broadly in the County. 142 F Reports: 143 The Cooperative Hoard will provide to participating governmental entities annual reporis on 7 I I 144 the progress toward meeting the objectives of the long-range plan and the annual plan of service. The 45 reports will be based on audited figures and will be forwarded to participating governmental entities, 4 6 the BCC, and the Division of Library and Information Services. 147 IV. PARTICIPATION: 148 A. General: 14 9 Participation will be voluntary and open to any governmental unit. Citizens residing in 150 participating areas will be eligible to use the services of member libraries of the Cooperative without 151 charge. Citizens residing in governmental units or areas not electing to participate will be excluded 152 from the use of the Cooperative's services. Participating entities may withdraw pursuant to the 153 provisions of Section VI. j 54 B. Participating Governmental Units With Libraries - c- r.:.- --' ,) 1. Autonomv Each governmental unit with a library shall continue to decide 156 the level of library service for its community, and shall prepare its own budget. Each library ~57 shall remain autonomOLlS and retain control of its operations and functions, i.e.: ].58 a, Trust funds, individual gitl.s or donations made to a library shall remain 59 the property of that library =-60 b. All library stans shall remain employees of the various governmental =- 61 units with no loss in benefits; 162 c. Each library shall remain the property of the governmental unit in which 163 it is located, and all maintenance and repairs shall be effected through operating budgets from ~ 6 4 allocated local appropriations, t I 165 2. Each governmental unit with a library shall provide to the Cooperative by 166 March 31 of each year (beginning with March 31, 1989) an audited statement of its library operating 167 costs for its last completed fiscal year. Governmental units with libraries will not be assessed for 168 additional funds to participate in the Cooperative. 169 3. Materials and Services. Participating governmental units with libraries agree 1 7 0 to allow all free circulation materials of existing community libraries to circulate freely to residents 171 of all participants in the Cooperative. Within policies established by each library, residents of 172 participating governmental units may borrow materials either directly from participating libraries or 173 through interlibrary loans, and use all reference and public programming services. 174 175 C Participating Governmental Units Without Libraries: 1. Basis for Funding: -, "j", Each participating governmental unit without a library shall provide annual financial support to the Cooperative which, 'vhen calculated on a per capita (of population of such governmental unit) basis for any year, shall be equivalent to the average per capita funding excluding all monies received from the Cooperative provided during the most recent preceding year by the 176 178 179 180 participating governmental units having libraries. The average per capita funding provided by 1. 8.L governmental units having libraries shall be calculated as follows: The total expenditures as adjusted 182 for monies received from the Cooperative of the participating governmental units from the most 183 current prior year shall be divided by the total population of the participating governmental units to 184 obtain the aggregate average per capita cost. For purposes of this subsection C. "funding" means the 185 amount of library expenditures for any year as described in Section V A by a participating -'- 8 governmental unit having a library, and "population" means the number of citizens reslciing in the 9 ~ i 187 participating governmental unit determined in accordance with Section V A 188 2. U nderfunding: 189 It is understood that the funding commitment set forth in Section IV C of each 190 governmental unit without a library is subject to annual appropriation of funds by the governing 191 authority of such unit and to applicable limitations on millages available. However, if such 192 governmental unit's financial support paid to the Cooperative is less than the amount due under 1 9 3 Section IV C for any reason other than limitation on millages available, then such unit shall be deemed 194 to have withdrawn from the Cooperative (notwithstanding the provisions of Section VI A) effective 195 thirty (30) days after the giving of written notice to such unit of the deficiency, unless payment of 196 such deficiency is made within such thirty (30) days, In the event of such withdrawal, all funds due 1 97 under Section IV C shall be immediately due and payable as specified in Section VI C. 198 V FUNDING MECHANISM: A Determination and i\'otification of Per Capita Amounts for Participating Governmental Units Without Libraries The Cooperative shall advise by June 1 of each year, each participating governmental unit without a library, of such unit's funding requirement for the next fiscal year, together with the calculations by which such funding requirement was determined and the backup inlcmlldtlon for ') J. such calculation, consisting of (i) average per capita locally funded library expenditures of 200 :~ ell c') 205 participating governmental units with libraries for the last completed year and (ii) appropriate 2 0 6 population statistics. The expenditures shall be based on audited financial statements for such last 207 completed year in accordance with budget line items identified in Section V C 3 below. The 208 population statistics used to calculate such per capita expenditures shall be for such year and shall be 10 I I 209 from the Bureau of Economics and Business Research of the University of Florida. Payments shall 210 )e made by each participating governmental unit without a library of annual financial support due 211 Irom it in four (4) quarterly payments of twenty-five percent (25%) each. 212 Governmental units with libraries will continue to fund their local libraries and are not 2 13 required to make any payment to the Cooperative for participation in the Cooperative. 214 215 B. Fiduciary Responsibility for Funds: 1. All funds of the Cooperative shall be maintained in an interest-bearing bank 2 16 depository: 217 2. Complete and accurate records shall be kept of the receipts and 2 18 disbursement of all funds of the Cooperative; 219 3. An annual audit of the Cooperative by an independent certified public 220 accountant, to be paid for from the operating funds of the Cooperative, shall be made and filed annually with the Department of State; 222 4, The Cooperative shall abide by the terms and provisions of the laws of the 22:3 State of Florida and the provisions of this Agreement and anv other applicable Federal, State, or local 224 laws, rules and regulations I I 225 c. Disbursement: 22 6 The Board of Directors shall disburse funds received by the Cooperative according to the 227 formula below: 228 1. Eight percent (8%) of the monies collected from participating 229 governmental units without library service shall be put into a capital improvements fund to 230 be used for additions to existing libraries, for building new libraries, or purchase of special 231 improvements to service other participants. 232 2. Three percent (3%) of the monies collected from participating governmental 2 ~ 3 units without library service shall be used to fund the administrative costs of the Cooperative, 234 including the administrator's salary, office supplies, rent, and other costs related to the administrator's 235 operations. :236 .., -' The remammg funds (39% of momes collected from participating 237 governmental units without library service) shall be distributed to participating governmental units 238 with libraries with each slIch unit with a library receiving the same propoliion of such remaining funds 239 as such unit's librarv operating costs for tht:' vear next preceding the year in which such disbursement 240 is to be made bears to the total library operating costs for such next preceding year of all 241 governmental units with libraries. This distribution is to be based on submittal of annual library 242 operating costs with descriptive codes in accordance with the state chart of accounts. All funds 243 collected from sources other than participating governmental units shall be distributed in the same 244 manner as funds collected from governmental units without libraries. 12 I I 245 Funds received by the Cooperative shall be disbursed within a reasonable time (not 246 to exceed 90 days) after receipt. For each of the first two full fiscal years of the Cooperative, no governmental 294 unit with a library will receive more than twenty percent (20%) nor less than five percent (5%) of 295 disbursement monies unless the five percent (5%) disbursement amount exceeds the amount of the 296 individual library's operating costs for the year most recently preceding the year for which , ' disbursements are to be made, in which case an amount equivalent to such preceding year's costs will 298 be disbursed. lOr: L. j j 5. Any governmental unit with a library that joins the Cooperative may apply 3 (I 0 for monies for expansion of its library facilities LJ pon approval by the Board of Directors, these 30'1 monies are to be provided from the CoopcrJj-,..-e's capital in1provenlents fund. f\S long as the 302 governmental unit remains a member of the Cooperative, the money need not be paid back. 3 03 However, if and when such governmental unit ceases to be a member of the Cooperative, it shall have 304 the obligations described at Section VI B. -:'5 I I 305 6. State Aid funds, establishment, construction and program grants received from 306 the state shall be used in accordance with the provisions of applicable state law, F.S. 257 and F.AC. 307 IB-2andlB-3. 308 VI. WITHDRAWAL: 309 A All Participants: 310 1. No participant may withdraw from the Cooperative or from its obligation 311 under this Agreement for a three (3) year period from and after the effective date, subject to the 3 12 provisions of Section IV C 2. 313 2. Any participating governmental unit wishing to withdraw shall submit written 3 14 notice thereof to the Cooperative no later than six (6) months prior to the beginning of any fiscal year 3 15 of the Cooperative. 316 3. Withdrawal of governmental units without libraries may occur in the manner , 1 co _)...L I specified in Section IV C 2 318 B Governmental Unit With a Library 319 /\ governmental unit with a library that submits a withdrawal notice to the Cooperative shall: 320 I. At the request of the Cooperat:\e's Board, promptly furnish usage statistics 21 and an audit of library operating costs for such unit's iast fiscal year completed prior to the date the 322 withdrawal is effective to insure maintenance of proper accounting for the Cooperative; 323 2. Return to the Cooperative within SL\.1y (60) days after withdrawal, any special 324 equipment or collections purchased for such governmental unit with funds from the Cooperative :3 2 5 capital improvements fund for a program function to service other participants. In 16 J I 32 6 lieu of returning the equipment or collections, the amortized balance thereof based on an 327 amortization period of five years from date of purchase may be repaid to the Cooperative during the 32 8 year following withdrawal; 329 3. Repay to the Cooperative within sixty (60) days after withdrawal any then 3 3 0 remaining unexpended and uncommitted funds received from the Cooperative: and 331 4. Pay to the Cooperative during the year following withdrawal the unamortized 332 cost based on a 20-year amortization of any building improvements paid for with monies from the 333 Cooperative's capital improvements fund. 3 3 4 After complying with the foregoing, the withdrawing governmental unit with a library 335 shall have no other obligation under this Agreement. 336 c.
