MEMORANDUM OF UNDERSTANDING
BETWEEN
OPERATION PAR, INC.: AND
THE CITY OF CLEARWATER
PURPOSE
This memorandum of understanding has been developed between
operation PAR, Inc., herein referred to as PAR, and The city of
Clearwater, herein referred to as CITY, to improve services to the
Condon Gardens Housing Complex by cooperating in the establishment
and operation of a computer learning laboratory and in the
development and operation of joint educational programs.
SECTION I.
MEMORANDUM OF UHDERSTAHDING TERM:
This memorandum of understanding will go into effect immediately
upon execution of signatures by both parties, and shall remain in
effect unless terminated by either party, in writing or by April
30, 2000, whichever is earliest.
SECTION II.
The city agrees to provide the following :
1. Space for the computer equipment purchased under this
grant.
2. Arrangements for the maintenance of the computer
equipment located in the learning center.
3. computer paper and computer printer ribbons to be used in
the learning center.
4. Insurance to cover the replacement of the equipment if
either stolen or damaged.
5. Arrange for housekeeping services for the computer
learning center.
SECTION III.
PAR agrees to provide the following services as part of the Family
Investment Center Grant:
1. Twenty hours per week of a staff position to provide
instruction and assistance to individuals desiring to
acquire the skills to utilize the computer equipment
located at the learning center for this program. The

continuation of this service will be subject to the
availability of funding. In the event that funding is
discontinued for this position, PAR will notify in
writing both the Clearwater Housing Authority and the
city of Clearwater.
2. Reimburse the City for the purchase of the computer
equipment (as listed on Attachment A) upto the amount of
$16,782 as stipulated in the approved grant budget.
3. A mandate that PAR staff is responsible for a clean and
orderly environment in the computer learning center
during and upon completion of the scheduled hours of
operation when supervised by PAR staff.
4. A report of equipment malfunctions observed by PAR staff
will be given to the Clearwater Police Department
substation personnel as quickly as possible.
SECTION IV.
CONFIDENTIALITY:
Both parties acknowledge that in receiving, storing, processing or
otherwise dealing with any information from clients served,
including client identity, under this Memorandum of Understanding,
each party is fully bound by the provisions of the federal
regulations governing Confidentiality of Alcohol and Drug Abuse
Patient Records, 42 CFR Part 2.
SECTION V. MUTUAL UNDERSTANDINGS:
1. Computer equipment is to be available for clients of the
Family Investment Center only.
2. PAR will provide to the CITY the hours when PAR staff
will be available to provide instruction and assistance
to clients in the usage of the computer equipment.
3. Title for the computer equipment listed on Attachment A
resides in the CITY.
SECTION VI.
OTHER CONDITIONS:
1. This Memorandum of Understanding may be terminated by
either party with a thirty (30) day written notice, or in
particular PAR reserves the right to terminate this
memorandum of understanding, upon written notice, in the
event of the loss of funds which support the clients for
which this memorandum of understanding is designed to
serve.

2. Neither party shall assign this agreement; however, it may
be modified in writing by the parties by mutual agreement.
3. This instrument embodies the whole agreement of the
parties involved and both parties warrant to the other
that there are no other promises, understandings, or
conditions which pertain between them, and both parties
further warrant to the other that this instrument shall
supersede all previous communications, agreements or
representations -- either written or verbal -- which may
have been made between them.
IN WITNESS THEREOF, the parties hereto have caused the memorandum
of understanding to be executed by their undersigned officials as
duly authorized.
