PORTIONS OF THE LAND ANNEXED ARE TO BE CONVEYED FOR PUBLIC PURPOSES -i I. J , (. A GR E E MEN T THIS AGREEMENT, made and entered into this ~ay of June, 1975, by and between the City of Clearwater, Florida, a municipal corp-oration, hereinafter called First Party, and Northwood Estates, a co-partnership under the Florida Uniform Partnership Act, hereinafter called Second Party. WIT N E SSE T H : -d. WHEREAS, First Party did on or about the a,lo- day of June, 1975 annex in to the City of Clearwater certain land in Pinellas County, Florida owned by Second Party, said property being known as Northwood Estates, which property is hereinafter more fully described, and WHEREAS, certain specified portions of the land annexed are to be conveyed by Second Party to First Party and to be dedicated by First Party for public purposes, and WHEREAS, Second Party desires to retain certain rights, namely the right to dredge and remove dirt from a portion of the premises to be so dedicated, and WHEREAS, First Party is not now willing to grant to Second Party any right to dredge and remove dirt, but is will- ing to defer a decision thereon until a later date, and WHEREAS, it is the desire of the parties to commit to writing this agreement pertaining to dredging and removal of di rt. NOW, THEREFORE, it is agreed as follows, to wit: 1. That attached hereto, marked Exhibit "A" and by this reference made a part hereof is the Comprehensive Land Use Plan for Northwood Estates, the purpose in attaching same and making it a part hereof is to aid in locating the property that is the subject of this agreement. 2. That the specific property Second Party desires to V~l dredge and remove dirt from is wi thin Tracts Hand J as shown ol.( -' ()OS'-{X)( ~ __ _____________1 , I on Exhibit ",A" and shown thereon as "Proposed Retention Area". That attached hereto, marked Exhibit "B" and by this reference made a part hereof is the legal description of that portion of the property lying wi thin Tract J that is the subject of this agreement, same being within the retention area. 3. That parties acknowledge and agree that there are environmental hydrological and other considerations that must be resolved, and that consents and approvals of other govern- mental agencies and departments must be obtained, including that of First Party before there could be any dredging and removal. That First Party does hereby consent to Second Party undertaking to obtain from all governmental agencies, depart- ments and bureaus having jurisdiction the appropriate consents and permits. In the event Second Party does in fact obtain said consents and perIni ts, that then and in that event First Party will further consider the matter, and that First Party will either approve and give its consent or disapprove and deny the proposed dredging and dirt removal. If First Party does not give its approval and consent to the proposed dredging and dirt removal, then the Second Party shall have no claim or cause of action of any type against the First Party in connection therewi th. 4. It is agreed however that Second Party shall have a period of three years from the date of this agreement within which to obtain all necessary consents or approvals from the various governmental agencies, departments or bureaus having jurisdiction, and also the final consent and approval of First Party. 5. In the event all approvals or consents are in fact obtained, including that of First Party it is agreed that Second Party shall have three years from the date of approval by First Party within which to complete the dredging and removal and that all dirt to be so removed shall be the property of Second Party. Further, that Second Party will before commencement of the dredging and removal, execute such -2- J I documents as First Party may require, holding First Party harmless from any claim that might be asserted by any party against First Party arising out of the dredging and removal. All dredging and dirt removal shall be in compliance with regulations and ordinances of the First Party. 6. That the Second Party will provide the First Party a detailed study of the ecological, hydrological and biological impacts of such dredging action, to be prepared by qualified professionals in each field. These impact assess- ments to cover Lake Chautauqua itself and all surrounding and related natural ecosystems. 7. It is agreed that First Party, being the owner and holder of the legal title to that portion of the proposed retention area described in Exhibit liB", will where required join in the applications to obtain the necessary approvals and consents but that said joinder shall not be construed or interpreted as approval or consent to the dredging and dirt removal by First Party.
