SECOND EXTENSION TO
DISCLOSURE COUNSEL RETAINER AGREEMENT

THIS AGREEMENT is made on the L day of , 1999, by and
between the CITY OF CLEARWATER ("City") and the law firm of NABORS, GIBLIN &
NICKERSON, P.A., Tampa, Florida ("Disclosure Counsel").
WIT N E SSE T H:
WHEREAS, the City wishes to retain a firm to serve as Disclosure Counsel to
the City in connection with various bond issues and other matters; and
WHEREAS, the City and Disclosure Counsel have previously entered into a
Disclosure Counsel Retainer Agreement dated May 16, 1995 (the "Agreement") for
three (3) years with two (2) one-year options; and
WHEREAS, the City and Disclosure Counsel extended this Agreement for one
(1) year on May 18, 1998 and ending May 15, 1999; and
WHEREAS, the City and Disclosure Counsel wish to extend the Agreement for a
second renewal beginning May 16, 1999 and ending May 15, 2000.
NOW, THEREFORE, in consideration of the promises and mutual covenants
contained herein and in the Agreement, the parties hereto do hereby agree as follows:
SECTION 1. Disclosure Counsel is hereby authorized to continue to
provide Disclosure Counsel services as described in the Agreement and for the
professional fees described in the Agreement.
SECTION 2. The term of the Agreement is hereby extended for one year
beginning May 16, 1999 and ending May 15, 2000.
SECTION 3.
