EXTENSION TO
DISCLOSURE COUNSEL RETAINER AGREEMENT

THIS AGREEMENT is made on the K day of~, 1998, by and
between the CITY COMMISSION OF THE CITY OF CLEAR~TER, FLORIDA (the
"City") and the law fInn of NABORS, GIBLIN & NICKERSON, P.A., Tampa, Florida
("Disclosure Counsel").
WIT N E SSE T H:
WHEREAS, the City wishes to retain a [mn to serve as Disclosure Counsel to the
City in connection with various bond issues and other matters; and
WHEREAS, the City and Disclosure Counsel have previously entered into a
Disclosure Counsel Retainer Agreement dated as of May 16, 1995 (the "Agreement"); and
WHEREAS, the City and Disclosure wish to extend the term of the Agreement for
a renewal of one year;
NOW THEREFORE, in consideration of the premises and mutual covenants
contained herein and in the Agreement, the parties hereto do hereby agree as follows:
SECTION 1. Disclosure Counsel is hereby authorized to continue to provide
Disclosure Counsel services as described in the Agreement and for the professional fees
described in the Agreement.
SECTION 2. The term of the Agreement is hereby extended for one year and
may be extended an additional one year upon written agreement by the City.
SECTION 3.
