TO
CITY OF CLEARWATER EMPLOYEES' PENSION FUND
MASTER CUSTODY AGREEMENT
THIS AMEND~E ffective as of December 12,2002, is made and entered into this
23rd day of Septembe ,y d between THE BOARD OF TRUSTEES OF THE CITY OF
CLEARWATER EMP OYEES' PENSION FUND (the "Board"), and THE NORTHERN TRUST
COMPANY ("Northern"), an Illinois corporation, of Chicago, Illinois.
WITNESSETH:
WHEREAS, the Board and Northern have made and entered into a certain Master Custody
Agreement, effective December 12, 2002 (the "Agreement"); and
WHEREAS, the Board and Northern desire to amend the Agreement to clarify certain
provisions regarding authorized persons; and
WHEREAS, all other provisions of the Agreement shall remain in full force and effect.
NOW, THEREFORE, in consideration of the premises and of the mutual covenants and
agreements hereinafter contained, the parties agree as follows:

The Agreement is hereby amended by replacing Section 20 in its entirety with the
"20. Attached as Appendix B is a certified copy of a motion or
minute of the Board indicating the person or persons authorized to direct
Northern with respect to the actions so identified and Northern may
conclusively rely and act upon a direction received by it which it believes
in good faith is from such person or persons until further written notice
from the Board. The Board's motion or minute referenced above shall be
certified by the Chairman or Secretary of the Board, and Northern may rely
upon such certification which it reasonably believes has been signed by the
Chairman or Secretary of the Board."

Save and except as hereby expressly amended, all terms and conditions of the Agreement shall
remain in full force and effect.
