PROFESSIONAL SERVICES CONTRACT REPUBLICATION OF CODE The MUNICIPAL CODE CORPORATION, a corporation duly authorized and existing under the laws of the State of Florida, hereinafter referred to as MCC, hereby offers to republish the Code of Ordinances for the CITY OF CLEARWATER, a municipal corporation duly organized and. existing under the laws of the State of Florida, hereinafter referred to as the Municipality, according to the following terms and conditions. PART ONE REPUBLICATION A MCC will: (1) EDITORIAL REVIEW. The existing Code as supplemented will be reviewed for the purpose of advising the Municipal Attorney of internal conflicts, duplications, and inconsistencies within the Code. MCC will not make any textual substantive changes in the existing Code, unless dictated by ordinance or specific instructions from the Municipal Attorney. The ordinances of the Municipality enacted subsequent to the latest ordinance included in the existing Code will be incorporated into the Code in their appropriate places. The amended or repealed provisions will be removed and the new provisions inserted. (2) REORGANIZATION OF CODE. The existing titles of the Code will be rearranged and renumbered to implement alphabetical classification by subject matter. A tentative Table of Contents will be submitted to the Municipality for approval. (3) CROSS REFERENCES. Update and prepare new general cross references throughout the Code, which will tie related portions of the Code together. Appropriate Charter references will also be included. Existing state statute references will be reviewed and updated as necessary. (4) CHAPTER ANALYSIS. Each chapter of the new Code win be preceded by a detailed analysis listing the articles, divisions, and sections contained therein. (5) INDEX. A comprehensive, legal and factual general Index for the entire Code will be prepared. A new separate Charter Index will also be prepared. 1 (6) TABLES. The following Tables will be prepared for the new Code: (a) Table of Contents. This Table will list the chapters, articles or divisions of the Code, with appropriate page numbers. _l.~ '. I I (b) Comparative Table. The existing Comparative Table, listing the ordinances included in the Code in chronological and/or numerical sequence, may be carried forward in the new Code. In addition, MCC will prepare a table of all prior Code sections and their locations in the new Code volume. (c) Statutory Reference Table. This Table will be updated to include all current statutory citations. (7) TYPESETTING AND PRINTING. Upon completion of the work enumerated above, MCC shall print: (a) the text of the Code in ten-point type with boldface catchlines; (b) the Index in eight- or ten-point type, depending on the page format; (c) the cross references in eight- or ten-point type with boldface headings; (d) the specified number of copies of the Code on 50 lb. Miami Book Paper, or its equivalent; (e) the page size shall be 8-1/2 x 11 inches, double column format. Samples attached. (8) PROOFS. After the entire Code is set in type, MCC will submit one (1) full set of proofs to the Municipality for review. MCC assumes the responsibility of proofreading and typographical correctness. The Municipality may make word changes on the proofs without charge. However, the Municipality will be charged for changes or deletions constituting more than a page of type. It shall be the duty of the Municipality to return the proofs, with the changes indicated thereon, within thirty (30) days from the date of their receipt by the Municipality. (9) TABULAR MAlTER. In the event the manuscript for the Code should contain tables, drawings, designs, Algebra formulae and the like for which either engraved cuts or special methods of reproduction are required, the cost of such engravings or tabular matter will be additional to the costs provided in this agreement. However, there is no additional charge for index pages or pages containing tables. (10) BINDING. If desired, MCC shall bind copies of the completed Code in mechanical post-type binders, each with slide-lock fasteners and with imitation leather covers stamped in gold leaf. The unbound copies will be punched and wrapped separately for storage and eventual binding by the Municipality. Additional binders can be ordered at any time by the Municipality, at the then current prices. Existing binders may be utilized by the Municipality. 2 (11) DELIVERY. MCC will perform the work as hereinabove set out and make fmal delivery of the completed Codes within ten (10) months from the date of receipt of the material and contract, excluding time required for review of the proofs and any delays occasioned by the Municipality. 1- I I (12) SHIPMENT; ADOPTING ORDINANCE. Upon completion of the above, MCC will ship the Code books to the Municipality. At this time, MCC's attorney will furnish the Municipality with a suggested adopting ordinance, if desired. Once the Code has been adopted, a copy of the ordinance should be sent to MCC, so that it can be included in the Code. (13) REPRINTS. Additional copies of specific chapters or any portion of the Code may be printed and bound in paper covers for separate sale or distribution by the Municipality. Quotations for specific chapters in pamphlet format will be furnished upon request. (14) MAGNETIC MEDIA. The magnetic media for the new Code will be available after completion of the Code, unless otherwise agreed upon. The magnetic media available is a 3- 112 or 5-114 inch diameter disc, double sided, double density, formatted for DOS (Disc Operating System), with data in ASCII. (15) DISTRIBUTION AND STORAGE OF CODES AND SUPPLEMENTS. (OPTIONAL) MCC offers assistance in soliciting orders for the new Code, and to distribute and store the Codes and Supplements as follows: (i) Order Forms. MCC will prepare and print an order form which may be mailed to all potential subscribers of the new Code and Supplement Service. (ii) Mailing Service. MCC will mail copies of the Code and future Supplements to those persons subscribing to the new Code and Looseleaf Supplement Service. The copies required for use by the City will be shipped as requested by the City. (ill) Billing Subscribers. MCC will bill subscribers to the Looseleaf Supplement Service on an annual basis. All moneys received will be credited to the City's account for publication of the Supplements or reimbursed to the City quarterly. A listing of all current subscribers will be furnished as requested. (iv) Storage. All undistributed copies of the Code and future Supplements will be stored by MCC. All risk of loss or damage to the Codes and Supplements so stored will be assumed by MCC. (v) Costs. The costs for the above services will be as follows: a) Solicitation assistance and printing order cards ...... no charge b) Mailing of Codes and Supplements . . . . . . . . . . . . . .. $1.50 per mailing, plus cost of postage; c) Billing of subscribers for Code and/or Looseleaf Supplement Service .................. $3.50 per subscriber; d) Storage of Codes and Supplements .............. based on the per annum. number of copies 3 '. I I (vi) Payment. The cost of mailing as provided above will be included on the statement of charges for each Supplement. A statement for the cost of storage and billing will be submitted annually. 4 I I B. The Municipality will: (16) COPIES OF MATERIAL. Submit to MCC the material which will constitute the republished Code. (17) COSTS. Pay MCC for the work of editing, printing, and binding as follows: (a) Per printed pagel (estimated 800 pages @ $24.50 per page = $19,600) $24.50 (b) Per page cost includes: (i) Editorial Work (ii) Typesetting and Proofs (iii) Indexing (iv) Printing a) b) Number of copies Format 150 8-112 x 11 inches, double column (c) Additional costs: (i) Freight charges, which will be prepaid and invoiced upon shipment. (ii) Special order tabs, 150 sets, per set (iii) Three-post expandable looseleaf binders, each (iv) Magnetic Media $10.00 $16.00 $250.00 (d) Payment will be due as follows: (i) Upon signing of the contract (ii) Upon receipt of proofs (iii) Balance upon delivery of Code. $5,000 $7,500 5 lA page is defined as the area on one side of a sheet of paper. A sheet contains two (2) pages. There shall be no charge for totally blank pages. The cost for 150 new binders is for estimation and illustrative purposes only. 6 I I PART lWO LOOSELEAF SUPPLEMENT SERVICE (1) SCHEDULE. The Code of the Municipality will be kept up-to-date by the publication of Looseleaf Supplements containing the new ordinances of a general and permanent nature enacted by the governing body. The Supplements will be published bimonthly, quarterly, semiannually or annually, depending on the requirements of the Municipality. There shall be no additional charge for more frequent publication. A minimum of thirty (30) working days shall be required for delivery of a Supplement following publication of the previous Supplement. (2) ORDINANCES TO BE FURNISHED BY MUNICIPALITY. The ordinances will be forwarded to MCC promptly following enactment by the Municipality for recording and processing. (3) EDITORIAL SCRUTINY. The new ordinances will be studied by a member of the law editorial staff of MCC in conjunction with the existing provisions of the Code for the purpose of determining if any provisions of the basic Code are repealed, amended or superseded. The page or pages of the Code containing provisions that are repealed or amended by ordinance shall be reprinted or printed to remove such repealed or amended provisions and to insert the new ordinances. (4) EDITORIAL NOTES. Appropriate editorial notes will be prepared and appended as deemed necessary by MCC. State law references appended to the new ordinances by the Municipal Attorney will be included as appropriate footnotes. (5) INDEX AND TABLES. When the inclusion of new material necessitates changes in the Index, appropriate entries will be prepared and the necessary pages of the Index will be printed or reprinted to include the new entries. The Comparative and State Law Reference Tables will also be kept up-to-date by listing the ordinances and state law citations, if any, included in each Supplement, together with their disposition in the Code. The Table of Contents will also be kept current to reflect changes in the Code Volume. 7 (6) INSTRUCTION SHEET. Each Supplement will contain a page of instructions for removal of the obsolete pages and insertion of the new pages. The latest ordinance included in the published Supplement will be noted in boldface type on the Instruction Sheet. (7) CHECKLIST. A checklist of up-to-date pages will be prepared and kept current for the benefit of the user. The checklist of up-to-date pages will allow instant determination of whether the user is relying on a page reflecting current ordinances. (8) TABULAR MA TIER. The costs provided below are based on a page containing type for ordinary composition. Should the Supplement contain tables, drawings and the like for which special typesetting or other methods of reproduction are required, the costs of such engravings or tabular matter will be additional to the costs as provided below. ~ , I I (9) REPRINTS. The looseleaf reprint pamphlets, which contain certain portions of the Code, including appropriate Index, will be kept up-to-date at the same time the Code volume is supplemented, if desired. (10) COSTS. MCC will prepare the ordinances editorially and print 150 copies of each Supplement as follows: (a) Per printed page $24.50 (b) Updating magnetic media, per page $2.00 The above costs include the Index pages, Tables and Instruction Sheet. Special tabular matter will be in addition to the costs provided above. The magnetic media delivered after supplementation will reflect the entire Code as updated through the most recent Supplement. (11) SAMPLE ORDINANCE SERVICE. (Optional) Sample provisions of specific subjects will be furnished upon request. A sample ordinance index will be furnished for use in requesting the desired sample provisions. Costs: Up to 100 pages, per annum $180.00 Over 100 pages, per page $0.50 (12) FREIGHT. The Supplements will be shipped to the Municipality for distribution to the holders of the Codes. The shipment will be prepaid and invoiced at the time of final billing. The Municipality shall have the exclusive right to sell and distribute the Supplements. (13) PAYMENT. All money due MCC for the publication of the Looseleaf Supplements will be due and payable within thirty (30) days after the date the Municipality is invoiced for the same by MCC, without interest. (14) TERMINATION. The Looseleaf Supplement Service as provided herein shall be in full force and effect for a period of five (5) years and shall be automatically renewed from year to year, provided that either party may alter or cancel the terms of this agreement upon sixty (60) days' written notice. 8 . . , Municipal . .
