LEASE TERMINATION AND INDEMNITY AGREEMENTLEASE TERMINATIONAND INDEMNITY AGREEMENT THIS LEASE TERMINATION AND INDEMNITY AGREEMENT ("Termination Agreement") is made as of the30Nay of WiW,, 2010, by CITY OF CLEARWATER, a Municipal Corporation of an address of P. O. Box 4748, Clearwater, Florida 33758-4748, the State of Florida, having- ATTENTION: City Manager ("Landlord" or "City"); and CLEARWATER COUNTRY CLUB MANAGEMENT, INC., a Florida Non Profit Corporation, having an address of 525 Betty Lane, Clearwater, Florida 33755 ("Tenant" or "CCC") (each individually referred to herein as "Party" or collectively as "Parties"). WITNESSETH WHEREAS, Landlord and Tenant entered into that certain Lease Agreement dated May 9, 2000, as modified by that certain First Amendment to Lease Agreement dated October 21, 2008 (collectively the "Lease"), for the lease of certain property located in Pinellas County, Florida, as described more particularly in Exhibit "A" ("Premises"); and WHEREAS, the parties desire to terminate the Lease, provide for the disposition of certain secured personal property on the Premises, provide for an indemnity on the terms and conditions hereinafter set forth, and provide for the prospective use and occupation of the Premises; and NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: Recitals. The foregoing recitals are true and correct and are incorporated herein by reference. 2. Termination of Lease Due to Default. The Parties hereto agree and acknowledge that the Tenant has defaulted under the terms of the Lease and therefore, the Lease shall terminate effective as of 10:00 p.m., Eastern Standard Time, on September 30, 2010 and Tenant shall surrender the Premises to City ("Termination Date") as if the Termination Date were set forth in the Lease as the expiation date of the term of the Lease. Notwithstanding the foregoing, all indemnity obligations of Tenant ("Tenant Indemnifications") as set forth in the Lease shall hereby remain in full force and effect, shall survive the termination of the Lease, and shall continue to benefit the Landlord after the transfer of the Premises. 3. Lease Obligations and Transfer of Personal Property. Tenant shall perform all of the Lease obligations and covenants required to be performed or observed by Tenant up to and including the Termination Date, including, but not limited to, the payment of all rent and other charges payable under the Lease through the Termination Date. Tenant and Landlord reserve any and all rights, remedies and defenses as may be provided by law, which shall survive termination of the Lease and this Agreement. Due to Tenant's default, the Parties agree and acknowledge that in accordance with Chapter 83, Florida Statutes, the Landlord has a lien interest in all personal property usually kept on the Leased Premises for the amount of all rents due. Landlord's lien is superior to any lien acquired subsequent to the bringing of the property on the Leased Premises. In addition, Landlord has a secured interest in certain personal property as reflected in its registered Financing Statement UCC-1 dated March 9, 2009 (attached hereto as Exhibit "B"). Further, in accordance with Section 28 of the Lease, Landlord is entitled to purchase such Tenant assets necessary for the operation of the golf course Premises. Therefore, Landlord shall, as soon as reasonably possible, and at its expense, secure an Accredited Senior Appraiser of the American Society of Appraisers (ASA) to determine the fair market value of all personal property on the Premises as more specifically set out in Exhibit "C" attached hereto. Landlord shall then, in its sole discretion, select such personal property from Exhibit "C" to which it chooses to take title via a Bill of Sale executed by Tenant in accordance with its lien interests. Landlord may also take title, via Bill of Sale to such personal property as it chooses to acquire in accordance with its right to purchase under Lease section 28 and in accordance with its applicable procurement requirements. Tenant hereby represents that until such time as the appraisal is complete and the City has taken title to the personal property in accordance herewith, Tenant will not remove any personal property from the Premises. Once the City has taken title via Bill of Sale, Tenant may remove any and all personal property to which it retains title. The Parties hereby stipulate to, and agree to be bound by the appraised value as determined by the appraiser mutually accepted in accordance with this provision. Payment due from Landlord to Tenant for the Secured Personal Property shall be due and payable not later than fifteen (15) business days following Landlord's receipt of the personal property and Bill of Sale. 4. Estoppel and Waiver of Cure Period by Tenant. Tenant and Landlord each hereby certify and acknowledge to the other that, as of the date of the mutual execution of this Termination Agreement: (a) Landlord is not in default in any respect under the Lease; (b) Tenant is in material default in respect to payment of rent under the Lease; (c) Tenant has waived its thirty (30) day cure period as of the date of this Agreement (d) Landlord has an offset against the value to be paid by Landlord for the Secured Personal Property in the full amount of all rent and other monies due and owing to Landlord at Termination Date. Tenant and Landlord each acknowledge and agree that the representations herein set forth constitute material consideration to the parties in entering into this Termination Agreement, such representations are being made by Tenant and Landlord for purposes of inducing the other party to enter into this Termination Agreement, and each party is relying on such representations in entering into this Termination Agreement. 5. No Transfer. Tenant and Landlord each represent and warrant that it has not, voluntarily or by operation of law, effectuated or allowed an assignment, mortgage, or other transfer or encumbrance of all or any part of its interest in the Lease, and Tenant has not sublet all or any part of the Premises. Tenant represents and warrants that there are no secured claims against it in any way arising or resulting from or in connection with the Lease, and that there is no secured claim, agreement or other matter that would preclude or restrict the termination of the Lease provided for hereunder or otherwise adversely affect this Termination Agreement or the enforceability thereof. 6. Surrender of the Premises and Cooperation to Continue Operations. As of the Termination Date, Landlord will be the fee simple owner of the Premises, and, therefore, Tenant shall surrender the Premises to Landlord subject to the terms and conditions contained herein. However, the City contemplates entering into an agreement for the management of the Premises from and after the Termination Date and Tenant hereby agrees to cooperate in good faith to facilitate the transition and transfer of the Premises to a third party of the City's choice. The Tenant also agrees to execute any documents necessary to accomplish same. 7. Default. In the event that any party to this Termination Agreement shall institute any action or proceeding against any other party out of or based upon this Termination Agreement, or by reason of any default hereunder, each party in such action or proceeding shall be responsible for its costs of such action or proceeding, including reasonable attorneys' and paralegals' fees at all trial and appellate levels and in bankruptcy, unless otherwise expressly provided for herein. 2 8. Representations. Each party represents to the others that it has full power and authority to execute this Termination Agreement. 9. Notices. Any notice that is sent or given under the terms of this Termination Agreement shall be sent to the address first set forth above. Any notice given by United States mail shall be deemed so given on the second business day after the same is deposited in the United States mail registered or certified matter, addressed as above provided, with postage thereon fully prepaid. Any notice that is given by another method shall be deemed to be delivered upon receipt by the party to whom the same is given. The parties may from time to time notify the other of changes regarding where notices should be sent by sending notification of such changes pursuant to this paragraph. 10. Miscellaneous. This Termination Agreement may be executed in any number of counterparts, all of which, taken together, shall constitute one and the same instrument. It shall not be necessary when making proof of this Termination Agreement to produce counterparts with original signatures, it being agreed that photocopies of signatures or signatures received by facsimile transmission shall have the same effect as original signatures. This Termination Agreement and the terms and provisions hereof shall inure to the benefit of and be binding upon the heirs, successors and assigns of the parties. This Termination Agreement shall be construed and enforced in accordance with the laws of the State of Florida. This Termination Agreement may not be amended except in writing signed by both parties. If any of the provisions of this Termination Agreement, or the application thereof to any person or circumstance, shall, to any extent, be invalid or unenforceable, the remainder of this Termination Agreement or the circumstances other than those as to whom or which it is held invalid or unenforceable shall not be affected thereby, and every provision of this Termination Agreement shall be valid and enforceable to the fullest extent permitted by law.
