MANAGEMENT AGREEMENTMANAGEMENT AGREEMENT THIS MANAGEMENT AGREEMENT, made and entered into this ----Cf day of mb2-.Y , 2010 , by and between the CITY OF CLEARWATER, Florida, a municipal corporation of the State of Florida, hereinafter called the "City", whose address is Post Office Box 4748, Clearwater, Florida 33758-4748, and THE CLEARWATER GOLF CLUB, LLC a Florida limited liability corporation, hereinafter called the "Club", whose address is 525 Betty Lane North, Clearwater, Florida 33755. WHEREAS, the City owns a golf course commonly known as the Clearwater Country Club for which it is currently seeking an interim manager; and WHEREAS, the principals of The Clearwater Golf Club, LLC, currently operate an established and successful golf course operation in the area of Clearwater, commonly known as the Brooker Creek Golf Club; and WHEREAS, the City has had a prior successful business relationship with the Club at another City-owned golf course; and WHEREAS, it is the intent of the City and Club to enter into a Management Agreement for the Clearwater Country Club premises as more particularly described herein. NOW THEREFORE, in consideration of the foregoing and the mutual covenants contained hereinafter, IT IS AGREED AS FOLLOWS: RECITALS 1. The foregoing recitals are true and correct and are incorporated herein by reference. MANAGEMENT TERM 2. The obligations and effectiveness of this Agreement is expressly contingent upon the vacation of the Facility (defined as follows) by the existing Lessee. That for and in consideration of the covenants to be kept and maintained by the parties hereto, the City does engage the Club to manage certain real property along with all associated improvements including but not limited to the "Clubhouse" and the "Pro Shop" buildings and facilities, said property located in the City of Clearwater, Florida, more particularly described in Exhibit "A" attached hereto and incorporated herein by reference (the "Golf Course" or "Facility"). The term of this Management Agreement shall be for a period of seven (7) months, commencing October 1, 2010 and ending April 30, 2011, unless sooner terminated by the provisions hereof. The Club, its agents, and employees or any other person having any rights or receiving any benefits from this Agreement shall not be considered employees of the City of Clearwater for any purpose whatsoever. AGREEMENT NOT ASSIGNABLE WITHOUT CONSENT 3. It is expressly agreed between the parties that this agreement shall not be assignable to any other person, firm or corporation without the express written consent of the City, which consent may be granted or denied in the sole discretion of said City. USE AS PUBLIC GOLF COURSE 4. It is understood between the parties that the real property, which is the subject of this agreement, will not be used in any manner other than as a public golf course facility. CLUB CONVENANTS KEEP AND MAINTAIN GOLF COURSE 5. The Club covenants that it will keep and maintain upon the real property an 18 hole golf course, together with incidental improvements and will use, occupy, manage and make available, as herein contemplated, such premises as a golf course and related facilities for pleasure, recreation and other purposes consistent with such golf course operation. During the term of the within agreement and any extensions thereof, such golf course shall be operated and the facilities shall be open for usage during the normal hours of operation of the same or similar facilities in the area; provided, however, that at reasonable times portions of such course and facilities may be closed for necessary repair and/or reconstruction and/or maintenance. AVAILABILITY OF GOLF TO THE PUBLIC; HONORING OF EXISTING GOLFING MEMBERSHIPS; OTHER GOLFING RULES AND RESTRICTIONS 6. Golf Course o Den to the Public. The Club, in its operation of the course shall, at all times, subject to reasonable rules and regulations common to other similar facilities in the area, make such course available to the public upon payment of reasonable green fees. The Club will, at all times, conduct its operation in such a manner as will be conducive to greens fee play and will undertake any and all reasonable acts to insure that the public is aware that such course is available for greens fee play and will make reasonable efforts to see that the prevailing atmosphere at the Club will be such that greens fee players will feel welcome to use the facility. 7. The City and the Club hereby recognize certain individual golfing and social memberships ("Existing Memberships") existing at the inception of this Agreement as entered into by the previous Lessee of the Golf Course. The Club shall honor the Existing Memberships for the duration of the Term only, in accordance with the terms and conditions as provided for in Exhibit "B" attached hereto. In addition, the Club, in the course of its operational and management control, will offer seasonal memberships for - the period starting October 1, 2010 and ending no later than April 30, 2011. Relevant rules and regulations regarding golf cart usage and Tee-Times are also provided for in Exhibit "B". Any other operational decisions shall be at the discretion of the Club z management. The provisions of this paragraph shall be a material part of this agreement. GREENS FEE PLAYERS CERTAIN RIGHTS AND OBLIGATIONS AS TO PUBLIC GOLFERS & The City recognizes the right of the Club to require greens fee players to comply with rules and regulations as prescribed for members. Failure of greens fee players to comply with established rules and regulations may, at the discretion of the Club management result in loss of playing privileges. Any complaints relating to play by greens fee players shall be referred to the City Contract Administrator for appropriate action. CLUB FACILITIES AVAILABLE TO GREENS FEE PLAYERS 9. The Club agrees to make the Clubhouse food, drink and restroom facilities available to greens fee players on the day of play to the same degree that such facilities are available to Club members. Greens fee players will be charged for food and beverages on the same basis as members are charged and shall be treated as a member for the day of play during the hours that the appropriate facilities are open. Nothing in this provision shall give any non-member use of the Club facilities for social events or entitle any such person to the use of the available facilities after the course has been closed for play. The Club agrees to make Clubhouse and facilities described herein available to the City for City sponsored events, based upon availability. USE AND CARE OF PREMISES 10. The Club covenants and agrees that it will, at all times, keep, maintain and operate such course and the facilities thereon, or in any way connected therewith, in a good and prudent manner to the end that such course shall be kept in good, playable condition. The Club agrees to keep and maintain reasonable standards and condition of the course generally in substantially the same condition as of the date of this agreement; that it will keep and maintain, in good repair, all permanent improvements, such as buildings, and water systems, including the making of necessary replacements and/or repairs even though the making of such repairs and improvements shall extend the life of such facility or facilities beyond the expressed date of this Agreement. At the inception of this Agreement, the Parties recognize certain repairs and improvements that shall be addressed as soon as practicable. CITY RESIDENT RATES 11. At all times during the term of this agreement, residents of the City of Clearwater shall be given a preferential daily green fee rate reduction of an amount equal to ten percent (10%) of the established green free then in force and effect. NO PERMANENT COURSE LAYOUT CHANGES WITHOUT WRITTEN CONSENT OF CITY 12. The Club covenants and agrees that no permanent change in the layout of the course shall be made except with the express written consent to the City. All duties of construction, repair, alteration or maintenance imposed by the within agreement are and shall be separate expenses of the Club and shall never directly or indirectly be chargeable to the City nor in any way be mechanic's or materialmen's lien or charge upon any lands. AGREEMENT MAY BE RECORDED TO PROTECT CITY AGAINST LIENS 13. This instrument may be recorded in the public records of Pinellas County, Florida, and all persons, firms or corporations whomsoever are called upon to take due notice of these limitations and the superior rights of the City herein. NO PERMANENT STRUCTURES TO BE REMOVED 14. No permanent structure, once constructed, shall be removed from the premises or materially altered except with written consent of the City which shall not be unreasonably withheld and all persons, firms or corporations are expressly called upon to take due notice of the requirements of this Agreement. CITY RESERVED RIGHT TO DRAINAGE, UTILITY LINES, ROADS, ETC. 15. The City reserves at all times during the term of this Agreement or any extension or renewal thereof the continuing right to utilize any portion of the subject premises for drainage, laying and maintaining utility lines or facilities, including roads, railroads, or other necessary rights of way, provided, nevertheless, the City shall use its best efforts to adopt such route or routes as will be reasonable and economically feasible to minimize interference with the purposes of this Agreement. BANKRUPTCY OR DEFAULT, CITY HAS OPTION TO TERMINATE 16. Should the Club hereinafter be adjudged bankrupt or become insolvent or in any other way be financially unable to keep the covenants of this Agreement, the City may at its option, terminate the Agreement, as though for breach of any other covenant and take immediate possession of the Premises. CLUB WILL PERFORM ITS OBLIGATIONS 17. The Club, in the performance of the covenants contained in this Agreement, shall at all times do or perform such acts or actions as shall be reasonably required by the context of this Agreement to fully perform its obligations hereunder, and shall, conversely, refrain from doing or permitting to be done any acts or actions which would cause waste to the Property (real or personal), jeopardize either its performance or ability to perform the covenants contained herein or the payment of profit-sharing as contemplated by the parties. GOLF COURSE AND PROPERTY MANAGEMENT TERMS 18. Facili and Personal Progerty Ownershi . The City shall at all times retain ownership of the Facility, including but not limited to real estate, fixtures, furniture, all personal property existing on the Premises as inventoried at the inception of this Agreement and 4 equipment ("City Property") as specified in Exhibit "C° (attached hereto) including any and all improvements made during the term of this Agreement. Club shall report to City Liaison any purchases of equipment expensed costing in excess of One Thousand Dollars ($1,000.00) and which have a useful life in excess of one year. Such items ("City Property") shall be tagged as fixed assets in accordance with, and as required by Florida law. The City retains the right, at all times, and upon expiration of this Agreement, to inventory all assets of the facility upon reasonable notice. In addition to its monthly operating report to the City, the Club shall notify the City of such purchases and any losses of City Property. The City Property shall remain the property of the City and shall be returned to the City when no longer needed for the operation of the Facility. 19. Club to secure and provide golf carts and lawn maintenance equigment. The Parties hereto expressly agree that it is the sole responsibility of the Club to secure and provide a fleet of golf carts sufficient for operations and lawn equipment sufficient for the appropriate maintenance levels of the Golf Course. 20. Facility Funding. The Facility shall be funded as follows. The Club shall pay all items of expense for the operation, maintenance, supervision and management of the facility from the funds generated by Facility operations revenue. Operating Profivincome is operating revenues less operating expenses. Operating revenues and expenses are those incurred in the normal operations of the Golf Course, for example, payroll, routine course maintenance and excluding by way of example, which is not necessarily exhaustive, investment earnings, interest expense or debt service, taxes, gains, or losses on capital asset dispositions and capital improvements. The Parties shall divide the Operating Profit fifty-fifty (50-50). Operating Profit is the excess of revenues over expenses derived from normal business operations. Operating Profit, representing income from ordinary business activities, excludes expenses, such as interest and taxes. Unusual nonrecurring items, (such as gains from the sale of a subsidiary or losses from closing of a plant) are not included in the calculation of Operating Profit. A Management Fee in the maximum amount of Ten Thousand Dollars ($10,000.00) per month may be disbursed as an operating expense if revenues permit, however, in no instance shall the City be obligated to pay such Management Fee. Other than as expressly provided for herein, in no instance shall the City incur expenses or provide a subsidy to the Club. In the case of operating losses, the Club shall pay for and absorb all losses. If in any instance, payment is demanded of the City or the City must make payment for operating expenses in order to preserve its Property, the City shall have the absolute right to recover such expenses from the Club, including all rights and remedies as provided by law. 21. Fiscal Responsibility/Reporting. The Club agrees to maintain separate and independent records in accordance with generally accepted accounting principles, devoted exclusively to the operations in connection with its management of the Facility. Such records shall contain all entries reflecting business operations of the Club under this Agreement. The City is authorized and shall have the right to audit and inspect such records from time to time during the Term, upon reasonable notice to the Club and during the Club's normal business hours. The Club agrees to provide the City, at the end of each operating month, starting November 1, 2010, financial reports on the accounts receivable, accounts payable, cash receipts and disbursements, statement of revenues and expenditures for such month, with applicable year to date. The Club agrees to provide the City, within sixty (60) days of the end of the term, a certified audit report by an external auditor approved by the City, of the accounts and records as kept by the Club as to Facility operations. 22. Capital Improvement Items. The City may establish a Capital Improvement Project Fund and may conduct repairs, refurbishment, restoration and replacement as determined by the City in its sole discretion, with the City providing the final determination as to such repairs, and within the restrictions of any applicable approved City budget. The Club shall submit certain Capital Improvement Project ("CIP") items for review and approval of the City with the intent of preserving the City Property, however, approval of such items shall be at the sole discretion of the City. 23. Profit-Sharing. The City and the Club shall divide any and all profits (Revenue minus Expenses as defined above) fifty-fifty (50-50). 24. Sales taxes, permits and licenses. The Club shall be responsible for the payment of all appropriate sales taxes to conduct activities on the Golf Course property. The Club shall be responsible for all permits and licenses necessary for conduct of the sales activities or any permission to conduct activities at the Facility, including health department or other regulatory agency approvals. Any violation of the licensing requirements, health requirements or any other requirements of any other regulatory or law enforcement agency shall be deemed sufficient cause to create a default hereunder, which default must be remedied within a reasonable time using all due diligence by the Club. In addition, Club shall pay to governmental agencies all applicable ad valorem taxes, usage fees, taxes of any kind or other charges or monetary impositions on the Golf Course Property and does hereby fully save and hold harmless and indemnify the City for the payment thereof. 25. Agreement Monitoring. Each Party shall appoint a contract administrator to which all applicable reporting shall be made, and who shall monitor the party's compliance with the terms of this Agreement. Betty Lane Clearwater, Florida 33755 INSURANCE, INDEMNIFICATION AND HOLD HARMLESS 26. The Club agrees to indemnify and hold the City and its employees harmless from and against any and all claims, demands, and causes of action or lawsuits of whatever kind or character arising directly or indirectly from this agreement or the performance hereof. This indemnity clause includes, but is not limited to, claims, demands, and causes of action or lawsuits for damages or injuries to goods, wares, merchandise and property and for any bodily or personal injury or loss of life in, upon or about the property. This provision and the related obligations shall survive termination of this Agreement and 6 shall not be limited by the amount of any insurance required to be obtained or maintained under this Agreement. The City shall have the right, at its option, to participate in the control of any defense of any third party claim without relieving the Club of any of its obligations hereunder. The Club shall obtain at its own expense, and maintain during the term of this agreement, the insurance coverage set forth below: (1) Personal Property - The City shall not insure or self-insure loss to personal property of Club. Club understands that it is solely responsible for such losses regardless of cause. (2) Comprehensive General Liability - Coverage shall be afforded on a form no more restrictive that the latest edition of the Comprehensive General Liability policy filed by the Insurance Services Office and shall include: a. Minimum limits of $1,000,000.00 per occurrence combined single limits for bodily injury liability, personal injury, and property damage liability. b. Premises and Operation c. Independent Contractors d. Products or Completed Operations. e. Personal Injury Coverage with employees and contractual exclusions removed. f. Liquor Law Liability g. Goff carts or other golfing appurtenances, not owned by the Club but brought onto the property by others. (3) Business Auto Policy - Coverage shall be afforded on a form no more restrictive than the latest edition of the Business Auto Policy filed by the Insurance Services Office and shall include: a. Minimum limits of $1,000,000.00 per occurrence combined single limits for bodily injury liability and property damage liability. b. Coverage on all vehicles (owned, hired, and non-owned). (4) Workers Compensation - Coverage shall apply for all employees for statutory limits in compliance with the applicable State and Federal laws. In addition, the policy shall include employer's liability with a limit of $500,000.00 for each accident. Other Requirements: (1) The City shall be named as an additional insured on all insurance policies, as applicable, required under this agreement. (2) Copies of insurance certificates for all insurance required by the agreement, and copies of all insurance policies covering insurance required by this agreement, shall be furnished to the City Clerk of the City prior to the use of the property. (3) Not less than sixty (60) days notice of cancellation or restricted modifications of any insurance policy providing the coverage required by this agreement shall be required on all insurance policies. The City shall obtain at its own expense, and maintain during the term of this Agreement, the insurance coverages set forth below: (1) Property Insurance - The City shall insure or self-insure it's real and personal property as it deems fit. COMPLIANCE WITH EXISTING LAWS AND REGULATIONS 27. The Club agrees that in its use and occupancy of the subject property it will comply with all applicable laws, rules, regulations and ordinances of every governmental body or agency whose authority extends to the subject property or to any operations conducted upon the subject property, whether or not such laws, rules, regulations or ordinances are mentioned herein, including Public Records Law, Chapter 119, Florida Statutes, if applicable. SOVEREIGN IMMUNITY 28. Nothing in this Agreement shall waive or diminish the City's sovereign immunity. Nothing in this Agreement shall extend the City's liability beyond the limits established in Section 768.28 Florida Statutes or any of the liability limits set forth in Florida Statutes. Nothing herein shall be construed as consent by either party to be sued by third parties in any matter arising out of this Agreement. No third parry shall have any rights or obligations pursuant to this Agreement. RIGHT OF ENTRY BY CITY 29. Agents of the City shall be afforded the right at all reasonable times to enter upon the subject property for the purpose of inspecting and/or preserving the subject property. OBLIGATION TO PAY TAXES 30. The Club agrees to pay any federal, state or local taxes, which may be levied on the property or any improvements or uses placed thereon, but it is agreed that the uses herein serve a public and municipal purpose and the parties do not waive any exemptions permitted by law. WRITTEN CONSENT OF CITY NECESSARY FOR ANY CHANGES 31. Club must get written City approval to remove, demolish, remodel or replace any building or other structure on the subject land. NO ENCUMBERANCE OF CITY FACILITY OR PROPERTY 32. The Club shall not enter into any loan or agreement obligating any portion of the Facility or City-owned Property thereby creating debt or encumbrance on the managed real or personal Property or Facilities. CLUB'S RIGHT TO CURE ANY ALLEGED DEFAULT WITHIN 15 DAYS OF WRITTEN NOTICE 8 33. A default in the performance of a promise, covenant, or obligation shall constitute a breach of this Agreement; provided, however, that such default shall not constitute such breach as to terminate this Agreement until and after the Club fails to cure or to take reasonable measure to cure such default within fifteen (15) days after written notice of default has been served upon the Club. If any default is not cured by the Club, the City shall be entitled to immediately occupy the property and operate the Facility in its sole discretion, including the appointment or selection of a third-party operator. TERMINATION 34. City may terminate this Agreement with fifteen (15) days written notice to the Club if Club violates any provision of this Agreement or fails to cure any alleged default. City may also terminate this Agreement for any municipal purpose consistent with City Charter by giving thirty (30) days written notice to Club. MANAGEMENT RIGHTS NOT COUPLED WITH A PROPERTY INTEREST 35. The Club's occupancy and management of the property is not coupled with, and does not convey any property interest whatsoever. FAILURE TO ACT BY CITY NOT A WAIVER 36. Failure of the City to insist upon performance of any covenant hereunder shall not be deemed to be a waiver of the right to insist upon full performance at any subsequent time. AMENDMENTS MUST BE IN WRITING 37. Any additions or modifications to this Agreement shall be in writing and shall be executed by both parties and no oral agreement shall be effective to change or modify the terms of this Agreement. No new memberships or the renewal of existing long-term memberships shall be permitted except for the sale of seasonal golf memberships which may be sold by Club for the period starting October 1, 2010, not to exceed April 30, 2011. Existing golf and social memberships shall be honored under these revised conditions, however, all Existing Memberships shall terminate on April 30, 2011. 2. Private carts which are stored at the Facility as of the inception of this Agreement shall be grandfathered-in to continue storage until April 30, 2011. The monthly storage fee for all existing stored private carts will be increased at the discretion of the Club. 3. Only two (2) private carts shall be permitted for each foursome engaged in golf play. 4. Independent golf cart servicing companies will no longer be permitted to utilize Golf Course property in order to repair, maintain, or perform any other service. The Club shall engage and contract with a golf cart servicing company of its choice to offer those services to participants. Said servicing company shall provide proper insurance to perform such activities and the Club shall indemnify the City for servicing company's activities and occupation on Golf Course property. 5. Tee Times shall be scheduled by club at a rate of eight (8) per hour (four 8 minute tee times and four 7 minute tee times).
