RE: Proposed conveyance to the City
of Clearwater, Florida
Gentlemen:
The undersigned proposes to convey to the city
of Clearwater, Florida, the property described in Exhibit
"A", attached hereto and made a part hereof. Said property
shall be subject to an easement recorded in Official Record
Book 3198 on Page 374, Public Records of Pinellas County,
Florida. The contiguous lands lying in the NE 1/4 of the
NW 1/4 of Section 1, Township 29 South, Range 15 East, Pinellas
County, Florida, will be developed by M. J. Brock & Sons, Inc.
within the zoning classification as pres@ribed by the
City of Clearwater, Florida. We request that the acceptance
of said property in the City of Clearwater, be conditioned
upon an understanding and agreement by the city of Clearwater,
Florida, and to this end, that the resolution accepting such
conveyance, specifically state that it is understood and agreed
by the City of Clearwater that such acceptance be conditioned
upon the provisions of this letter as hereinafter set forth.
M. J. Brock & Sons, Inc. may in connection with the
contiguous lands to the lands described in Exhibit. "A" attached
hereto, enter upon said lands described in Exhibit "A" at such
times as are necessary and convenient to M. J. Brock & Sons, Inc.
for the purpose of installing the following:
1. Water lines, mains, manholes, valves and necessary
appurtenances thereto.
2. Storm sewer lines, drains, pipes, manholes and
necessary appurtenances thereto.

3. Sanitary sewer lines, pipes, drains, manholes
and necessary appurtenances thereto.
4. Telephone lines, wires, cables and necessary
appurtenances thereto.
5. Electric lines, wires, cables and necessary
appurtenances thereto.
6. Cable television lines, wires, cables and
necessary appurtenances thereto.
It is understood and agreed that all such installations
would be below the surface of the ground and that no above
ground installations would be allowed or permitted. It is also
understood and agreed that this right shall be in the nature of
a temporary easement to accomplish the above, and that no
permanent easement shall be reserved in connection therewith.
Once installed, the title to all such installations as provided
in paragraphs 1, 2 & 3 above, shall become vested in the City
of Clearwater, Florida. After all the above have been installed,
M. J. Brock & Sons, Inc. shall furnish the City of Clearwater
with plans showing the location of such installations in such
area.
M. J. Brock & Sons, Inc. shall hold harmless the
City of Clearwater from any liability it may suffer in connection
with any person or persons who may be injured as a result of M. J.
Brock & Sons, Inc. exercising the rights granted hereunder. Pro-
vided, however, that such responsibility shall not be as a result
of the negligence of the City of Clearwater, its employees, its
agents or officials.
M. J. Brock & Sons, Inc. further agrees to furnish the
City of Clearwater, evidence of the payment of all costs and expenses
in connection with any improvements which may hereafter be placed
upon said lands under the authority granted herein.
