SALES AGREEMENT
THIS AGREEMENT made and entered into this J~ day of
;:J;e.VST .. , 1976, by and between the CITY OF CLEARWATER,
FLORIDA, a municipal corporation, he reinafter called IlSellerll, and
MUSSELMAN STEEL CORPORA TION, a Florida corporation, whose principal
place of busines s is located at 1711 South 20th Street, Tampa, Florida 33601,
hereinafter called "Purchaser!!;
WITNESSETH:
WHEREAS, the Seller has available for sale a National Cash Register
C-IOl System; and
WHEREAS, the Seller has determined that it no longer has a use for
this computer system and that it would be in the be st inte re sts of the City of
Clearwater to sell this system; and
WHEREAS, the Purchaser has indicated that it wishes to purchase
this computer system;
NOW, THEREFORE, the parties covenant and agree as follows:
1. The Seller agrees to sell to the Purchaser and the Purchaser agrees
to purchase the following described National Cash Register C-10l Computer
System and all supporting component parts:

2. The Purchaser agrees to remit to the Seller as the purchase price
for the system the sum of $88, 381. 00, such swn to be paid in full at the time
the computer system becomes available to the Purchaser or no later than
November 30, 1976, whichever event occurs first.

3. The Seller agrees that it will make the computer system available
for purchase either on October 1, 1976, or no later than November 30, 1976.
The Seller further agrees to notify the Purchaser in writing no later than
September 15, 1976, the exact date, from the dates provided herein, when
it will make the computer system available.
4. The Purchaser agrees to make arrangements for and pay all
costs associated with moving the computer system and all component parts
from its present location at the City of Clearwater Utilities Building.
5. The Seller agrees to maintain the computer system and all
component parts under a program of continual NCR Maintenance until such
time as the computer system is transferred to Purchaser as provided herein.
6. It is agreed that any injury, loss or destruction of the computer
system and component parts after delivery to the Purchaser shall not release
the Purchaser from its obligation to pay the purchase price set out herein.
7. It is further agreed that should the Purchaser either default or
delay in the performance of this agreement as provided herein, then it
shall pay the Seller the sum of $369.00 per month, said sum representing the
additional costs which the Seller will incur by reason of a default or delay
in performance.
IN WITNESS WHEREOF, the parties hereto have executed this
agreement under their several seals, and on the day and year first above written.

In accordance with action of the City Commission on August 5, 1976,
a purchase agreement with NCR Corporation for the NCR Computer
has been executed.
Attached is a copy for your records (original to the City Clerk).
I understand that the City Attorney's office has already routed
the agreement with Musselman Steel for signature.
Suggest that the agreements with NCR Corporation be filed
together with the Musselman Steel Corporation, since the two
agreements are inter -dependent.
