THIS FIRST AMENDMENT TO LEGAL SERVICES AGREEMENT is entered into as of this
Q_ day of , 2010, by and between the CITY OF CLEARWATER, P.O. Box 4748,
Clearwater, Fr, S it ida 33758-4748 (the "City") and the law firm of BAKER & HOSTETLER LLP,
SunTrust Cen e 2300, 200 South Orange Avenue, Orlando, Florida 32801 ("Counsel').
WITNESSETH:
WHEREAS, City and Counsel wish to add an additional associate under the current Legal
Services Agreement dated September 25, 2009 ("Legal Services Agreement').
NOW, THEREFORE, the parties hereto do hereby agree as follows:
Section 4 of the Legal Services Agreement is amended as follows:
SECTION 4. PROFESSIONAL FEES FOR SERVICES. The City and Counsel agree to a
rate of $330.00 per hour for attorney services for William L. Pence and other partners, to a rate of
$285.00 per hour for additional attorney services of Michael C. Wilde, and to a rate of $230.00 per
hour for additional attorney services of Lyndie M. James. Professional fees for services shall not
exceed $50,000.00 for the term of this Agreement.
Except as modified herein, the terms and conditions of the Agreement remain in full
force and effect.
IN WITNESS WHEREOF, City and Counsel have executed this Agreement as of the date
first above written.
