S�RVICES AND PERFORMANCE
A. In connection with the Pedestrian Safety Enforcement Campaign
the Department does hereby retain the Vendor to furnish certain s�rvic�s, information, and items as
described in Exhibit "A," attached hereto and mad� a part hereof.
B. Before making any additions or deletions ta the work described in this Agreem�nt, and befor� undertaking
any changes or revisions to such work, the parti�s shall negotiate any necessary cost changes and shall
enter into an Amendment covering such work and compensation. Reference herein to this Agreement
shall include any amendment(s).
C. All tracings, plans, specifications, maps, computer files, and reparts prepared or obtained under this
Agreement, as well as all data collected, toge#her with summaries and charts derived therefrom, shall b�
the exclusive property of the Department without restriction or limitation on their use and shall be made
available, upon request, to the Department at any time during the performance of such services and/or
upon completion or termination of this Agreement. Upon delivery to the Department of said document(s),
the Department shall become the custodian thereof in accordance with Chapter 119, Florida Statutes.
The Vendor shall nat copyright any material and products or patent any invention developed under this
Agreernent. The Department shall have the right to visit the site for inspection of the work and the
praducts of the Vendor at any time.
D. All final plans, documents, reports, studies, and other data prepared by the Vendor shall bear the
prof�ssional's seal/signature, in accordance with the applicable Florida 5tatutes, Administrative Rules
prpmulgated by the Department of Business and Professional Regulation, and guidelines published by
the Department, in effect at the time of execution of this Agreement. In the event that changes in the
statutes or rules create a conflict with the requirements of published guidelines, requirements of the
statutes and rules shall take precedence.
E. The Vendor agrees to provide project schedule progress reporfs in a format acceptable to the bepartment
and at intervals established by the Department. The Department shall be entitled at all times to be
advised, at its request, as to the status af wark being done by the Vendor and of the details thereof.
Coordination shall be maintained by the Vendor with representatives of the Department, or of other
agencies interested in the project on behalf of the Department. Either party to this Agreement may
request and be granted a conference.
F. All services shall be perfarmed by the Vendor to the satisfaction of the Director who shall decide all
questions, difficulties, and disputes of any nature whatsoever that may arise under or by reason of this
Agreement, the prosecution and fulfillment of the services hereunder and the character, quality, amaunt
of value thereof; and the decision upon all claims, questions, and disputes shall be final and binding upon
the parties hereto. Adjustments of compensation and contract time becaus� of any majar changes in the
wark that may become necessary or desirable as the work progresses shall be subject to mutual
agreement of the parties, and amendment(s) shall be entered into by the parties in accordance herewith.

C: EXTEIV5IQNS. In the event that circumstances arise which make performance by the Vendor
imp�aclicable o� impossible wi^f�l�n the time �Ilowed or which pr�vent a new contract from being executed,
the Department, in its discretion, may grant an extension of this Agreement. �xtension of this Agreement
shall be in writing for a�riod not t4 exceed six (B) manths and shall be subject to the same terms and
conditions �et fo�th ir� thts Agre�ment; provided the Department may, in its discretion, grant a propartional
increase in the total dollar amount b��d on the method and rate �stablished herein. There shall be only
one extension of this Agr�em�nt unl�ss the failure to meet the criteria set forth in this Agreement for
completion af this Agr�ment is due to events beyond the contral of the Vendor.
It shall be the rresponsibility af th� �1/�ndor to ensure at all bmes that sufficient time rerrzains in the Projed
Schedule within which ia camplets ��nrices an the projed In the event there have bEen delays which
w�uld affed the project oomp�i�ian da�, the Vendor shall submit a written request to the Department
which identifies the reason(s) for th� delay and the amount of �me related to each reason. The
Departrnent shall revi�w the r�que� and m�ke a detemiina�on as to gran�ng �II or part of the requested
extension.

A. Payment shall be mad� �nly a1��r i�eipt and approval of gvods and s�rvices unless advance payments
are authoriaed by the �hief Financiai Officer of the State of Florida under Section 215.422(14), Florida
Statutes.
B. If this Agr'eem�nt involves units Wf d�liverables, then such units must be received and accepted in writing
by the Contract Manager prior to payments.
C. Bills for fees or other �mpensation for services or expenses shall be submitt�d in detail sufficient for a
proper preaudit and postaudft thereof.
I]. The bills f�or any travel expenses, when authorized by terms of this Agreement and by the Department's
Project Manager, shall be submitted in accordance with Section 112.061, Florida Statutes, and Chapter 3
- Travel, Department's Disbursement Opera�ons Manual, 350-03U-400.
E. Vendors providing goods and servic�s ta the Department should be aware of the following time frames.
Upon receipt, the Department has �+re (5) wor{cing days to inspect and approve� the goods and services,
unless othervvise specified here�in. Th+� Department has twenty (20} days to deliver a request for payment
(voucher) to the Department af Fi�a�nciel 5ervices. The tw�nty (20) days are measured from the latter af

G. The State ef Florida, through th� Qepartment of Management Services, has instituted
MyFloridaMarketPlace, a statewid+e eProcurement system. Pursuant ta Sectian 287.057(23), Florida
Statutes, all payments shall be ass�ssed � transaction fee of ane percent (1 °k), which the Vendor shaU
pay to the State. For payments within the State accounting system (FL41R or its successac), the
transaction fee shall, when poSslble, be automatically deducted �rom payments to the Vendor. If
automatic deduction is not pos�ible, the Vendor shall pay the tr'ansadian fee pursuant ta R�le 60A-1.031

The Department, during �ny fi�cal year, shall not expend money, incur any liability, or enter into any
contract which, by its term�, mvdlves the expenditure vf money in �xcess of the amounts budgeted as
available for exp�endiiure during such fiscal year. Any contract, verbal or written, made in violation of this
subsection is nuil and void, and nv money may be paid on such contract. The Department shall require a
statement from the camptroller of the [)epartment that funds are available priar to entering into any such
contract or ottrer binding oommitment of funds. Nothing her�ein aontained shall pr�vent the making of
cdntrac#s ibr periad�,exc�eding an� (1) year, but any contract so made shall tye �xecutory anty for the
value af khe s�rrri�:s m b� r�:nd�retl or agreed ta be p�id for in succeeding flscal years. Accordingly, the

appropriation by the Legislature.

q_ INOEMNITY: To the extent permitted by Florida Law, the Vendor shall indemnify and hold harmless the
Department, its o�ficers and employ�es from liabil�ties, d�mages, los�es, and costs, including, but not
limited to, reasonable attomey's f�ees, to the extent caused by negligence, rec�lessness, or intentional
wrongful miscanduct of the Vendor and persons employed or utilized by the Vendar in the pertormance of
this Agreement.
It is specifically agreed beiween the. p�rties executing this Agreement that it is not intended by any of the
provisians of any part of the,�r�eerraent to create in the public or any member thereof, a third party
beneficiary hereu;nder, ar to atr�cari� anyarre not a p�rty to #his Agreement ia maintain a suit for personal
injuries ar property damage pursuant to the terms or provisians af this /�qr�ment.
PAYMENT FQR CI.AIMB: The Ven�tor guarant�s the payment af all just claims fo� mat�rials, �uppli�s,
tools, ar labor a�,d other ju�t cl�irn� again�t ti�e Vendor or any subcontraator, in conn�ctian with the

Department to be an addi�on�l c��ificate holder. Such p�lici�s shall provide that the insurance is not

wntten consent. The Vendor also agrees that it shall not publish, copyright, or patent any of the data
developed under this /�greement, it being understood ti�at such data or infarmation are warks made for

C. The Vendor shall camply with all f�deral, st�te, and local laws and ordinanves applicable to the work or
payment for work th�rreof, and will npt discriminate on the grounds of rac�, color, religion, sex, national
origin, age, or disability in the pertom�nce of work undar this Agreement.
D. If the Vendor is licansed by th� Departrrt�nt of Business and Professional Regulation to perFarm the
senrices herein cantracted, then Se�Cion 337.162, Florida Statutes, applies as follows:

�dherence by the �Form�r st�be errtptay�e to Section� 112_313 and 112.3185, Florida Statutes, is a

aliens, such viotatian shall be cause for unilateral cancellation of this agreement.

B. If the Department determines that the perFarmance of the Vendor is nat satisf�ctory, the Department shall
have the option of (a) immeciiately t�rminatlng the Agreement, or (h) notifying the Vendor of the deficiency
with a requirement tMat the dei�iency be corrected w�thin a speafied time, otherwise the Agreement will
be termina#ed at the end of such tirr�, ar (c) taking whatever aatian is deemed appropriate by the
Department
C. If the Department requires termina�ip�n of fhe Agreement for reasons other tharr unsatisfactory
perFormance af the Vendor, the D�pattnhent shall no�fy the Vendar of such termination, with instructions
as to the effective date of terrnanati�an or sp�cify the �tege of virork at which the Agreem�nt is to be

Department.

C. This Agreement embodies the whole agreement of the parties. 1"here are no promises, terms, conditions,
or obligations other than those contained herein, and this Agreement shall supersede all previous
communications, representations, or agreements, either verbal or written, b�tween the parties hereto.
The State of Florida terms and conditions, whether general or specific, shall take preced�nce over and
supersede any inconsistent or conflicting provision in any attached terms and conditions of the Vendor.
D. It is understood and agreed by the parties hereto that if any part, term or provision of this Agreement is by
the courts held to be illegal or in conflict with any law of the State of Florida, the validity of the remaining
portions or pravisions shall not be affected, and the rights and obligations of the parties shall be construed
and enforced as if the Agreement did not contain the particular part, term, or provision held to be invalid.

This Agreement shall be governed by and construed in accordance with the laws af the State of Florida.
In any legal action relat�d to this Agreement, instituted by either party, the Vendor hereby waives any and
all privileges and rights it may have under Chapter 47 and Section 337.19, Florida Statutes, relating to
venue, as it now exists or may hereafter be amended, and any and all such privileges and rights it may
have under any other statute, rule, ar case law, including, but not limited ta those graunded on
convenience. Any such legal action may be brought in the appropriate Court in the county chosen by the
Department and in the event that any such legal action is filed by the Vendor, the Vendor hereby
consents to the transfer of venue to the county chosen by the Department upon the Department filing a
motion requ�sting the same.
If this Agreement involves the purchase or maintenance of information technology as defined in Section
282.00�F1, Florida Statutes, the selected provisions of the attached Appendix II are made a part of this
Agreement.
If this Agreement is the result of a formal solicitation (Invitatian to Bid, Request for Proposal or Invitation
to Negotiate), the Department of Management Services Forms PUR1000 and PUR1001, included in the
solicitation, are incorporated herein by reference and made a part of this Agreement.
Time is of the essence as to each and every obligation under this Agreement.

L OBJECTIVE:
The Flarida Department of Transportation, District Seven Traffic �perations Safiety
Section (the Departm�nt) will u�lize law enforcement support, to �n[�ar�ce a multi-
agency s�af�ty cai'npaign that promotes safe pedestrian and driver behaviors in
Hillsbarough, Pinellas and Pascc► Cvwnties.
II. PURP�SE:
This campaign is part of a F�et���r�an 5afety Action Plan developed for Pinellas and
Hillsbarough Counties �nd grant �►Ilocated by National Highway Traffic Safety
Administration {�IHTSA) �nd ��arida Department of Transport�tian (FD�T�. The
sfiafiistics show us that w� sl�o�hl be placing an additional emphasi� on pedestrian
safety. In Florida; pedestrian �r�,�hgs �account for less than �°i/o of all crashes but make
up 7:5�Yo of all .severe crash�ss; and �4% of all fatal crashes. Hillsbordugh County is at
2.fi8 pedestrian deaths per 1 f}�,�DDn people, Pinellas Caunty is at 3.24 pedestrian
deaths per 1 QD,a00 peoplr� and P�sco Caunty is at 3.61 pedestrian deaths per 10�,000
people. The nationaf averag� for pedestrian �atalitiss is 1.59 d�aths per 10U,O�p people.
Conducting a pedes�rian saf�ty �nforcemerrt �ampaign with the dev�lopment of the
Pedestrian Sai'ety Action Plan, as well as timing it with the construction of high
emphasis cros�walks throughout Hillsborough, Pinellas and Pasco counties, should
make an impact.
III. SERVlCES TO �� PR�VlDF„�
A. We are propasing ��oper�tiv�; wvrk efFort with lacal lawr enfQrc�ment agencies to
remind and educa� ba�h th� dr�v�rs and p�d�a�sx�ians of safe d�ivir�g and walking
behaviors. The main objeCtive of this exp�nded eifork ir� �achr �ourity is ta reduce
traffic crashes and f�talities involving pedestrians through the use of setected Traffic
Enforcement D�tails and d cational Ou reac P r ms.
These details may include education and enforcement of pedesfirian behavior away
from or near marked crossings. Law enforcement may also educate and enforce
driver behavior at or near marked crossing�. Activities may include issuing warnings
and/or citations to both pedestrians and motorists for failure to yield at intersections

centers, mot�els, bars, and bus'tnes�s in Hillsborough, Pasco and Pinellas caunties
with the caoperetion of aur cQmmuhity partners. Local Police departments, Sheriff's
offces, and the Florida Highv�sy P�trol may alsv use these saf�ty materials as part
of their special �nfar�em�nt �f�ort� along selected corrid�ors. We will also work within
our Hillsborough, Pasca and �i��ll�s Community Traf�ic Safety Teams to distribute
these it�ms at �mmur�i�y ev�nits.
C. We encourage enfor+�ment a�er�cies to also �ngage the media to help spread the
messages of the safety camR�igrr io �drivers and pedestrians throughout the district.
IV. DEPARTMENT R S �NSI
A, The Department rivill ,prqvid� backu� do�umentati,on to support the enforc�ment
campaign. We wil� �rovi�J� irr��ot�rr�ation about our Pedestrian Safety Actian Plan that
will be helpful in th� d�w�ai��n�nt vf the campaign. We also wifl pravide detailed
maps showing p�destri�r► crash I��ations for each municipality. We �expect that
enforcemen# efforts will b� ccarrr,�:ntrate�d in those areas. Funding is to supplement
on-going �nfarcement and �u�tional ar,troi�es. This additional funding is to be
used for Agencies' additian�� or i��reas�d enforc�ment and educational efforts.
B. The Department will provide a C'Qn#ract Manager for Admini�trating the te�rms and
conditions of this r4greem�nt, who shall be Jeanette Rou� and Peter Hsu at 11201

A. The per%rm�r�� period of this Agreement shall begin upon ex�cutian of the

B. This Agreement may be renawed for a peria! that may nat exceed three (3) years or
