AGREEMENT
This Funds Agreement is made and entered into between the City of
Clearwater, hereinafter referred to as the "City", and Kiwanis Club of Springtime
City Foundation, Inc. hereinafter referred to as the "Recipient."
WHEREAS, the City and Pinellas County School Board have shared
facilities under a joint facility agreement for many years and will partner in
sharing resources to construct capital improvement projects; and
WHEREAS, the current track at Clearwater High School that is governed
by the Pinellas County School Board is in disrepair and needs to be replaced;
and
WHEREAS, the City desires to continue the support for the facilities for
the City's youth and repair of the track will assist the students and attract
prestigious races and provide a track for Clearwater citizens to enjoy; and
WHEREAS, and the Pinellas County School Board has contributed
approximately $170,000 and approximately $135,000 has been raised from the
citizens at large toward the necessary repairs; and
WHEREAS, Recipient has requested that the City contribute $25,000
toward the project; and
WHEREAS, the City Commission of the City did on October 7,1999,
approve the donation of $25,000 to Recipient for the sole purpose of track
improvements at Clearwater High School.
NOW, THEREFORE, the parties agree as follows:
ARTICLE I. RESPONSIBILITIES OF RECIPIENT
1. Use and Disposition of Funds Received: Funds received by the
Recipient from the City shall be used solely to pay for the improvement
and resurfacing of the track at Clearwater High School. Funds existing
that are in excess to the intended purpose shall be returned promptly to
the City.
2. Liability and Indemnification: Recipient shall act in a fiduciary capacity
and as an independent contractor and agrees to assume all risks of
providing the services herein agreed and all liability therefore, and shall
defend, indemnify, and hold harmless the City, its officers, agents, and
employees from and against any and all claims of loss, liability, and
damages of whatever nature arising from this from this Agreement.

ARTICLE III. RESPONSIBILITIES OF THE CITY
1. Grant of Funds: The City agrees to provide a total grant of $25,000 to
fund the program in accordance with this agreement.
2. Payments: The total amount of this grant will be paid by the City to the
Recipient within thirty (30) days after execution of this agreement.
ARTICLE III. TERMINATION
1. For Cause: Failure to adhere to any of the provisions of this agreement
as determined by the City shall constitute cause for termination. This
agreement may by terminated with five (5) tJays' notice without any further
obligation by City.
2. Disposition of Fund Monies: In the event of termination for any reason,
monies made available to the Recipient shall be returned to the City within
thirty (30) days after notice of the termination by the City.
ARTICLE VI. NOTICE
Any notice required or permitted to be given by the provisions of this
agreement shall be conclusively deemed to have been received by a party hereto
on the date it is hand-delivered to such party at the address indicated below (or
at such other address as such party shall specify to the other party in writing), or
if sent by registered or certified mail (postage prepaid), on the fifth (5th) business
day after the day on which such notice is mailed and properly addressed.

2. If to Agency, addressed to Kiwanis Club of Springtime City Foundation,
Inc., c/o Mr. Ed Wells, Jr., 2315 Eastwood Drive, Clearwater, FL 33765.
ARTICLE VII. EFFECTIVE DATE
The effective date of this agreement shall be as of the _ day of
September, 2000.

Dear Mr. Home:
The City of Clearwater Commission voted to donate $25,000 for the track surface at Clearwater High
School facilities.
The Kiwanis Club of Springtime City appreciates the City providing funds for this project. The City Parks
and Recreation Department hasa contract with the Pinellas County School Board to have meets at
Clearwater High School.
We are in the process of closing the project out with the donations from the community and individuals.
The West "Y" Runners Club has donated $20,000. We need to update the track and field in January.
We very much appreciate the City helping provide these funds. Please make the check payable to the
Kiwanis Club of Springtime Foundation, Inc.
We thank the City for the funds for the youth of Clearwater and the residents to maintain the use of these
facilities for the City.
