COMPUTERIZED TRAFFIC SIGNAL SYSTEM� 1 � Revised: 7/20/76 � , �' ; ��,;� i,i�. AGREEP1ENT FOR SERVICES BETWEEN KAHL, KIMLEY-HORN AND ASSOCIATES, INC. AND THE CITY OF CLEARWATER, FLORIDA This AGREEMENT, entered into this day of , 1976, by and between Kahl, Kimley-Horn and Associates, Incorporat�d (herein called the "CONSULTANT") and the City of Clearwater, Florida (herein called the "CITY"): WITNESSETH THAT: WHEREAS, the CITY desires to engage the CONSULTANT to render certain technical and professional services hereafter described in connection with the implementation of a computerized traffic signal system, and; WHEREAS, the CONSULTANT desires to provide these services; P�OW, THEREFORE, the parties hereto do mutually agree as follows: I. Employment of the Consultant. The CITY hereby agrees to engage the CONSULTANT and the CO�JSULTANT hereby agrees to perform the services here- after described. II. Scope of Services. The CONSULTANT shall do, perform, and carry out in a professional and proper manner, the engineering and technical duties associated with the provision of System Management services for the implementa- tion of the Clearwater Computerized Signal System to provide the CITY with a properly operating UTCS system, as defined in the UTCS Fortran IV Software Documentation Manual subject to the modifications described herein. The general overall signal system characteristics are; 1. A digital computer based central control system. a��l�f-�. � The City of Clearwate� . � Page 2 2. The software to be Urban Traffic Control System (UTCS) software modified to operate in a minicomputer configura- tion with time division multiplex (TDM) communications. 3. The initial complement of forty (40) intersections to be connected to the system utilizing existing controllers. These intersections are listed in Attachment A. 4. The system is to be expansible to a total of 200 inter- sections without the need to modify the computer, its peripherals or the software. However, modular additions to the communications system and changes to the traffic control parameters will be required. 5. The system is to be designed to provide at least 35 inde- pendent subareas (subsystems) of control. 6. The system is to be designed to provide critical inter- section control at up to 35 intersections. System Management will consist of the following major tasks: l. Develop functional system design. 2. Formalize design for implementation. 3. Assist CITY in hardware acquisition and installation. 4. Develop modified software system. 5. Conduct system integration. 6. Perform Traffic Engineering and signal timing services. 7. Prepare documentation for operation and maintenance. 8. Train CITY personnel in system operation and maintenance. These major tasks are defined below. l. Functional System Desiqn - Under the functional system design task, the CONSULTANT will_: , , The City of Clea �ter � Page 3 �- A. Develop the system management proceudres in consulta- tion with CITY Traffic Engineer. B. Prepare a detailed critical path project schedule which will clearly integrate the activities of the CONSULTANT, the CITY, and the equipment suppliers and constractors. Estimated CITY cash flow to the CONSULTANT and the suppliers and contractors will be keyed to this schedule. C. Inventory the existing controT equipment and de- tectors at the forty (40) intersections. Advise the CITY Traffic Engineer of desirable changes in control equipment or phasing. Review other control equipment in the CITY so that, to the extent practi- cal, the system design may be standardized to accommodate all existing control equipment. D. Inventory available correnunications capability in- cluding: a. Existing interconnect facilities (cable and multiplexing) b. Available conduit c. Capabilities of the General Telephone Company to serve the signal system. E. Accompany the CITY Traffic Engineer and the CITY Data Processing Manager to existing computerized signal systems at three locations to assist these personnel in gaining a clear understanding of the different aspects of computerized system design, espe- cially as it concerns the ease of use of the system. � � The Ci ty of C1 earwa�;er � Page 4 F. Based upon available hourly machine count data and in consultation with the CITY Traffic Engineer, deter- mine the locations for system detectors for the initial complement of intersections. G. Develop logic for dispersing traffic backed up on State Road 60 at the drawbridge due to bridge activity. The algorithms developed will provide for the de- tecting and reporting of all drawbridge activity, the detection of traffic back-ups by direction, the se- lection of up to two (2) special timing plans for each direction to adequately disperse the backed up traffic and a smooth transition to the normal timing plans in effect. Prior to developing these algorithms, the CONSULTANT will observe and discuss the drawbridge activity with the CITY Traffic Engineer. The algo- rithms will be reviewed with the CITY Traffic Engineer and the Data Processing Manager before being finalized. The finalized algorithms will be documented in a brief memorandum for use during the software development. H. Develop logic for dispersing traffic backed up on each of the following roadways during periods of rail- road activity: Cleveland Street Court Street Drew Street The logic will be designed to be applied individually to each of the above roadways to appropriately The City of Clearwa�er � Page 5 accommodate varying traffic conditions. The algo- rithms developed will provide for the detecting and reporting of all railroad activity by crossing, the detection of back-ups by roadway, the selection of up to two (2) special timing plans for each roadway to adequately disperse the backed up traffic and a smooth transition to the normal timing plans in effect. Prior to developing these algorithms, the CONSULTANT will observe and discuss the railroad activity on each roadway with the CITY Traffic Engineer. As part of this task, an algorithm will also be developed which will permit the system to recogniie the occurrence of local railroad pre- emption at up to ten (10) intersections so that the system will not interpret pre-emptions as malfunction- ing equipment. All pre-emptions shall be logged.. The algorithms will be reviewed with the CITY Traffic Engineer and the Data Processing Manager before being finalized. Because the algorithms for the railroad activity and those for the drawbridge activity may affect the same intersections, a rationale will be developed in consultation with the CITY Traffic Engineer for those periods when railroad activity and drawbridge activity occur simultaneously. Design for Implementation - Under the Design for Implementa- tion task, the CONSULTANT will: A. Develop sketch plans and identify equipment for the central site. Sketch plans and instructions for work to be performed by CITY forces will be developed in summary form. 6. Develop plans and specifications for central hardware including: a. Computer with disc and teletype b. Peripherals (including CRT, Printer and Card Reader) c. Map Display d. Special input panels C. Develop plans and specifications for communications equipment including: a. Central communications equipment b. Local communications and controller interface units (to be designed for installation by CITY forces) c. Local communications checkout and test unit for use by CITY forces during installation and for mainten- ance. d. Interconnect cable and/or Telephone Company acti- vities and services. . . � The City of C1earwater Page 7 � D. Develop sketch plans and specifications for all system and special back-up detectors and special back-up locations including: a. Specifications for the detector equipment and special back-up equipment. b. Instructions and surr�nary plans for the in- stallation of the detectors by CITY forces. E. Develop acceptance testing specifications for all system hardware and software. F. Develop necessary administrative specifications and. contract documents. Al1 of the above plans, specifications and instructions will be reviewed with the CITY Traffic Engineer and, as applicable, with the Data Processing Manager and/or the Traffic Signal Maintenance Supervisor. 3. Hardware Acquisition and Installation - Under the Hardware Acquisition and Installation task, the CONSULTANT will. A. Assist and advise the CITY Traffic Engineer, as necessary, during the taking of bids and the issuing of contracts. B. Provide liaison between the CITY and the various suppliers and equipment contractors as requested by the CITY. � � � The City of Clearwater Page 8 C. Inspect and perform acceptance testing for all equip- ment and materials for conformance to the specifica- tions, except that the CONSULTANT will train the CITY's signal maintenance personnel to perform the inspection and testing of the detectors. The CONSULTANT will inspect a random 20 percent sample of the detectors. D. Train or instruct CITY forces in necessary installation techniques. E. Monitor all installation activities of CITY forces, suppliers and contractors. 4. Develop Software - Under this task, the CONSULTANT will interface the Federal Higk�way Administrations (FHWA's) Fortran version of the Urban Traffic Control System (UTCS) software package which is to be obtained from the FHWA by the CITY and provided to the CONSULTANT for its use. The CONSULTAP�T will interface the UTCS Fortran package into the Clearwater computer by writing, debugging and making operational the assembly language programs delineated in the UTCS Fortran IV software documentation package as sti- pulated herein. In addition, the CONSULTANT will append a TDM communications handler so as to allow for the conversion of the Frequency Shift Keying type Fortran processing with TDM communications hardware. To accomplish the interfacing of the Fortran program, the CONSULTANT will design, code, � � The City of Clearwater Page 9 debug and make operational the twenty-three (23) sub- routines and a communications task which are delineated in Attachment C and explained in Tables 1-1 and 1-2 of the Fortran IV Software Documentation Manual which are attached hereto as Attachment D. No modifications of the UTCS Fortran programs are included in this work effort and no modifications of the operation characteristics of UTCS will be provided. However, the CONSULTANT will design, code, debug and make operational the Fortran routines necessary to add the drawbridge back-up clear- ance and railroad back-up clearance to the UTCS software. 5. System Inteqration - Under this task, the CONSULTANT will install the software in the computer, integrate hardware with software and make the control system operational. The process of integration will initially be encompassed in the CONSULTANT's Hackensack office, and final integra- tion will be accomplished for Clearwater subsequent to delivery of the system. During final system integration, the CONSULTANT will modify the assembly language programs as appropriate to provide the supporting functions de- lineated in the Fortran IV software documentation package in order to provide basic UTCS traffic control capability. 6. Traffic Engineerin - Under the Traffic Engineering task, the CONSULTANT will: i. The City of Clearwater Page 10 � A. Develop twenty (20) subsystem timing plans, including those related to drawbridge and railroad activity, distributed among the various subsystems in the most advantageous manner. Time-space diagrams will be prepared for the streets listed in Attachment B, reviewed with the CITY Traffic Engineer, and revised as necessary. Splits at the minor intersections will be determined jointly by the CONSULTANT and the CITY Traffic Engineer on the basis of engineering judgment. Desired link speeds will be determined jointly by the CONSULTANT and the CITY Traffic Engineer on the basis of engineering judgment. It is anticipated that between three and five sub- systems will initially be utilized to coordinate the forty intersections. B. Make movement counts for fifty (50) location hours in order to complete subtask l. Maximum use will be made of available data. C. Install timing parameters in the system. D. Fine tune the twenty subsystem timing plans in. cooperation with the CITY Traffic Engineer. 7. Prepare Documentation - Under this task, the CONSULTANT will. A. Complete the documentation of the software, including the flow charts and the various timing plans. Only � The City of Clearwater Page 11 � changes and additions will be documented consistent- ly with the UTCS documentation. B. Assemble and review all manuals, plans, etc. which were provided by equipment suppliers and prepare additional operations and maintenance manuals deemed necessary by the CONSULTANT. Docume.ntation will include at least operations, maintenance and spare parts information on all major components of the system. 8. Train City Personnel - Under the Train City Personnel task, the CONSULTANT will provide eighty (80) instruction-. hours of instruction including both classroom and "hands- on" instruction, to approximately ten (10) CITY personnel in the effective operation and maintenance of the signal system. This training will be provided as forty (40) instruction-hours during each of two consecutive weeks. III. Information and Services to be Provided to the CONSULTANT the CITY. The CITY shall provide the following to the CONSULTANT for use on this project: 1. A good quality mylar reproducible map of Clearwater to a scale of 1" = 2000 feet. 2. A good quality mylar reproducible map of the area of the forty (40) intersections to a scale of 1" = 800 feet approximately. � � The City of Clearwater Page 12 3. A good quality mylar reproducible plan set of the building which houses the Traffic Engineering Department. This plan set should be corrected to show existing conditions. 4. All available hourly machine counts and intersection movement counts. 5. A log of the existing local and system timing at each of the forty (40) intersections. 6. Phasing diagrams and color sequence charts for each of the forty (40) intersections. 7. Twenty-four hour, seven day-a-week access to the central site and the traffic signal maintenance shop during the installa- tion, system integration and timing phases of the work. 8. Available plans or sketches of the forty (40) intersections showing lane use and geometry. 9. Decisions on most items at the associated coordination meeting, with decisions on major items within ten (10) days following the coordination meeting. la. A current, correct and operational copy of the Fortran version of the Urban Traffic Control System program, including all necessary documentation and a machine readable card deck or tape developed by the Federal Highway Administration in Washington, D.C. 11. All necessary keypunching and verifying services for both programs and data. t The City of Clearwater Page 13 � 12. One spare controller of each type (make and model) as available, complete with wired cabinet, as available, shipped to and from the CONSULTANT's facility in Hackensack, New Jersey, for purposes of initial system integration. 13. Installation of all field equipment and detectors. 14. All necessary construction, including necessary air con- ditioning, of the central site and the signal shop. 15. A copy of available as-built plans for the State Road 60 drawbridge. IV. Maintenance Contract. The CITY will be responsible for main- tenance of the computer and its peripheral equipment beginning with the receipt of this equipment at the CONSULTANT's Hackensack, New Jersey facility and continuing as long as this contract, or amendments hereto, are in effect. To accomplish this, the CITY agrees that the purchase of this equipment will include provisions for a one year guarantee and a one year maintenance con- tract. The CONSULTANT will maintain a close liaison with the CITY Traffic Engineer and the Data Processing 4�anager to pro- vide a team approach to the signal system implementation. Work will generally proceed on an informal basis. The CONSULTANT will briefly document major decisions agreed upon by the CITY Traffic Engineer in memorandum form. In order to minimize system management costs and expedite the work, no formal re- ports or technical memoranda will be prepared by the CONSULTANT. However, system documentation will be provided as indicated in Article II.G. The CONSULTANT's Clearwater office will provide a base for a close working relationship. The CONSULTANT will provide the CITY Traffic Engineer with a schedule of the staffing of the Clearwater office for this project. This schedule will be revised as the requirements of the proj ect change. VI. Time of Performance. The CONSULTANT will begin work on this pro- ject within seven (7) calendar days of receipt of a fully executed copy of this Agreement. Assuming no unusual delays beyond the control of the CONSULTANT, contract documents for the acquisition of all of the required equipment will be delivered to the CITY within 150 calendar days following receipt of the executed Agreement. Thereafter, seven (7) months is allocated as a realistic time period to allow for acquisition of all equipment, including forty (�40) days for the CITY to take bids and let contracts, with an additional three (3) months to complete all installation work. If these schedules are met by the CITY and the various contractors and suppliers, all work required under this Agreement will be com- pleted within 760 calendar days following receipt by the CONSULTAPJT of the exe- cuted Agreement. Reasonable time extensions will be given to the COPJSULTANT for delays which are beyond his control. The City of Clearwater - Page 15 � VII. Liquidated Dama es. Liquidated damages for failure to complete the work required herein within 760 calendar days plus time extensions following receipt by the CONSULTANT of an executed copy of this Agreement will result in the assessment of liquidated damages in the amount of One Hundred Dollars ($100.00) for each and every calendar day's delay in completing the work. VIII. Performance Bond. The CONSULTANT will provide the CITY with a Performance Bond for its work on this contract in the full amount of this con- tract for System Management Services. IX. Compensation and Method of Pa ent. The CITY shall pay the CON- SULTANT the amount of ONE HUNDRED SIXTY THOUSAND SEVEN HUNDRED TWENTY DOLLARS ($160,720.00) for the work required herein. This amount shall not be changed except by a written supplemental agreement(s) to this Agreement. Payment shall be made on the basis of the definable line items listed in Attachment C. The CONSULTANT shall submit an invoice to the CITY, monthly, for the lump sum amounts indicated in Attachment C corresponding to each subtask of the line item for the subtasks completed during the month. The invoice shall be accompanied by a statement indicating the sub- tasks completed during the month and those which are currently in progress. Payment for Subtask C-5, Oversee Field Installation Activities, shall be made at the rate of $1,250.00 per month beginning with the first month of field in- stallation work and continuing over 10 calendar months. The total lump sum compensation on this item shall be $12,500.00. Payment for Subtask F-1, Develop Subsystem Timing Plans, shall be made at the rate of $875.00 per subsystem timing plan. Subsystem timing plans shall be complete when the timing plans are coded for keypunching. The total lump sum compensation for this item shall be $17,500.00. � The City of Clearwater Page 16 [ Payment for Subtask F-2,Make Intersection Movement Counts, shall be made at the rate of $70.00 per hour of intersection movement count. An hour of movement count shall be considered complete when a copy of the corresponding surmarized data is provided to the CITY Traffic Engineer. The total lump sum compensation for this item shall not exceed $3,500.00. With the exception of the above enumerated subtasks, payment for the line items shall be made upon completion of the entire subtasks. Payment for the software development task will be made on the basis of subroutines coded. Copies of the coded subroutines shall be provided to the CITY Traffic Engineer as the basis for payment. X. Understanding. It is expressly understood by the CITY and the CONSULTANT that the Time of Performance and the Compensation as stated herein are based upon the fact that neither the Florida Department of Transportation nor the Federal Highway Administration are involved in this project in any official capacity. It is expressly agreed that the CONSULTANT will be granted a reasonable time extension and additional compensation, both of which will be negotiated at the time, in the event that either of these agencies becomes involved in the project. , The City of Clearwate� � Page 17 XI. Termination of Contract. The CITY shall have the right to terminate this contract upon fourteen (14) days written notice. If this option is exercised, the CITY shall compensate the CONSULTANT for all work partially completed up to that time, as documented by the CONSULTANT and all such work, including plans, drawings, computer programs, documentation, specifications and work papers, shall become the property of the CITY.
