Ladies and Gentl�men:
We refer to that certain Term Sheet presented by L.O.M., Inc., a Florida corparation
("LOM") to the City Cauncil fvr the City of Clearwater, Florida, a Florida municipal corparatian
(the "C�t "), at the Council Work Session on June 15, 2009, and clarified at the City Council
meeting on June 1 S, 2009 (as so presented and clarified, the "Term Sheet"), with respect to
LOM's praperty located at 315 S. Gulf View Boulevard and 320 Coranado Drive (the "L�M
Pro e"). The Term Sheet contemplates the develapment and constructian of a multi-story
condominium huilding on the LOM Pmperty (the "Proiect"), consisting of retail and restaurant
components (and related delivery area and parking spaces), and a commercial parking garage
containing a minimum af 300 parking spaces open ta the public, as mare particulazly described
in (and subject to the terms o fl the Term Sheet. LOM and the City aze presently negotiating the
definitive agreements for the Pmject (collectively, the "Aefinitive A�ements'�, including an
Agr�ement for Development of Property, a Put Agreement, a Parking Cavenant, and a
Declaration of Condominium, a11 as contemplated by the Terrn Sheet.
The Term Sheet contemplated that (i) LOM would process a letter af map revision with
FEMA to change the flood zone for the LOM Property from VE to AE (the "Flood Zone
Chanee"), and (ii) the City would fully coaperate �with FEMA requirements in order to
accomplish the Flood Zone Change, including any requirement for the construction of a so-called
"wave dissipating wall" (the "Break Wall") on the pmperty otivned by the City lying west of the
LOM Property to the east of Gulfview Soulevard along the pmmenade (the "Citv �ropert�"). By
letter dated August 31, 2009, FEMA issued a Conditional Lett�r of Map Revision (the
"CLQMR") for the Flood Zone Change conditioned upon, inter alia, the constcuction of the
Sreak Wall on the City Properiy. To facilitate the development oi the Project, I.OM has
requested that the City allow LOM to construct the Break Wall on the City Property as saon as
reasonably possible, and the City has agreed to allow same (in advance af the approval,
execution and delivery of the Deiuutive Agreements contemplated by the Term Sheet), subject to
the terms and conditions hereinafter set forth. Accordingly, the parties hereby agree as follows:
1. Break Wall Ea�ement. Si�nulta,neously with the execution hereaf, the City shall
provide a perpetual non-exclusive eas�ment for acc�ss to and from, constxuction and
maintenance of, thc Break Wa11 on the Ci�ty Property, which easement shall be appurtenant to the
LOM Pmperty and shall be in substantially the form of the easement attached to this letter
agreement as Exhibit A(the "Br�ak. Wall Eas�ment'�.
2. LOM's onstruction of B Wall. The City agrees that LQM shall be entitled
ta cnter the City Property pwrsuant to the Break Wall Easement and to construct the Brealc Wall
upon the followi.ng terms and conditions:
(a) LOM has prepared and the City has �pproved the plans and specifications
for the Break Wall attached hereto as xhibit B. LOM sha11 construct the Break Wall
substantially in accordance with such plans and specifications.
(b) Prior to the carnmencement of constructian, LOM shall obtain all required
permits for the Break Wall �rom the City.
(c) LOM shall provide (or cause its contirracctor to provide) the City with
evidence of builder's risk insurance.
(d) LOM shall construct the Brealc Wall (ar cause same to be constructed) izi
accordance with ths plans and specifications therefor by Florida licensed contractors.
(e) LOM shall, at it� sole cost and expense, unless otherwise provid�d in the
Break Wall Easement, repair any damage to the landscaping, suriaces, structures ar
utilities within the easement or within Beach Walk (as contemplated by Beach by Design)
which may accur as a r�sult af construction, maintenance, repair, restoration, and/or
replacement af the Break Wall.
(fl LOM shall comply with the terms and conditions of the Break Wall
Eascment in cannection with the construcdon of the Break Wall, including without
limitation paragraph 5 thereaf (entitled Liens).
(g) Upon campletion of the Break Wall, LOM shall provide the City with
copies of the certificate of final approval of the Brealc Wall issued by the City, together
v�rith one set of "as built" plans and specifications for the Break W�111.
3. City Obligations. The City agrees to cooperate with LOM and FEMA
requirements in order to accomplish the Flood Zane Change. Specifically, the City will (a) as
the owner af the City Property upon which the Break Wall will be constructed, submit the letter
of map r�vision to FEMA supporting the Flood Zone Change, (b) advertise the �laod Zonc
Change as required by applicable law, and (c) in conjunction with L4M, process the Flood Zone
Change in accordance with the requirements set forth by FEMA in the CLOMR.
4. Costs and Expenses. LOM will be responsible for and pay a.11 costs associated
with thc Flood Zone Change, including the cost of construction and on-going maintenance and
repaar af the Break Wall, unless the cost af ma.intenance and repair is allocated ta the City under
the Break Wall Easement.

5. Flood Zon Chan e- Com nsa 'on. The City and LOM are entering into this
letter agreement with the expecta.tion that the pariies will finalize and enter into the Definitive
Agreements and LOM will construct the Projcct as contemplated in the Term Sheet. However,
the parties acknowlecige and agree that issues and circumstances could arisc which intcrfere with
the negotiation, execution and delivery of the Definitive Agre�ements an.d thc ultimate
development of the Project, and there is no guarantee that the Pmject will be constructed. In
consideration af the terms of this letter agreement, the City has required that LOM compensate
the City in the �vent LOM constructs the Break Wall and the Flood Zone Changc occurs, but
LOM fails to construct the Project, under certain limitcd circum.stances. Accordin,gly, the parties
hereby agre� as follows:
(a) In the event that (1) the Definitive Agreements are not entered into by
May 1, 2010, (2) the Definitive Agreements axe temiinated, or (3) another definitive
actian occurs which indicates with cextainty that LOM will not canstruct the Froject, in
each cas� for any reason other than a City Cause (defined bclow), LOM shall be required
ta pay the positive difFerence (if any) between the Flaod Zone Change ,Amaunt (defined
below) less the Flood Zone Change Casts (defined below) to the City as hereinafter
provided. As used herein, the following terms shall hav� the meanings set forth below:
(i) "City Cause" shall mean any of the fallowi.ng: (x) the City's
unreasonable failure or �rcfusal to approve or entcr into onc ar more af the
Definitive Agreements by May 1, 2010, �or (y) the City's unreasona�ble failure or
refusal to issue any permit(s), authorizations or appravals necessary far the
canstruction of the Praject (as contemplated in the Deiinitive Agreements or
otherwise), or (z) the ternaination af the Definitive Agreements by reason of the
City's failure ta satisfy a condition precedent contained therein or a City default.
The "reasanable" standard under clause (x) above shall be measured by sta.ndards
of reasonableness whiah apply to parties in an arm's length commercial real estate
transaction with relatively ec�uivalent bargaining pawer, and the paztics hereby
agr� that if the City imposes terms, conditions ar requixements in the Definitive
Agreements which tnaterially d�viat� from th� terms contemplated by the Ternn
Sheet, such action(s) shall be deemed unreasonable. The "reasonable" standard
under clause (y) above slaall be measwred by the actions a�overnmental authority
would custor�arily take undex similar circumstances for comparable pmjects.
(ii) Y`Flood Zone Chan e Amount" shall mean the positive difFerencc
(if any) between (x) the value of the LOM Property immediately priar to the
Flood Zone Change, less (y) the value of the LOM Praperty immediately
following the Flood Zone Change. The Flood Zone Change Amount shall be
det�rnnined by the appraisal process p�rovided in pazagraph 5(b) below.
(iii) "Flovd Zonc _Change Costs" shall mean all costs and expenses
incurred by L�M in connection with the Flood Zone Change, including, without
limitation, (x) all costs and expenses associated with the a�plicatian for the
CLOMR and thc Flood Zone Change, including application and processing fecs,
expenses of feasibility studies, surveys and plans, and lcgal and consultant fees
and expenses, and (y) all costs and expenses associated with the construction of
the Brealc Wall, including arctutectural and engineering studics and fees, the cost
of plans and apecificatians, construction costs, and all other hard and soft costs
associated with the construction of th� Sr�ak Wa11.
(b) The Flood Zone Change Amount sha11 be establish�;d and determined in
accordance with the follawing apprai�sal pracess:
(i) F,ach party, at its sole cost and expense, shall appoint a real estate
appraiser with at least ten (10) years full time commercial appraisal exp�rience
and who is a member of thc American Institute of Real Estate Appraisers, to
appraise and detemwie the Flood. Zone Change Amount. The two (2) appraisers
appointed by the parties as stated in this paragraph (thc "Initial raisers") shall
meet promptly and attempt to establish the most rcasonable, appmpriate and
practical valuation model to deternune the F1ood Zane Change Amount (the
"Valuation Model") and then, using such agreed upan Valuation Model, appraise
and deternune the Flood Zone Change Amount. Each of the City and LQM shall
pay for the fees of its respectiv� Initial Appraiser, and promptly provide true,
correct and complete copies of the appraisal report preparad by its Initial
Appraiser to the oth�r.
(ii) Tf the Initial Appraisers are unabl� to agree on the Flood Zane
Change Amount within thirty (30) days after th� Initial Appraisers have been
appointed, then the Initial Appraisers shall select a third appraiser meeting the
qualifications stated in this paza�h (except that such third appraiser shall havc
at least fifteen (15) years full-ti.me cammercial appraisal experience) witlun ten
(IO) days following the expiration of said 30-day period. The third appraiser must
be a person who has not previously acted in any capacity far either of the City or
LOM, and sha,ll be referred to herein as the "Third A raiser". Each of the
pazties shall beaz one half of the costs and expenses �ssociated with the selection
of the Third Appraiser and the Third Appraiser's fees. True, carrect and complete
copies of the appraisal reports prepared by the Initial Appraisers shall be provided
ta the Third Appraiser. Within thirty (30) days after the selection of the Third
Appraiser, the Third Appraiser shall appraise and set the Flood Zone Change
Amount based on the Valuation Model.
(iii) If either the City or LOM is dissadsfied with the Flood Zone
Change Amount as determined by the Third Appraiser, then either party shall
have the right to submit the matter to the American Axbitration Assaciation for
resolutian in arbitration in accardance with this provision. The arbitration shall
be conducted wader the Connmercial Arbitration Rules (ar similaz successor rules
thereto). The place of arbitration shall be Pinellas Caunty, Flarida. If either party
calls for a detcrnunatian in arbitratian pursuant to this paragraph, the parties sha.11
have a period of ten (1�) days from the date af such requ�st ta mutually agree on
an� arbitratar who, at a minimum, must be an a�praiser meeting the requirements
of the T�ird Appraiser stated above. If the parties £a.il to agree on a single
arbitrator, each party shall have an additional ten (10) days ta �ach select an

individual meeting such qualifications, arnd the two (2) arbitrators shall select an
arbitrator to b� the arbitrator for the matter in question. The final arbitrator,
howevcr selected u.ndez this provision, must be a person who has not p�reviously
acted in any capacity for either af thc City or LOM. The arbitratar sha11 decide
the issues submitted to him/her in accordance with th� terms of this paragraph S,
pravided that all substantive issues s�hall be determined uuder the laws of the State
of Florida. The arbitrator conducting the arbitratian shall be bound by the
pmvisions af this l�tter agreement and shall not hava the power to add to, subtract
from or otherwise modify suc� pravisions. Each pariy sha11 be responsible for its
own costs and expenses incurred in the arbitration, including attomeys' fe�es, but
the costs of the pr�siding arbitrator and the arbitration itself shall be shared
equal.ly by the parties.
(iv) Within thirty (30) days after determination of the �'ina�l Flood Zone
Change Amount pursuant to this paz�agraph, LOM shall pay the City an amount
equal ta the Flood Zone Change Amount m�inus the Flood Zon� Chan�e Costs.
(c) If LOM does not canstruct the Project due to a City Cause, or the Project
is constructed pursuant to the terms and conditions of the Definitivc Agreements or
otherwise, LOM sha11 have no abligation to the City whatsaever with respect to the Flood
Zone Change.
6. Enforcement. In the event that any party defaults under the terms, provisions or
obligatians of this letter agreement and such default is not cwred within fifteen (15) days after
receipt of the wtitten notice thereof, then the nondefaulting party sha11 have a11 rights and
remedies available at law or in equity for thc redress af such dcfault.
7. Natice. Notices giv�n by either party to the other hereunder shall be in writing,
and shall be semt by certified mail, postage prepaid, return receipt requested or by couricr service,
or by hand delivery ta the office for each party indicated below and addressed as follows:

Notices given by courier service or by hand delivery shall be effechve upon delivery and notices

THIS CONSTRUCTION, ACCESS AND MA,INTENANCE EASEMENT
AGREEMENT ("As�reement") is made and entered into as af the � day of December, 2009, by
and between the CITY OF CLEARWAT'ER, a municipal corparation of the State of Flarida
("C�") and L.O.M., INC., a�lorida corporation ("LOM").
RECITALS:
A. LQM is the owner in fee simple of that certain parcel of land located at 315 S.
Gulf View Boulevard in Cleairvvater, Florida, which is legally described or d�picted in Exhibit A
aitached hereto ("LOM Proq�rtv").
B. The City awns or controls that certain parcel of land adjacent to and west of the
LOM Property, which is legally described or depicted in Exhibit C atta�ched hereto ("C�
Pro ").
C. The City amd LOM entered into that certain letter agreement of even date
herewith (together with any amendments, madifications, extensions, restatements and
supplements from time to tiune, the "Letter Aereement"), which governs the construction of a
"wave dissipating wall" on the City Property ("Break Wall"), as mare particularly described in
the Letter Agreement.
D. The City desixes to grant and create, on the tcxms and conditions hereinafter set
forth, certain construction, access and maintenance easements over, under and upon that portion
of the City Property more particularly described in Exhibit C attached hereto ("Easement Area")
in favor of L�M and all of the present and future owners of the I,OM Property.
NOW, THEREFORE, in consideration of the premises, agreements and covenants set
forth hereiaafter, and for other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledgeci, the City and LOM hereby agree that the foregaing recitals are
true and correct and fiu�ther agree as follows:

1. Gr�nt of Easements ta LOM. Subject to the conditions herein, th� City hereby
grants to LOM a perpetual non-exclusive easement ov�r, through, upon, acrass and undcr the
Easement Area for thc following purpase�: (i) ingress and egress frorn the LOM Property to and
from the Easement Area for the puipose of installatian, construction, maintenance, repair
restoration and replacement af thc Break Wa11(ii) installation and construction of the Break Wall
and other related and ancillary items within the Eas�ment Area, and (iii) maintenauice, repair,
restoration and replaccment of the Break Wall. The easements grant�d herein include thc right to
kecp and maintain the Break Wall within the Easement Axea (and repair, restore acid replace
same in the event of damage or destruction of any kind or nature) in perpetuity. 'Th� foregoing
easements shall be in favor of and appurtenant to the L�M Property, to be used in cammon with
the owner(s) from time to time of the LOM Property and their respective employees, contractors,
aperatars, agents and representatives.
2. Construction and Maintenance of Break Wall. LOM shall, at its sole cast and
expense, construct the Break Wall in accordance with the t�rms and canditians set forth herein
and the Letter Agr�ement. LOM shall submit an application to the City for the ne�essary permit
to allow canstruction of the Break Wall within thirty (30) days following recordation of this
Agre�mcnt, and shall substantially complete construction of the Br�ak Wall within one hundred
fifty (150) days following the issuancc of such permit, subject to force majeure. Failur� to apply
for such permit or substantially complete construction of th� Break Wall (subject to force
majeure) as provided herein shall result in the tennination of this Agreement. Such t�r�r►ination
shall be recorded by the City in the Public Records of Pinellas County, Florida LOM shall, at its
sole cost and expense, (a) except as otherwise provided herein, maintain and repair the Sreak
Wa11 in accordance with the requi�ceements of the Federal Emcrgency Management Agency
(includi.ng any maintenance and aperation plan required by such agency), and City of Clearwater
standards for maintenance of knee walls withiu Beach Walk (�s contemplated by Beach by
Design), and (b) repaar any damage to the landscaping, surfaces, structures or utilities within the
Easement Area or within Beach Wa1k (as contemplat�d by Beach by Design) causcd by the
constructian, maintenance, repai.r, restaradon, and/or replac�ment of the Break Wall.
Notwithstanding the foregaing, the City shall reimburse LOM for all costs and expenses incurred
in the maintenance, repaar and restoration af the Break Wall necessitated by or required as a
result of the negligence ar willful misconduct of the City, its employees, contractors, operators,
agents or representatives.
3. No Obstxuction Qf Traffic. LOM shall not cause or permit any material
obstruction to the free flow of vehicular or pedestrian tiraffic in and through the Easement Area
or to the use and exercise af thc easement rights granted herein except duri�ng temporary periods
whcn the Break Wall is being conshucted, maintained or repaired. All construction,
maintenance or repair wark perfortned by L4M shall be accamplished in such a manner as to
�nimi�e �y disruptian ta the free flow of ingress and egress aver and across the Easement
�!1'BS.
�4. Rcservation. The City hereby reserves all rights of ovv,nership in and to the
Easement Area which are not inconsistent with the easement and rights granted herein,
including, without limitation, the right to grant further e�as�ments on, over a�d/ar across such
area (e.g. utility easements) and all other uses not interfcring with the uses permittcd herein.

5. Liens. LOM shall ke�p the Easement Area (and all portions therea� at all times
free of inechanics' liens, and any otber lien�, for labor, services, supplies, equipment or materials
purchased or procur�d, directly ar imd'uectly, by or %r LOM. L�M agre�s that it will prompdy
pay and satisfy all such liens of contractors, aubcontractors, mechanics, laborers, materialmen
and others of like character. In the event atiy such liens sha11 be made or filed, LQM shall bond
against or discharge same within thirty (30) d.ays after receiving written notice of the filing of
same. LOM shall not have any autharity to create any liens for labor or material on the
Easement Area and all persons cantracting with LOM for the performance of any services,
supply af any materials or provision of any labar for any work done in, on or around the
Easement Area, and all materialmen, contr�ctors, suppliers, mechanics and laborers are hereby
charged with natice that they must look solely to LOM ta secure payment of �ny bill for work
donc or material furnished at the request or instruction of LOM.
b. M rt a es. LOM shall be pmhibited fram martgasing or otherwise encumbering
the City's Property; how�ver, any mnrtgage af the LOM Property may include and cncumber the
non-exclusive easement rights granted pursuant ta this Agree�nent as recorded in the Public
Records of Pinellas County, Florida (as amended fram time to time) aver the City Property.
7. Defaul . In the event that any party d�faults under the terms, provisions or
obligation�s of this Agreement and such default is not cured within thiriy (30) days after receipt of
the written notice specifying in reasonable deta,il the ev�nt of default ("Default Notice"), or if
such event of default is of such nature that it cannat bc complstely cured within such time periad,
then if the defaulting party shall not have commenced to cure such default within such thirty (30)
day period and shall not diligently prasecute such cure to completian within such reasonable
langer period af tim� as may be necessary, then the nondefaulting party sha11 have all rights and
remedies available at law or in �quity for the redr�ss of such default, including, in thc case of the
City, thc right of self-help under the circumstance set forth in paragranh 8 below.
8. Self-Heln. If L�M fails to ma�intair� thc Break Wall in the condition described in
paragraph 2 above, then the City may give a Default Notice to LOM, and LOM shall have the
applicable cura period (described in paragraph 7 above) fallowin� receipt of such notice to
restore the Brcak Wall to the required condition. If LOM fails to restorc the Break Wall within
said cure period, then, in addition ta the other remedies provided herein, the City may restore
same to the required condition and thereafter LOM shall reimburse the City for the reasonable
casts oi such restoration (excluding any restaratian the cast of wluch the City is required to
reimburse under para.graph 2) within fifteen (15) days following LOM's receipt oi an invoice
therefor. Any sums not reimbursed when required hereia shall bear interest at the maximum rate
allowed by law fram the date due until paid.
9. Covenant Rr�nnin�with _the L,and. Thc easements hereby granted and the
requirements herein cantained are intended as, and shall be, covenants runrung with the land.
10. Amendments; Ter�ination. Except as otherwise pmvided in paragraph 2, this
Agreement may not be amended, modified or terminated except by written agreement of all of
the then fce ovmers of the City Prop�rty and thc LQM Property, and the holders of any
mortgages of record encumbering same. Furthermore, no modification or am�ndment shall be
effective unless in writing and recorded in the Public Records of Pine�las County, Florida.

11. MiSCellanecaus.
a. Counterparts. Tltis Agreement may be executed in any number of
counterparts and by the separate parties hereto in separate eounterparts, each af which shall be
deemed an original, but all of wluch (when taken tagether) shall constitute onc and tb.e same
instrument.
b. Construction. Reference to any paragraph, section, exhibit, or subpart
thereaf, unless otherwise provided, shall refer to this Agreement. In construing t}us Agreement,
the singular shall be held ta include the plural, the plural shall be hcld to includ� th� singular, and
reference to any pariicular gender shall be held ta includ� every ather and a11 genders. Use of the
term "including" shall mean "including, withaut limitation". Each of the parti�s hereto and their
counsel havc rcviewed and revised, ar requested revisions to, this Agreement, and the usual rule
of construction that any ambiguities are to be resolved against th� drafting party shall be
inapplicable in the construction and interpretatian of this Agreement and any amendments ar
exhibits ta this Agreement.
c. Titles of Paragraphs and Sections. The tides of the several parts,
paragraphs and sections of this Agreement aze inserted for convenience of reference only and
shall be disregarded in construing or interpreting any of its pravisians.
d. Notices. Any natice or cvmmunication under this Agrecment shall be in
writing and shall be deemed suf�ciently given if hand delivered ar dispatched by Unated States
certified mail, postage prepaid, return receipt requested, or by nationally recogiuzed overnight
delivery service, to the appropriate pazty pr entity, and their respective authoriz�d represcntatives
as set forth below, at the address spcaifie�l below or at such other address of which the other
pazties shall be duly notified in writing:

of or in connection with this Agreement between the parties hereto, the prevailing party in such
arbitration, litigation or controvcrsy shall be entided to recover from the ather party or partie� all
reasonable attorneys' and paraleg,als' fecs, cxpenses and suit costs, including those associated
with any appellate or post-judgment collection proccedings.
h. Exhibits. All of thc Fxhibits attached to this Agreernent are incorporated
in, and made a pazt of, this Agreement.
i. yVaiver af Jur�Trial. The parties hereby each knowingly, irrevacably,
voluntarily and intentianally waive any right such party may have to a trial by jury in respect of
any action, pracceding or counterclaim based on this Agreement, or ari,sing out of, under or in
connection with this Agreement or any amendment or modification of this Agreement, or any
other agr�ment executed by and between the parties in cannection with this Agreement, or any
couise of conduct, course of dealing, statements (whether verbal or writt�n) or actians of any
party hereto. This vwaiver of jury trial provision is a matcrial inducement to the parties to enter
