Financial Corporation appreciates the opportunity to submit a devel- opment proposal for an office and retail building in the Downtown Clearwater Enterprise Zone. We respectfully submit this letter to register with you our proposal to develop the property, summarize our experience and scope of abili- ties and briefly outline the parameters of the development. The Company and its officers have made a commitment to the Clearwater market and its future as reflected by the fact that Park Bank of Florida, of which our President, John Kearney, is holding company chairman, is entering the market by opening a bank- ing facility at the present time in downtown Clearwater. J. K. Financial Group and its consulting team have extensive experience in the field of real estate acquisition, development, leasing and management. The team, including the Wedding architectual group, draws from its technical exper- tise in engineering, architecture, land planning, real estate development, financing, law and other related consulting services and is comprised of the following entities: J. K. Financial Corporation J. K.Consulting Company C. Randolph Wedding & Associates, Architects, Inc. J. K. Financial Corporation is a real estate development company head- quartered in St. Petersburg, Florida. Founded by its President who has over 20 years experience in the real estate development and consulting area, J. K. Financial owns and has developed many properties. Its current projects include five apartment complexes in the Florida Panhandle; a 200,000 square foot office and retail building, plus a 325 space parking garage, which has been the center of the redevelopment of downtown St. Petersburg; a 200 acre multi-family resi- dential project, including 1,200 housing units, a 29 acre office and office showroom park, in Hillsborough County; a 262 unit condominium complex located in the Florida Keys which includes a 10 acre commercial development; a $25,000,000 office retail tower in St. Petersburg and substantial other properties. Cur- rently, J. K. Financial controls and operates real estate under development in excess of $300,000,000. Perhaps the project which relates most to this proposal is the development of The Plaza office/retail complex in downtown St. Petersburg. J. K. Financial Corporation and the Wedding group managed all operations from financing debt and - equity to construction, interior design, leasing and property management. The Plaza is now about to undertake an expansion of approximately $8,000,000. This was the first new office and retail space developed in downtown St. Petersburg in over 20 years which reflects our ability as a doer in the same situation in which Clearwater finds itself today. The building, which is fully leased, has become the center of redevelopment in the downtown area. Located on the water- front, it combines high quality office space with mediterranean style shops and parking which compliment the existing waterfront area. This project has an equity interest in excess of $3,000,000 and construction and permanent financing arranged by the Group. Enclosed are brochures and articles related to the Plaza building. J. K. Financial's ability has been highlighted in many articles in the area, including a recent publication of Florida Trend, which is enclosed by exhibit. Their expertise related to real estate joint venture financing is apparent by the many seminars presented by J. K. Financial Corporation including those sponsored by Multi-Housing News (see enclosures). J. K. Consulting Company and its predecessor firms have been in the busi- ness of consulting and real estate for over 20 years including the Clearwater offices of a predecessor firm. lts clients consist of an impressive list of real estate developers and financial institutions. The company has designed very sophisticated computerized systems for financial planning of each project through the construction and operating phases. Through its understanding as a developer and as representatives of financial institutions, J. K. Consulting Company has put together many joint ventures with financial institutions and . real estate developers. Currently, J. K. Consulting is being retained by the City of St. Petersburg to negotiate for them in relation to their proposed convention center. Having been involved in so many joint venture projects, its technical experience provides great assistance in all areas. The professional staff of J. K. Consulting Company consists of individuals with Masters Degrees in business, many in the area of finance, Certified Public Accountants and real estate oriented degrees. The staff also includes indi- viduals with expertise in the market study and analysis area. c. Randolph Wedding & Associates, Architects, Inc. has remained truly diversified since its founding in 1960, creating a climate conducive to innova- tive design and allowing them to meet the ever changing needs of its clients. The evolution of 'design/construction technology, especially for private ven- tures, demands an experienced design team made up of the major architectural and engineering disciplines. We feel that this objective is best met by a full service AlE firm such as the Wedding Group. C. Randolph Wedding & Associates will focus its experience, ingenuity and imagination on the project's needs to help translate those needs intosignifi- cantu urban architecture. The redevelopment process of downtown Clearwater relies heavily on the quality of this work. Proposal Our basic proposal relates to Block' //31. We are currently negotiating with the property owner to obtain a reasonable purchase price for this block. If such negotiations do not succeed, we will request assistance in the acquisition of this property. In order to provide ample parking for this project and downtown Clearwater, we would propose to joint ventur_e with the City in the construction of a garage providing a minimum of 250 spaces for the development. We estimate the total hard construction costs for the building and retail to approximate $7,000,000. Although the financial market is very volatile at this time, through our banking affiliation and joint venture expertise, both short and long .term financing will be available. Based on rate and term con- siderations, it may be necessary due to market conditions to request your com- mitment and assistance in the following areas: 1. Industrial revenue bonds. 2. Street improvements, infrastructure, ingress and egress. In the event that we are selected by you to develop this project, we would be prepared to immediately meet with the appropriate authorities and finalize an agreement. We will also add to our development and ownership entity several residents of the Clearwater community. This concept of local involvement is one which we find has succeeded in many redevelopment projects across the country. Mr. Snith holds a Master of Arcnitecture degree fran Georgia Institute of Technology and has five years of experience in arcni- tectural design with ever increasing scope of responsibilities. On special assignment for the fim, Mr. Snith developed, tested and implemented the operating guides for the CAD system. Mr. Mole attended Hofstra U1iversity and graduated fn:m the Brooklyn Polytedmic Institute with a degree in Civil Engineering. He is a registered professional engineer in Florida and New York. He is the chief structural engineer of this fim, having held the same p:>sition in New York. In this capacity Mr. Mole rraintains client contact throughout project design phases, prepares oost estimates and ooo~inates the work of other design diciplines. Mr. Mole has 25 years of active experience in the design of camnercial and residential biildings. His major credi ts include a seven story structure at 1900 M Street and an one million square foot office tower at 400 N:>rth Capitol St. in Washington DC. Both are concrete flat slab high-rise structures with parking garages. At the Capital Street project, in o~er to minimize differential settlement in supported oolLml1'1s, gi~ers were' pre-loaded with cables anchored to the foundation. He designed L'Enfant Plaza East in Washington - a 12 story office and rotel canplex straddling an expressway.
