, 1981, by and between the CITY OF
CLEARWATER, a municipal corporation under the laws of the State
of Florida, hereinafter known as CLEARWATER, 112 South Osceola
Avenue, Clearwater, Florida 33515, and HEARTHSTONE DEVELOPMENT
COMPANY, a Partnership, hereinafter known as HEARTHSTONE, 51
Island Way, #120, Clearwater, Florida 33515.
WIT N E SSE T H:
WHEREAS, HEARTHSTONE, is the owner, or has an interest
which will ripen into ownership, of that certain property known
as the N. E. 1/4 of the S. E. 1/4 of Section 36, Township 28
South, Range 15 East, Pinellas County, Florida, and
WHEREAS, HEARTHSTONE has completed plans and financing
for a single-family subdivision and land development, which will
be platted as CYPRESS POINT ESTATES, and
WHEREAS, HEARTHSTONE is desirous of obtaining sanitary
sewer service for CYPRESS POINT, and
WHEREAS, CLEARWATER has ascertained that CYPRESS POINT
is within its tributary service area and its ultimate municipal
service area, and
WHEREAS, CLEARWATER is desirous of incorporating
CYPRESS POINT into the city limits, when the opportunity arises.
NOW, THEREFORE, in consideration of the sum of Ten and
NO/IOO ($10.00) Dollars and other considerations and the mu tual
covenants and agreements herein contained on the part of the
parties hereto, to be kept and performed, each agrees with the
other as follows:
1. HEARTHSTONE shall cause to be prepared, submitted
to, and approved by CLEARWATER and the County of Pinellas,
construction plans for the development of CYRPESS POINT ESTATES
in two or more stages, over a period of two or more years. By
the execution of these presents, CLEARWATER approved said plan
and acknowledges that, when the improvements are completed, they

will be acceptable to CLEARWATER, when and if said improvements
are completed and the property is annexed to the City of
Clearwater.
CLEARWATER acknowledges that the development has
been designed and will be constructed with:
a. A fifty (50') foot right-of-way, a twenty-four
(24') foot wide pavement (back of curb to back of curb) with an
urban section under the City of Clearwater standard curb.
b. A water distribution system, which has been
designated and will be constructed to Pinellas County water sys-
tern specifications, in two or more stages.
c. The sanitary sewage collection system will be
designed to the City of Clearwater specifications, in accordance
with the existing agreement with the City. Said collection sys-
tern shall terminate in a terminal manhole at the northeast
corner of the intersection of Allard and Cypress Point Drive,
West. Said terminal manhole will be constructed with four (4')
feet of additional depth for a wet well and HEARTHSTONE shall
provide and install a simplex submersible pump installation and
a four (4") inch PVC force main, which shall discharge into the
nearest sanitary sewer manhole in MARLA GROVE.
d. Drainage shall be constructed in two (2) or
more stages, in accordance with plans approved by the County of
Pinellas.
2. CLEARWATER agrees to provide sewer service or
accept the sanitary sewers of completed homes at any time after
the system has been constructed and approved for maintenance,
provided the tap-in fee for the individual lot being served has
been paid.
3. CLEARWATER agrees that sanitary sewer tap-in fees
and/or impact fees shall be the responsibility of the builder or
builders.
CLEARWATER agrees that said fees shall be collected
prior to the Building Permit being issued and that sidewalks shall
be constructed prior to the issuance of a Certificate of Occu-
pancy.

4. By the execution of these presents, HEARTHSTONE
agrees to execute the Park Reservation Agreement attached hereto
as Exhibit A-I and thereby made a part of this Agreement.
5. HEARTHSTONE agrees, by the execution of these
presents, to construct all improvements per plans and specifica-
tions attached hereto as Exhibit B-1, within three and one-half
(3-1/2) calendar years. HEARTHSTONE further agrees to annex
CYPRESS POINT ESTATES to the Ci ty of Clearwater, legal condi-
tions permitting, within one (1) year after the completion of
the one hundredth (lOath) residence in said project. HEARTH-
STONE shall place a deed restriction of said lots, which
acknowledges compliance with said Annexation Agreement on the
part of the buyer of each residence.
6. By the execution of these presents and in consider-
ation of the promise herein contained to annex the subject prop-
erty, CLEARWATER agrees that said annex shall be based upon those
costs, conditions, and specifications outlined herein and on
these only. CLEARWATER agrees that they shall take no action
which would be binding upon HEARTHSTONE for additional levies,
restrictions, or costs, and CLEARWATER further agrees that
CYPRESS POINT may be developed, using the zoning requirement
setback, etc., for R-3, Pinellas County, Florida.
Time is of the essence of this contract and all dead-
1 ines and wai ting periods shall be binding upon both parties
hereto.

This Agreement shall inure to the successors and
assigns and heirs and assigns of the parties hereto.

PARK DEDICATION AGREEMENT

THIS AGREEMENT is made and entered into as of this
day of ~ ~ , 1981, by and between ALAN R.
FILSON and MILTON M. KLEINBERG, doing bus iness as HEARTHSTONE
DEVELOPMENT COMPANY, a Partnership (HEARTHSTONE), and the CITY OF
CLEARWATER, a Florida municipal corporation (CITY).
WHEREAS, HEARTHSTONE is the owner and developer of
certain land in Pinellas County, Florida, comprising approxi-
mately 40.9 acres more particularly described on attached Exhibit
A ("Cypress Point"), which they intend to develop in mu 1 tiple
phases as a residential subdivision; and
WHEREAS, the CITY is willing to approve HEARTHSTONE'S
overall development plan for CYRPESS POINT, provided provision is
made by HEARTHSTONE for the dedication and improvement of a park
site within CYPRESS POINT.
NOW, THEREFORE, in consideration of the above premises,
the mutual promises of the parties hereafter set forth, and other
valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties hereto do mu tually agree as
follows:
1. HEARTHSTONE agrees to dedicate to the CITY, and the
CITY, upon such dedication, agrees to accept and maintain the
property described on attached Exhibit B as a park site (the
"Park Site").
Land to be dedicated shall contain 3.49 acres
M.O.L.
2. HEARTHSTONE agrees that within twelve (12) months
of receipt of first building permit, it will dedicate the Park
Si te to the CITY and complete or furnish, as appropriate the
improvements required by Paragraph 3 below and further detailed
in Exhibit A.
3. The improvements to be made or furnished to the
Park Si te by HEARTHSTONE shall be those which are shown on the
Park Site Plan to be prepared by HEARTHSTONE and approved by the
EXHIBIT A-I
parties.
